MGMCF: Finra deleted symbol. Pursuant to the Plan of Arrangement, holders of MGM Shares received one class A common share of Paramount (Paramount Share) for every 300 MGM Shares held. No certificates representing fractional Paramount Shares will be issued under the Arrangement. In lieu thereof, each registered holder otherwise entitled to a fractional interest shall receive a cash payment from Paramount equal to the fraction of a Paramount Share otherwise issuable multiplied by $45.00, provided that the resulting amount is at least $15.00. Where the cash payment would be less than $15.00, Paramount will be under no obligation to make any payment in lieu of such fractional share.
