On September 6, 2023, Pacific Ventures Group, Inc., a Delaware corporation (the “Company”), entered into a settlement agreement and stipulation (“Settlement Agreement”) with Trillium Partners, LP (“Trillium”) in connection with the settlement of $6,033,474.16 of bona fide obligations the Company owed to certain of its creditors. The Settlement Agreement was subject to a fairness hearing and, following such fairness hearing, on October 10, 2023, the Superior Court of the State of California, County of Los Angeles, Central District (the “Court”), entered an order approving the Settlement Agreement.

If the Settlement Agreement is satisfied in full, the Company shall reduce the Company’s debt obligations in the aggregate amount of $6,033,474.16, in exchange for the issuance of shares of Company’s common stock (the “Settlement Shares”) pursuant to the provisions of Section 3(a)(10) of the Securities Act of 1933, as amended, in multiple tranches. It is estimated that the Company will, pursuant to the terms of the Settlement Agreement, issue to Trillium approximately $9,282,267.93 of Settlement Shares, if the Settlement Agreement is satisfied in full, which represents a 35% discount to the market price of the Company’s common stock. At no time may Trillium beneficially own more than 9.99% of the Company’s outstanding common stock.

Last minute shakeout at the close like yesterday only to bounce big the next day. This still has very wild swings in price, but it could sill have a few big higher spike ups between now and Oct 13th!! Should see a PR soon before the 13th.

WTF is going on!

Way too much dumping here...good lord! Should be buying up the ask with such a low float to move the price back up! Where are the buyers? I can't believe the difference in price action has taken since May. Looks like a bigger Rug pull is coming next.

Why are we stuck @ .0105? my level II on TD Ameritrade only shows 10,000. Where did the 300k+ come from if it's not showing up on the Ask? PACV has been trading strange since May/June.

What a F*ucking Joke! CEO put out 3 PRs over a 3 week span just back in May and now they act like they're broke or something, but yet she ordered those damn EV Trucks. Shareholders stacking the Ask...looking to get out!

Where is The PR??

No PR today! (She had no problems with this back in May!) Twitter page has not been active since 2019? CEO needs to get her head out of her A$$ and start acting like a real CEO! Q2 showed little spending on Ads compared to previous Qrt. She has money to waste on EV Trucks, but can't find a few more dollars for Ad spending?? low float can't move because of debt! CEO needs to uplist to QB to get better price action.

PACV had good numbers here. Pulled in a good Gross this Quarter. Better than the last Quarter! Very small Dilution here too, but I guess even a low float without volume is still just a dead horse. Ad spending was way down and so were her sales compared to the last Quarter. Maybe she'll figure that out for next time. Spend a lot of money on those EV Trucks, but can't spend a few extra more $ for advertising your product? HOW MUCH WERE THOSE EV TRUCKS ANYWAY?? There are OTC tickers that are total shells that move better than this...just BS going on here. She needs to uplist to QB for better price action.

Plan of Operations

Snobar: As of the date of this Quarterly Report, Snöbar products are currently being sold in the east coast of United States by the Company’s distributor. The Company’s management has been actively constructing an online platform that will allow Snöbar distribution on a national level. The Company’s platform is complete and ready to "go live” and, with the aim of purchasing inventory as well as increasing sales and marketing efforts.

The Company has recently signed an agreement with a new co-packer to produce and manufacture the Snobar Product Line. The new factory will produce the Snobar Product Line for a reduced price which will allow for greater profitability for the company.

Company is planning to offer distribution rights throughout the country

Lacking Key Info to Move Price

Record Qtrs without SnoBar! Houston LOI maybe done in 6 months? Cutting cost is really good, but her presentation was lacking key information to move the price. She could uplist to QB right now, but didn't seem interested in doing that. You only have to be over a penny to qualify for QB status in the OTC. (To be eligible, companies must be current in their reporting, have a minimum bid price of $0.01, may not be in bankruptcy and must undergo an annual verification and management certification process.) Small Dilution will continue, but it's not really that much. Should have another good Qtr to report next week. MMs are having fun with this...turds!

News out and dilution starts up again. Is this getting old or what? and now we have a delay in production that was promised over 3 weeks ago. CEO did say that new shipments were going out again, but never happened! All of these PRs come out and heavy dilution ramps up instead of news about water being shipped to Amazon. It's one step forward, two steps back. This is looking very fishy and this CEO is talking UPLIST lol!
