Is this company even in business anymore? You would think the shift in the cannabis industry would have helped this company.

When I check out the Von Baron Farm site which has a link on 1PM Industries site is a dead link.
Really does seem like nothing is going on with this company. Why would they not update their website... No updates not nothing... just a garbage news releases in 2017 saying they are no longer in the cannabis industry...

My original 4M+ shares turned into 1.1M shares which turned into 11k shares ha I hope I did not just finance this turn around for ICLD. Hoping they stay true to their word of restoring shareholders value. I would have expected some news by now. There is always tomorrow as they say.

I predict we hit $0.0133 tomorrow... we all know how ICLD runs. Another 40% up tick with no news. Drop the news release on Tuesday next week once everyone loads up and we see $0.06 by Friday. To be honest I have no idea how high this will fly on the short term, but I was in on the last run and 100%-200% days where steady. Looking forward to a run with far more potential. I have been waiting to sell 25% of my shares at the $0.10 to $0.15 range, however, I am now thinking $0.20-$0.25 may be the realistic shot term potential. Long term the letters (I)(C)(L)(D) will make us all rich... Good luck! ICLD

I am saying why did the price hold at $0.0003? I would have expected it to dilute right back to $0.0001 unless they are trying to drive price up? IMO
Ok but 300M+ shares exchanged and price holds? If diluting the price would be 0.001 instantly/ today for sure. Someone has been loading this heavily. I wouldn't be surprised if this was some insiders loading before some news... imo

I do think the news is positive and should be profitable in the future however, they did not announce if they have any sales or contacts with this technology. I think investors need to see some $$ coming in before this takes off. Hopefully the combination of OS=AS + multiple contract announcements + debt reduction announcements moves this back to penny land.

Interesting stuff with the http://www.netlayer.io site. Looks updated. I checked out domains and www.netlayer.com was purchased. I would expect when they release the news of the site, their .com site will be up and running.

Yes but I do think they will have increased revenue and new contracts. This will allow them to activly pay down debt from earnings and not from selling assets and converting share.
Of course they won't walk away from the money owed... but the idea is there is around 14M owed plus interest for 3 years. If they wanted to convert and dilute share price, they would max outstanding shares to 1B and there full loan would not be paid back until they increase authorized shares or do a reverse split. ICLD is not obligated to do either so why would they rush to create more shares just so a disgruntled note holder can covert the remaining notes owing. Also it sounds like they aren't infringing on any terms so there is prob no reason for the note holder to covert. Just keep collecting interest. I would expect the negotiations would involve ICLD presenting all new contracts and accounts receivables demonstrating how they will pay the loans back. Maybe the interest rate goes up who knows.
A lot of ICLD credit problems came from the previous accounting firms lack of competence. The accounting firm did not have reports submitted on time to meet the NASDAQ reporting requirements and in return, the terms and conditions were not met with all the lender credit agreements with ICLD. (Financing was granted under the agreement they would meet all the NASDAQ reporting requirements). Since they do not meet the requirements on time, they were delisted and thus why we say goodbye to a conventional loan. ICLD is currently in a lawsuit with the accounting firm which I believe will end up settling on a massive payout to ICLD for damages to the companies reputation and share price.
I think it is in the best interest for both parties to renegotiate the debt to a later date imo.
I bet we will hear news next Friday Oct 6th. Notes are due Oct 9th on the Monday. Hopefully we hear somthing sooner ...
Hard to say. I do think they were diluting and selling shares to pay off debt. One would think with increased revenue coming in and less expenses, they will be able to pay the debt themselves with out diluting share price. This is way undervalued.
Keep in mind the massive hit to the share price was due to a convertible note that was sold to a third party who basically just tanked the stock price by converting all at once. This should correct.
Even with the convertible note coming due, it is not likely the note holder will want to covert and max out A/S. That would tank the price and max A/S so good luck getting the rest of their money anytime soon.
The notes state: "The promissory notes accrue interest at a rate of 8% per annum, and all principal and interest accrued under the promissory notes is payable on October 9, 2017. "
I would however expect them to get paid the interest which ICLD should be able to cover without diluting the shares. I expect some positive news in regards to the notes restructuring.

They may be acquiring new financing and the lenders terms are they will lock up 500M shares as collateral. Who knows. From the response I got, they said it was necessary to meet "lender requirements".
I don't see how this can go to $0.001. The worst has happened imo. If this dips below $0.01 I believe shares will be bought up faster then you could get an order in. With restructured debt and the continuance of new contracts this company will outgrow the OTC. We will know a lot more in Q3 as they will show the revenues they brought in.
I think $0.01s will be left behind when they announce renegotiated debt or an extended notes payable date.
Their goal is not to dilute this stock price to $0.001 as that looks terrible if they are looking for favorable financing terms with lenders. I am excited for September. I think we will be hearing a lot of positive news releases, starting with the restructured debt which is what is holding this stock down.
That's why one can't invest based on rumors. OTC has many more games being played at all times.
I spent 20+ hours going through boring financials and quarterly statements. I am investing based on potential. The r/s did catch me off guard as I did not expect note holders to tank the stock price.
That being said, nothing has changed in regards to the business I invested in. Since they are not doing another r/s anytime soon, if at all, this is set up for a great investment. Whether I am in a little early or not I have confident in the investment potential. I wanted to load up now in these prices as I believe the company will successfully renegotiate debts due. With the new contracts coming in, I think we will see the debt get eliminated very quickly. When ICLD is debt free and cash flow positive, I don't think it will matter if your in for $0.0085 or $0.04 - everyone will be making money.

I don't think this is the reason the company increased...
From what I understand, ICLD would be in the drivers seat having the authorized shares at 500M. The note holders cannot force ICLD to increase the authorized shares to 1B. Business wise wouldn't it have been better to leave the authorized shares at 500M, let the note holders convert 140M shares and then O/S are maxed and no more dilution. Would buy them time to pay off the notes.
I don't think they would increase to 1B a/s if there was a chance that the notes come due and lenders will convert at any price and tank the stock down even more.
I honestly think they are negotiating for traditional financing to pay the 14M notes due in OCT. The new lenders most likely want some sort of security to ensure O/S is not maxed when the loans come due. Thus why i think they increased the A/s to 1B.

Interesting... I think share price will increase still. Sounds like they are securing more and more contracts on a less leveraged business model. They are also not wanting to dilute this to the ground. The increase in authorized shares gives us peace of mind that they are not going to reverse split. imo

The last big run had multiple days of 20% + closes. I still think this stock makes its big move when the debt is restructured. IMO it will be in the coming weeks. I'm loaded up and ready to run :)
Cash flow positive would be very good. We were right in thinking somthing was going on behind the scenes. It was much too quiet. Next step restructured debt and blast off imo
IMO I think people think this is the bottom and have loaded up. With the increase to A/S people are also on the fence. I think the company will have positive news releases coming up which will increase share price. This is due for a correct. It will be a big peace of mind if they can renegotiate the notes due in OCT and that's when we will see the real climb in share price. Until then I think things will be quiet.

I am expecting ICLD to start rolling out news this week or the following imo I think it will start with restructured debt. That's really the main thing holding the share price back. I doubt their goal is to dilute the share price down any lower, and especially at a conversion of $0.012.
