Regarding Michael's post -
So much hot air simply takes your breath away.
Astounding.
Well done, Michael.

The above is what you get to vote on. That's it.
SDRG pulling back before the big leap higher.
A tender offer? For what?
The plot thickens, eh?
FDA is Marc? It fits more and more, particularly the almost manic defense FDA puts up for what passes as a CEO.
Either that, or Marc is as delusional as FDA.
How about 20 cents FDA?
Is that recent enough for you? Would you really like to compare my valuations to yours? In fact, didn't you save a post on that in order to make me eat my words? Post it for us.
Where's.the "original agreement" FDA?
Who agreed? You just simply blather on and set up straw men when you're asked for facts. What you really mean is "you thought", which has proven to be so far from the truth so many times you've become a laughing stock.
And you will let us all know when SDRG hits 40 cents (as promised) right? You and the "tough Canuk" I mean.
Maybe you'd like to tell us what Marc does to earn over 300 grand while you're at it. The company has no operations, the accounting is hired, so exactly where are his miraculous skills needed?
The original agreement, FDA?
Did you see one? Was an "original agreement" signed? You mean Marc made all those trips to China and still didn't know what was going on? Who wrote the press release about the sale, then?
By the way, I don't see anything in the proxy statement for you to vote on other than the directors - and some useless "advisory" votes about salaries which management can ignore if they want.
Let me know when the stock hits 40 cents. HAR!
And, the Chinese control SDRG now, or has that escaped your eagle eye?
I just read the proxy statement.
It doesn't square with the latest Chinese board nominations. This is going to get interesting. A legal battle on the horizon?
Well, whadaya know!
The Chinese have nominated a bunch of new directors (all Chinese by the way) which will effectively control the company and may send marvelous Marc packing.
Of course, if you already have a perfect stooge, I don't see why you'd want to get rid of him.
Powerhouse SDRG surges even higher!
The stock rides a tidal wave of volume. Over 100 dollars in stock has traded so far today as the market continues to digest the news of SDRG's asset sale negotiated by CEO Marc (the toughest Canuk in Canada).
Wow! SDRG surges on massive volume.
Like watching paint dry, isn't it?
Come to think of it, paint drying might be more exciting.
Well, it was up.
Probably just a few uninformed sellers, like FDA says.
SDRG soaring!! Massive volume!
Get on board the "going to make a counter offer" train before it's too late.
I originally replied to this message, but it's really not worth it.
Oh, it's a leftover stock is it? A leftover stock that you've been posting about for years. In fact, you were nearly by yourself posting about this dog for a long time. You were the chief advocate.
Leftover. Sure. You're so sad for me. Sure.
By the way, do you have any gold eagles? I do. Silver eagles? I do.
Your sympathy is wasted, but like FDA, feel free to blather on.
Oh, please Frankie. That's a bit of pathetic analysis based on nothing but your own bitterness and disappointment.
I actually post on several boards. I own 4 precious metals stocks that actually mine ore - something this dog has never and will never do.
Like I say, I really don't care what your opinion of me might be.
And you're the chief critic of all the personal bickering, are you?
You've attached yourself to a lost cause. Deal with it.
Your interest is simply your own self interest. I came to this board when the stock was trading around 5 cents. Anybody else who listened to me saved money. No, I have no skin in the game here and never will because this dog has never and will never bark. So, I think my motives are much more altruistic than yours.
Actually, I made a wrong assumption of the term "cash out" in your case. So, sorry for that - but not much.
But you too seem to be one more disappointed long with losses.
Well, Frankie, I really don't care much about what your opinion of me might be. You're probably as upset that I was right as much as anything else.
But, feeling as you do, why don't you just put me on ignore and save yourself the angst.
How strange. I don't hear a mariachi band.
Don't believe a word you say. I doubt if anybody here does.
You can be sure they're losing their collective butts but only Frankie admits it. So much whining and denial isn't coming from profits, that's certain,
"It's not over". The hell it's not. The majority Chinese shareholders have already decided. Marc is and has been irrelevant
Really sorta sorry for you, FDA.
Your "big news" is out - you remember - the news that was going to rocket the stock higher? That news, remember? But somehow the stock is only bid two and a half cents and you can't deal with that reality.
So what do you do? What you always do. You attack the messenger who was right all along.
But that doesn't change the reality of the stock quote, does it?
The stock (after your "big news") is trading for less than 3 cents.
Deal with it.
HAR!
Oh, FDA, you're hopeless.
Current liabilities (debt) as of the latest 10Q filing were over 9 million. That may be reduced this past quarter by about 780K that Marc has paid himself. But nearly that much in interest and penalties will have accrued during the latest quarter anyway.
If you want to spout a rosy fantasy picture you make up about this dog go right ahead, but try not to comment on factual matters you remain totally ignorant about.
But - this story is pretty much over.
I'll watch the stock now and then - check the board - that sort of thing but it's hard to see anything on the horizon that would change things much.
I bet Marc gets a raise. Any takers?
How SDRG will get paid. From the 8K.
"On December 29, 2015, Silver Dragon Resources Inc. (the “Company”) entered into an Equity Transfer Agreement (the “Agreement”) with Beijing Shengda Industrial Group Ltd. (“BSIG”) pursuant to which the Company agreed to sell its 20% interest in Inner Mongolia Guangda Mining Ltd. (“Guangda”) a wholly owned subsidiary of its Foreign Cooperative Joint Venture in China, Sanhe Sino-Top Resources & Technologies Ltd. (“Sino-Top”) to BSIG for approximately RMB161,922,820 ($25,000,000) (the “Purchase Price”) subject to adjustments provided in the Agreement. Upon the completion of the sale the Company will no longer have any interest in Inner Mongolia Guangda Mining Ltd. (“Guangda”).
The consummation of the sale and transfer of the Company’s 20% interest in Guangda to BSIG is contingent on the receipt of required regulatory approvals including the receipt of the China Securities Regulatory Commission and any required board and shareholder approval. A down payment in the amount of RMB2,500,000 ($380,000) was paid upon the execution of the Agreement.
The balance of the Purchase Price is to be paid in five installments as follows:
Ten percent of the Purchase Price shall be paid within fifteen business days of receiving the approval of the China Securities Regulatory commission for the transaction;
Twenty percent of the Purchase Price shall be paid within fifteen business days of the date the ownership registration of the Company’s 20% interest in Guangda is transferred to BSIG;
Fifteen percent of the Purchase Price shall be paid within fifteen business of receiving the earnings report of Guangda Mining for 2017;
Fifteen percent of the Purchase Price shall be paid within fifteen business days of receiving the earnings report of Guangda Mining for 2018; and
Forty percent of the total Purchase Price shall be paid within fifteen business days of receiving the earnings report of Guangda Mining for 2019."
So, this year (2016) it looks like SDRG will receive 30% of the sales price. Based on the announced sale price that would be 7.5 million. Facts are that every quarter now SDRG is paying about 3/4 of a million in interest and penalties on its debt.
Blah, blah, blah. You lose.
Well, FDA, just more ridiculous crap and excuses from you.
You have ZERO credibility here. ZERO.
And, if possible, your hero Marc has less.
Game over. You lose.
But if you insist on becoming a laughingstock as well, then go right ahead.
"A" is correct. But you don't "cash out" unless you sell.
This is not a tender offer for SDRG stock. So, in order to sell at 3 the bid will have to hit 3. And remember, this offer is being paid in installments ending in 2019. In the meantime, Marc will be bleeding cash for "administrative expenses" and who knows what else.
So, the question becomes "what will you pay for a stock TODAY that might or might not be worth 5 cents in 2019?
Maybe FDA will pay everybody 40 cents a share. HAR!
Huge SDRG rally! Massive volume!
And we can't forget Junk, can we?
"WOW-L2 HUGE JUMP ONCE @.037 ASK GETS TAKEN!!
Lets see how this gets taken....5s.....perhaps a breather....7s...then WOWWWW!!!!!!!
Sorry FDA, but your 10-15 cent prediction is TOO LOW.
WOW this this is ready to FLY!!!!!!!
I smell 28 cents soon!!!!???"
He needs a new nose, huh? Junk never would say what his average cost was. No doubt he's lost his ass. But he may have sold around 4 cents or so during that last little surge. Still at a loss, though.
Come on, Junk, let's have one of those patented smarmy remarks of yours.
How many recipes for crow do you have?
I love reviewing these old FDA posts.
Here's another:
"JUGGERNAUT CEO HAZOUT HAS ARRIVED BACK AT SDRG TORONTO HEAD QUATERS ......YES, YOU BETTER BELIEVE HE's BACK FROM CHINA....BUT HE AIN"T TALKIN TO NO ONE......!!!!!
So That Means Watch Out>>>>> THERS'S GOING TO BE TROUBLE<<<<<< !!!! And it won't be "LONGS" who are going to be paying the price for doubting Marc's tenacity IMO!!! "
Here's a good one from the past.
A quote from FDA's post 6413:
"Lets just wait until about next week or so when the long awaited BBPR is actually & finally released letting the entire market know just exactly how much cash will be getting transferred on too the SDRG Balance Sheet???
Your fantasy is that PPS will never surpass 5 cents again which is in stone ?? FDA has cataloged your post stating as such !
So we will know soon enough who is Living in a fantasy world & who is not? GL to all shareholders, FDA "
Now we know, huh?
I can answer one of your questions. The remaining properties have never seen a drill bit. They're a total unknown. It will take money to explore - the same kind of money that cost SDRG half its investment in SinoTop.
Then again, you could ask FDA. After all, his word is gold, right?
Or perhaps email that tough Canuk, Marc, who's done so much for you shareholders.
Don't believe me? See tomorrow's trading.
8 cents? Dream on.
The company has 8 million in defaulted debt to pay.
Hey FDA - asleep at the switch, huh?
