I see the special meeting date to obtain stockholder approval is left blank in the latest S-4 filing from March 11th. Hopefully, an updated S-4 will be filed shortly.
Inflation is a very real risk.
The price action hurts now, but it's just birthing pains. Joy will follow as this company grows up.
SPACs are full of flippers, but I'm looking 5 years out, at least. Hopefully, greed wont get to me in the early years. I plan on selling covered calls to satisfy that need.

There are two 13g forms filed with the SEC reporting 0% ownership of shares.
The date of "event requiring filing" is December 31st on both forms by two different companies. Speculating they sold all their shares (according to the filings) on the last day of the year to lock in profits? And maybe kept the warrants? (Assuming they bought units in the first place).
Anyone care to speculate?
Can anyone confirm my understanding that 180 days from the time of merger, the original (premerge) Quantumscape shareholders will be allowed to sell the shares they were given as part of the deal? (Per the proxy information)
I know people wanting this to rise now (me, too) don't want to hear this, but I'm thinking they'll most likely flood the market in early summer and late summer is when I should add to my position.
An easy way to stay on top of the date is to check SEC.gov every so often looking for the proxy filing. Just type BFT in the search bar and all their filings will be shown. I'm pretty sure it'll be called S-4. Once that's filed, we'll be roughly a month away. Of course, this is only my faulty understanding and may be completely off base.

IMO. I thought I missed the boat ($30-35 price target), but when it drew back, I jumped on board because the s-4 had been filed so long ago. (On a different note, look at the chart and notice the huge bump on January 7th. Four days before the s-4 filing. How did that happen? Did they tweet their intention of filing?)
Some people are saying investors are dumping their shares, but the volume is telling me conservative hands are selling to reduce risk/take profit off the table. I'd say expected and normal due to the news and not the scary dumping of obviously bad news, but rather measured position management.
I love this "dumping" because IF the proxy hits our emails unexpectedly there will be a slingshot effect as people race to regain their positions. FOMO takes over and we'll reap the rewards. Yeehaw!!!

The S-4 was filed on January 11. This is the securities filing for the new (merged) company. The SEC has 10 days to accept the filing or notify the filer of their intent to review the filing. The SEC's average review is 30 calendar days from the date of filing. They will then ask the filer to clearify any issues they found. This back and forth may take awhile. If the SEC review finds no issue then IPOE will, asap, send out the proxies and ask shareholders to vote. This is usually a 10 day process.
It has been 25 days since the S-4 has been filed. It's possible, maybe even likely, we receive the proxy within two weeks.
Me,too. I sold NPAWW at EOD to shift that money into APXTW. I'm hoping to get even more warrants below $4. My APXT position is beginning to overtake my whole portfolio. lol
I think many people didn't realize this still has to be accepted by the SEC. Hopefully, the SEC won't find any issues. If they do, that'll give us time to accumulate more.
We may have a solid month's wait before us.

Looks like this one's coming back to life. Hope it stays asleep for a bit more, so APXT and BFT have time to mature, lol relatively speaking. I'd love to buy more NPAW and FCACWs with those profits.

APXTW is an easy play at this point. Warrants are still under $5. Forget the underlying stock, play the warrants!
They trade just like APXT until after the merger. There are no worries, except one. The price +-% swings are greater due to their nature. It's just simple math, but don't sweat it. If APXT is going to $30, then APXTW is going to $18.50, or thereabouts.
1000APXT@$16.50 to $30.00 yields $13,500@ 82% profit, while 1000APXTW@$5.00 to $18.50 yields $13,500@ 270% profit. BIGGER PROFIT WITH LESS INVESTMENT CAPITAL!
But beware! If APXT is going to $10.00, then get out asap.
By the way, my chart shows a possible dip to fill the gap @$15.25 or warrants @$3.50 or so. I have APXTW in the $4.50 range, but will sell more/all NGA to pile into AvePoint if I see warrants under $4.

I googled last day to sell stock for a tax-loss and it's Dec. 29th for Canada, but tomorrow for the US. Not trying to argue, but I think it's a mute point, anyway. Most people selling will incur short term gains or loss taxed at their income bracket. Not sure when KCAC IPO'd, but those OGs may incur long term gains.
And even that is a mute point because any changes to the tax code won't affect 2020 anyway. I should have put more thought into my prior post.

Absolutely! Not all SPACs are created equal. One has to have a good story (viable product/project) and decent share structure. Many have very low floats prior to the merge which allows such attractive price swings.
Take NGA for example. Low float plus the Nikola news of the truck order cancellation has them moving nicely (roughly 18%) yesterday and pre-market. People speculating the 2500 truck order will find it's way to NGA (Lion Electric). I fully expect this news alone to push NGA into the 20s.
Then there's Burgerfi. You'd think the story is good but there's more to it. If you don't believe me, just look at the price action. It should eventually settle below 12 IMO.
BFT, NPA, APXT, NGA are all solid IMO. CLA is running right out of the gate, but if it pulls back I'm a buyer.
Congrats on your position! I bought KCAC, also. I sold 30% of my position all together. I think I'll hold on to the rest.
There are so many SPAC opportunities right now. It'd be (IMO) foolish not to spread the risk out. And some of these spacs are easy doubles.
BFT, APXT, NGA, NPA is where I went. Waiting on CLA to pull back. It's going to be a banger, too.
