Right now, the odds aren't in our favor. However, the outcome could surprise us, and for those willing to take a gamble, the risk down here is minimal. Even if they dilute or do a reverse split, the outstanding shares would be so small, and the fundamentals are so strong that it could run up after the split—that’s the worst-case scenario. I feel very confident in my DD analysis. If I were him, I’d handle it the same way. It’s a win-win for him, the private Malaysian investors, and the loyal stakeholders who are still here.
Especially since these private Malaysian investors are his close connections, they weren’t randomly chosen. He can’t afford to lose face or turn them into enemies.
It’s unfortunate for those who took losses due to his greed, but the market doesn’t exist to protect anyone. It is what it is. If you can’t handle the heat, then get out of the kitchen.

That's not what I read. The PR last week confirmed the Merger Not Being Finalized: The CEO, James E. Honan, expresses disappointment that the merger between Affluence Corporation and Durham Black didn't go through as planned.
Durham Black had a contractual "unwind clause" with a period of 120 days, which means that Durham Black had the option to cancel or reverse the merger agreement within that time frame. Durham Black has exercised this option, meaning they've opted to cancel the merger, ending the process.
Affluence wants to clarify that the Letter of Intent for the acquisition of Contrivian was signed by Durham Black, not Affluence itself. This is important because it indicated that Affluence was not directly involved in the deal with Contrivian. The deal was under the assumption of the merger with Affluence, but since that merger has not been finalized, the LOI related to Contrivian is now irrelevant to Affluence.
Next Steps for Affluence: Despite the merger falling through, Affluence is continuing to look for other opportunities in line with their strategy to acquire and manage technology assets. They will keep the market informed as they proceed with these new opportunities.

It took me a very long time to figure out his game plan. If you read my DD post, I analyzed deeply why he issued $200 million and did not use it. Now, the $30 million is a joke. A fake scare tactic to lure people into selling to benefit him and the private Malaysian investors.
The biggest doom is on his end and his wife they both control nearly 43M. In this case, bet on the house that is a sure winning bet.
He is busted FAKE SHIT. Oh yes, $200M and now $30M. This is not an offering. It's a private placement with full details he controls the converting share.
What matters is that he fully controls the vote. Dilution would reduce his control, allowing someone else to easily take over the company, but that’s not happening.

With or without news, the PPS will gear up above one cent, which is where it was before the merger. Even at one cent, it’s still a super bargain buy. I just hit OTCN with one million shares, and he only gave me 20k. That was a test to see if the joker had any shares or not. As I expected, he is out of shares, and now we can easily move higher with a tiny buy volume.
I knew the merger wasn’t going to happen because no one had $12 million to put on the table. I also knew that Form D would cause panic and lead to a sell-off. But now, all that fear is behind us. OTCN is leading the ask; maybe they have shares, or maybe they don’t. There’s very little dilution happening, and if the volume picks up, hitting one cent in a single day is definitely possible.

Something doesn’t add up here. In May, the F3 Prospectus for $200M was looming, part of the reason the stock wouldn’t bounce. That amount hasn’t even been touched, so why announce a new prospectus $30M investment offering?
Clearly, the $30M offering wasn't part of a well-planned strategy. If it were, he would've formed the corporation and set up the website, neither of which are ready. This tells me something came up, forcing a change in plans. Why did Advance Opportunities Fund I (AOF) turn down a guaranteed 6% interest to take shares, knowing there’d be a $30M dilution? They hold a $1,000,000 Senior Convertible Note due March 2, 2025, so there was no need to buy shares at $0.1099, and they've already lost 30% in just a week? For those unfamiliar, AOF isn’t a hard lender or in it for quick flips—look them up.
Most of the dilution in the first half of the year came from private placements at $0.40 or higher, primarily with Malaysian institutional investors. These investors won’t see returns unless they average down to the lowest price, and the share price rises back to the level where they initially bought in.
Advance Opportunities Fund I is an institutional fund involved in private placements. Their asset allocation spans Malaysia, Hong Kong, Singapore, and Thailand, with their main offices in Malaysia and Singapore.
From my point of view, it seems like everyone is positioning themselves for a big payout here.
Last week's trading volume was flat, meaning it’s not enough to absorb the number of shares they want to offload. In the last few days, they likely wouldn’t want to sell below their purchase price. So why would they invest a million dollars at a price they can’t profit from? Clearly, these private investors are in it for the money, and they wouldn’t hand over a million dollars without thoroughly vetting the opportunity.
Am I the only one thinking outside the box here?
This is the time to think logically, not panic, and sell for a huge loss. Imho.

Here’s another solid fact that no one has brought up. Did you know that Voon Him "Victor" Hoo is on the Board of Directors of Treasure Global Inc (TGL), and even resigned as Chairman and Managing Director?
We all know $2M in cash or shares were paid to VCIG, and yet the company failed to properly file documentation with the SEC. This is a major red flag, and I’m extremely disappointed. The SEC needs to address this. I won’t go into more detail yet, but let’s continue the story.
Back then, no one thought $TGL could handle the volume of a $2M share conversion, but it did. The company announced the termination of its At-The-Market Offering Program which created huge volume, and the PPS doubled in value. Check out the $TGL news from October 1, 2024.
So, the real question is: could history repeat itself here at $VCIG?

What if he issues shares to private investors again, then cancels all the offerings initiates a buyback, and pays the dividend boosting the share price so everyone profits, including AOF and the CEO? Don’t forget, they still have the $30.1M receivable, which they can use to buy back shares and possibly pay out dividends by the end of 2024. They hold the upper hand here. And let’s not overlook the hard fact: if he dilutes too much, he’s the one who loses the most control. The more shares issued, the smaller his voting power—that’s an undeniable fact.
On top of all that, he and his wife hold nearly 43% of the company's shares. This is a significant amount, and if the stock sinks or a reverse split happens, who gets hit harder?
At the end of the day, it doesn’t make any sense for him to shoot himself in the foot.
Oct 31 2024 is only a few weeks away. It seems like everyone is positioning themselves for a big payout here.

The entire OTC market is dead. Most penny stocks trading on the Nasdaq are Chinese stocks, and virtually all of them are scams. All of our due diligence won’t matter if the company can’t execute its plan. They haven't diluted any shares in the past 18 months. The float is so low that, even though this is an empty shell stock, it shouldn't be sitting at this low price. I have high hopes here, but I could be wrong too, so, with luck, we might make a few coins here if all things plan well.
