WSJournal. Netflix Signs Streaming Deal With Time Warner
In a sign that Netflix Inc.'s NFLX +3.35% appetite for new content remains as healthy as ever, the video-streaming service struck a licensing deal with Time Warner Inc.'s TWX -0.51% Warner Bros., covering a series of fresh TV shows.
Netflix will be able to stream complete previous seasons of several Warner Bros.-produced shows, including several that debuted this season, starting a couple of months after each season ends. These include "Revolution," a hit show on NBC, and less successful shows such as "666 Park Avenue," which ABC recently canceled. The deal also includes "The Following," whose premiere episode won't air until later in January on Fox.
The deal is expected to be worth hundreds of millions of dollars, depending on how long each of the included shows stays on the air, a person familiar with the matter said. Netflix will pay more per episode for shows that stay on the air longer. It is the biggest deal struck by Time Warner with Netflix other than a 2011 agreement with the CW network, which is jointly owned by Time Warner and CBS Corp. CBS -1.06%
The agreement is the latest in a spate of video-licensing agreements struck by Netflix or its primary rival in video streaming, Amazon.com Inc. AMZN +3.47% On Friday Amazon announced a deal with A&E Networks to stream shows including "Pawn Stars" and "Storage Wars." At the time, Amazon said it had doubled the selection of TV shows and movies available through its Prime service over the past year.
Netflix and Amazon have committed to spend billions of dollars on digital rights over the next several years, but it remains unclear whether they will build audiences who pay enough to justify the big investments.
"You don't want to be the guy who spent so much, only to find that you don't have enough content," said Tony Wible of Janney Montgomery Scott. "In an ironic twist, it makes you want to spend even more money."
Just last month, Netflix committed to pay an estimated $300 million a year for exclusive rights to stream Walt Disney Co.'s DIS -2.34% films after 2016. Even before that deal was announced, Netflix had $5 billion in streaming content liabilities as of Sept. 30, up from $3.5 billion a year earlier.
The liabilities relate to payments scheduled over the next several years.
A spokesman for Amazon, which includes video streaming through its $79-a-year Prime service, said the company doesn't disclose the size of its digital liabilities. In a government filing the company said that the cost of its digital content rose from a year earlier in the September quarter. In December, Amazon bought from Time Warner the rights to stream "The Closer" and "Falling Skies."
Meanwhile, competition in online streaming is intensifying. AT&T T +0.45% said Monday its U-Verse television service will start offering an online video streaming service called "U-Verse Screen Pack" for $5 extra a month, available to U-Verse television subscribers.
The new service will launch with 1,500 mostly older movies, from Sony Pictures Studios and MGM Studios Inc. "among others," AT&T said. A spokesman said that newer releases as well as TV shows are on the way.
AT&T is entering a crowded space. Aside from Netflix and Amazon, several other pay-TV operators have launched streaming services. Comcast Corp.'s CMCSA -0.45% Streampix service lets subscribers stream a variety of movies and TV shows for $4.99 a month. Verizon Communications Inc. VZ +0.88% and Coinstar Inc.'s CSTR -2.18% joint venture dubbed Redbox Instant last month began rolling out its streaming and DVD-rental service, which costs $8 a month. Dish Network Corp. DISH -1.49% has a streaming service for subscribers using the Blockbuster name, which costs $10 a month.

Here are questions and answers about what the newly passed tax bill means for millions of Americans. For a plain-language summary of the bill, click here. Some details remain unclear, however.
What happens to individual tax rates for 2013?
For most people they stay the same as last year, but for the wealthiest there’s a new permanent top rate of 39.6%, compared with 35% for 2012. The threshold for the top rate is $450,000 of taxable income for married couples filing jointly and $400,000 for single filers.
What about tax rates on investment income?
The bill does not tax dividends at the same rate as wages and other ordinary income, a change that was set to occur with the expiration of the 2001-03 tax changes. Instead, it leaves dividends in the same category as long-term capital gains.
But the bill does permanently raise rates on long-term capital gains and dividends for top-bracket taxpayers. People who owe at the 39.6% level for income tax will pay 20% on all their net long-term gains as opposed to 15% in 2012.
Meanwhile, the 15% rate will continue to apply to taxpayers in the 25%, 28%, 33% and 35% income tax brackets, and people in the 10% and 15% brackets will continue to have a zero rate on capital gains and dividends.
Did Congress fix the alternative minimum tax (AMT)?
Yes, in the nick of time. Lawmakers permanently indexed this tax for inflation and made the change retroactive to the beginning of 2012, when the last inflation adjustment expired.
If this fix had not been made, then the AMT would have applied to 34 million taxpayers in 2012. First passed in 1969, this tax was originally intended to apply to wealthy people using many tax strategies, but over time its reach has spread, especially to people in high-tax states. It would also have severely disrupted the coming tax-filing season.
What happened to the 2012 payroll tax cut?
Lawmakers allowed a temporary two-percentage-point cut in the employee’s portion of Social Security to expire. The levy will rise to 6.2% of wage income, up to a cap of $113,700, meaning that an individual earning the maximum amount will owe about $200 a month more in payroll tax for 2013.
For millions of Americans, this will be the biggest effect of the bill.
Are there other important income-tax changes?
Yes, and they affect the affluent as well as the very wealthy. Lawmakers permanently reinstated the Personal Exemption Phaseout (PEP) and the “Pease” provision, both of which lapsed in 2010. Both apply to married joint filers with $300,000 or more of adjusted gross income ($250,000 for singles).
PEP will cut or eliminate the value of deducting personal exemptions for taxpayers above those income thresholds. In 2012 the personal exemption was $3,800 for most individuals. In 2013, the exemption will phase out completely at about $420,000 of AGI for couples.
The Pease provision, named after former Rep. Donald Pease (D., Ohio), is a complex limitation on all itemized deductions—including charitable donations and mortgage interest—that will eliminate up to 80% of deductions for taxpayers above the thresholds. This phaseout’s net effect is to add about one percentage point to the top tax rate, including the top rate on capital gains, say experts.
What happens to the estate and gift taxes?
The estate- and gift-tax exemption will remain $5 million or more per individual–not the $3.5 million sought by President Barack Obama. But the current 35% top tax rate on amounts above the exemption will increase to 40%.
The exemption will remain indexed for inflation, so the 2013 amount will be more than the 2012 exemption of $5.12 million.
In addition, the estate and gift tax will remain “unified,” meaning that an individual can use the entire exemption to make gifts while alive. In some previous versions of the law, the gift-tax exemption was much smaller than the overall estate-tax exemption, meaning that most of the exemption couldn’t be used until death.
The “portability” rules will also be permanent. This provision allows a deceased spouse’s estate to transfer to the surviving spouse any unused portion of the $5 million exemption.
Was “bonus” depreciation renewed?
Yes, as an economic stimulus. Lawmakers passed a one-year extension of current “bonus” depreciation rules, which allow businesses to deduct up to 50% of the cost of a wide variety of property and equipment, excluding real estate.
What about “extenders”?
Congress extended many other temporary provisions. Some expired at the beginning of 2012 and some at year-end; lawmakers made some extensions permanent but not others, with some details still unclear.
Permanent extensions include:
Expanded dependent care credit.
Expanded adoption tax credit and other adoption assistance.
The 2001 modifications to the child tax credit.
Expanded Coverdell education accounts.
Expanded benefits for employer-provided education assistance, expanded student loan interest deduction and scholarship tax exclusion.
Marriage-penalty relief for the standard deduction, the 15% bracket and the earned-income tax credit.
Temporary extensions include:
IRA charitable contribution. This highly popular provision allows IRA owners 70 1/2 and older to contribute up to $100,000 of account assets directly to a charity and have it count as part or all of their required minimum distribution.
According to the Senate summary, many individuals who took a distribution in December 2012 will be able to contribute that amount a charity and have it count as a rollover. (Two years, through 2013)
The American Opportunity Tax Credit. For many taxpayers this credit is worth up to $2,500 and is therefore the most valuable education benefit. (Five years, through 2017)
The teachers’ classroom-expenses deduction of up to $250. (Two years, through 2013)
Tax relief on canceled or forgiven mortgage debt. (Two years, through 2013)
Deduction for state and local sales taxes in lieu of sales taxes. (Two years, through 2013)
Deduction for qualified tuition-related expenses. (Two years, through 2013)
The 2009 modifications to the child tax credit. (Five years)
Third-child Earned Income Tax Credit. (Five years)
Parity for employer-provided mass-transit benefits with parking benefits. (Through 2013)
Special rules for conservation donations. (Two years)

THURSDAY, Dec. 27, 2012 (HealthDay News) — Ever wonder why the flu is seasonal?
According to new research, widespread transmission of the virus has to do with humidity levels. The research was published in a recent issue of the journal PLoS One.

In temperate regions, such as North America and Europe, flu peaks during the winter season, when humidity is low. But in some tropical regions, influenza thrives during the rainy season, noted the researchers from Virginia Polytechnic Institute and State University, in Blacksburg.
After measuring the influenza A virus survival rate at different humidity levels, the researchers concluded that flu is more common in winter months because the virus's viability in mucus increases when the relative humidity is below 50 percent. The virus, however, also thrives when the humidity is close to 100 percent, they found.
"We added flu viruses to droplets of simulated respiratory fluid and to actual human mucus and then measured what fraction survived after exposure to low, medium and high relative humidities," Linsey Marr, an associate professor of civil and environmental engineering at Virginia Tech, said in a university news release.
When the humidity is low indoors in the winter, the researchers explained, respiratory droplets evaporate completely. Under these dry conditions, the virus is better able to survive.
When the humidity rises to moderate levels, however, droplets do not evaporate completely so the virus remains exposed to higher levels of chemicals and is less able to infect cells.
The researchers concluded that humidity affects the concentrations of salts and proteins in respiratory droplets, which affects the survival of the flu virus. That's why flu is seasonal, they reasoned.
In the United States, flu season can start as early as October and continue until late May, according to the U.S. Centers for Disease Control and Prevention.

Some of the best business ideas are planted during a recession. With an economy on the mend, we'll see if 2013 is a year when some giant ideas emerge.
Here are some 2013 predictions from a journalist who's covered tech since the dawn of the PC era:
1. The smart TV breaks through.
The idea of an interactive TV is 30 years old. Apple (AAPL), Google (GOOG) and Microsoft (MSFT) are among the many to have rubbed this genie in a bottle, with little success. But 2013 will be a breakthrough year, and that could be bad news for pay-TV operators. Cord-cutting is growing as more people realize a Web-connected TV means not having to pay for 200 channels they don't want.
2. Apple loses more cool.
Last year when I predicted Apple would lose its cool factor, fan boys erupted. But a more than 25% drop in Apple shares the past 14 weeks, the growing dominance of Samsung and Android, a decline in iPhone loyalty — a Strategy Analytics study in November found that 88% of iPhone owners would likely get another iPhone, down from 93% the year before, with the research firm citing a perceived lack of innovation as the main reason for the decline — and the fact that the smartphone is becoming a saturated, low-price commodity business means the best Apple can do for now is add some wax to pretty up its shine. Then again, its $121 billion in cash and equivalents as of Sept. 29 is, of course, a mighty weapon.
3. Bricks tumble on retailers.
Just as Netflix (NFLX) killed Blockbuster, brick-and-mortar retail stores like Best Buy (BBY) are in danger. Best Buy closed 50 stores in 2012. Best Buy, it seems, had become a showroom for Amazon.com (AMZN), which gets the sales while Best Buy gets the window shoppers. For retailers, in-store sales this holiday season were ho-hum, in the low single digits, but online sales continue to record double-digit gains. Retailers must readjust, and fast.
4. Tablets lose some luster.
As the smartphone nears market saturation and giddiness over tablet computers settles down, consumers will reconsider the workhorse PC and laptop. The tablet is really a giant smartphone, a niche product for browsing and reading. Just as serious gamers have mothballed their consoles and gone back to amped-up PCs, tablet computers will follow a similar pattern. Perhaps some will become nice serving trays?
5. The new Space Race takes off.
Expect to see an initial public offering for rocket-ship builder SpaceX in 2013, another win for its founder, Elon Musk. Amazon founder Jeff Bezos, one of the brightest minds of this generation, is making progress with his rocket-ship company, Blue Origin. NASA has opened the doors for space entrepreneurs, with the first space tourists likely to hit the high horizons with Richard Branson's Virgin Galactic.
6. There's gold in Big Data cloud.
Two of the big trends of 2012 were the emergence of Big Data and robust cloud computing platforms. Big Data applications are making sense of huge amounts of disparate data. And more of that data is being stored in the cloud, on massive storage server farms. Amazon, EMC (EMC), Oracle (ORCL), IBM (IBM), Microsoft and others will continue to push this juggernaut forward.
7. 3D printing's new dimension.
3D printing has been around more than 20 years, getting scant attention. But the field has found center stage thanks to a sharp drop in costs and a growing number of applications. 3D printing takes computer-designed objects and uses a light-emitting system to fuse liquid, powder or sheet materials into solid objects. Market leaders include 3D Systems (DDD) and Stratasys (SSYS). Widely used in aerospace, medical and other industries, it's now entering the consumer realm with artists and educators.
8. Facebook, LinkedIn reign.
Facebook (FB) took a beating in the stock market after its blockbuster IPO, but the social network soared past 1 billion global users. There will be saturation at some point, though it will never be a bad thing to have a billion members, especially since Facebook will find more ways to make money from its vast reach. Meanwhile, LinkedIn (LNKD), the social network for business professionals, is getting stronger, with the field's best business model. Twitter will totter, a prediction from last year. But about the only thing Twitter is really good at is breaking news and celebrity malfunctions. It's time for Twitter to step it up.
9. Web 3.0 arrives.
The Internet's emergence in the 1990s marked Web 1.0. After the dot-com bust, Web 2.0 arrived, highlighted by interactive collaboration as seen in social media, and the explosion of apps, multimedia and more. The Web 3.0 term refers to advances sparked by a more "intelligent" and "semantic" Web, such as natural-language search, data mining, machine learning and much more. Expect to see a surge of entrepreneurs targeting Web 3.0, with mobile wireless as the hub, boosted by areas such as Big Data, cloud computing and artificial intelligence.
10. Social media gets depressing.
I call smartphones digital pacifiers, as they enable people to avoid reality. Sherry Turkle, a professor of social studies of science and technology at the Massachusetts Institute of Technology writes and speaks on this topic. People are connecting more, but with less and less personal contact. This is resulting in what's informally described as social media depression. Social media are changing our lives, but maybe not for the better. Expect to hear more on this topic in 2013.

Smoky Market Foods, after a huge run from sub-penny to .89 in 2011, has come full circle back to sub-pennyland again as we close out 2012. The company has not failed, it has just not succeeded YET. That is expected to soon change.
SMKY is seeking some form of traditional financing to fund the acquisition of a meat-processing facility in Webster City, IA, with annual revenues approaching $30M, AND MORE IMPORTANTLY, to fund the production and distribution of SMKY's own line of smoke-baked foods.
SMKY has commitments from several major grocery chains and other distribution channels, and is only waiting for the necessary financing to be secured. It has been a challenging path of seeking the right financing with the most favorable terms, but the company now believes they are close to finally receiving such funding. January is expected to be the month to see this happen.
Much of the decline in share price from 2011 has had to do with the need to secure some interim convertible debt financing to pay for small operating expenses such as preparing financial filings (the company is fully-reporting on the OTCQX exchange). The most recent round of convertible debt shares concluded being sold into the market this week, and the stock has already rebounded from the .0042 low to a current PPS of .0075. The stock still has a long way to go to get back to 2011 levels, but with the news flow that is expected following the receipt of funding, it seems very likely that those levels be seen again. Additionally, the company intends to pay off all remaining convertible notes with the receipt of the new financing, so dilution should no longer be an issue going forward.
With news expected sometime in January, NOW appears to be an opportune time to start/continue to build a position in SMKY.

Under a shortened name, SeaWorld Entertainment Inc. has filed plans for an initial public offering of common stock.
What is currently known as SeaWorld Parks & Entertainment Inc. is backed by private-equity firm Blackstone Group BX +0.33% LP. Talk of an IPO for the company picked up earlier this month, with a person familiar with the matter saying Goldman Sachs Group Inc. and J.P. Morgan Chase & Co. had been hired to lead the offering.
Though the number of shares and the price range for offering haven't been determined, the filing pegged it at up to $100 million.
SeaWorld Entertainment said it intends to use the proceeds to pay Blackstone a one-time fee to end its advisory agreement and to redeem debt and for general corporate purposes. The company had about $1.83 billion of debt as of Sept. 30, according to its filing.
Belgian brewer Anheuser-Busch InBev NV ABI.BT +0.21% sold its theme-parks business to Blackstone for roughly $2.7 billion in December 2009. The operations include 11 entertainment parks, with brands such as SeaWorld, Busch Gardens and Sesame Place.
Blackstone will continue to own a majority of the common-stock voting power.
SeaWorld Entertainment swung to a profit of $19.1 million in 2011 as revenue climbed 11% to $1.33 billion.
The company intends to trade under the symbol SEAS.

How (RIP) Jack Klugman Helped Create The Biotech Industry

Jack Klugman, the actor famous as Oscar from “The Odd Couple” and the crusading medical examiner from the socially conscious “Quincy, M.E.,” died on Christmas Eve, according to The New York Times. He was 90. It’s no exaggeration to say that in the latter role he forever changed the drug business and helped set the stage for the biotechnology industry that was just then emerging.

Quote:A 1981 episode, about a young man with Tourette’s syndrome, drew attention to so-called orphan drugs, medications that drug companies ignore as unprofitable because the conditions they treat are relatively rare. The House Subcommittee on Health and Environment invited Mr. Klugman to Washington to testify on the issue.
“How many cries before they get heard?” Mr. Klugman said of those with rare disorders. “We are not talking about orphan drugs; we’re talking about orphan people.”

The passage of the Orphan Drug Act in 1983 made it financially worthwhile for drug companies to chase treatments for disorders like multiple sclerosis, rare cancers, even rare genetic disease. These treatments became a mainstay of the nascent biotechnology industry, which started with the founding of Genentech in 1976. Without the Orphan Drug Act, there would probably be no Biogen Idec, no Genzyme, Alexion Pharmaceuticals. In the words of the National Organization for Rare Disorders, which issued a statement on the occasion of Klugman’s death:
Quote:Jack Klugman touched the lives of millions of Americans through his support for what ultimately became the Orphan Drug Act of 1983. By portraying on his Quincy, M.E. television show the plight of patients who have rare diseases with no treatment, Mr. Klugman focused a spotlight on the need for incentives to encourage the development of medical therapies for small patient populations. He did this in partnership with patients and patient advocates who had been unable to gain national attention until he lent his support.
In 1993, Mr. Klugman told a Chicago Tribune interviewer that his interest in the Quincy TV show stemmed partly from the fact that it allowed him to do important shows on important topics — not just to entertain. By airing two episodes on the need for treatments for people with rare diseases, he addressed a very important public health challenge.
Mr. Klugman’s death comes just one week before the start of the 30th anniversary year of the Orphan Drug Act and the establishment of NORD to represent rare disease patients and patient organizations. NORD will always remember him as one of the best friends the rare disease patient community has ever had.
