Most likely grace period before going to OTC no information tier which i think is 30-45 days from the April 15th.

Due date was March 31st, they had till April 15th. Which will be 15th calendar days from the due date. So basically the report is way overdue. Which can hit anytime. My bet is it is being delayed due to the merger. IMO

They can't increase the A/S prior to a filing notifying shareholders. If the company is planning on increasing A/S, it will send a request for approval to the SEC and if approved, It must notify shareholders of the date and reason for A/S increase.
