Pulled info from last quarters report. And yes I know there are two different listings out there.
On April 17th, 2007, the Company issued 2,000 preferred shares with 20,000:1 super voting rights to Minaco-TradeX
Corp. These preferred shares were issued in conjunction with a secured line of credits for up to $600,000, secured by a
GSA on Company assets.
So Garr's address will tell us if he is staying next year.
By treasury that should take the shares out of the A/S (how many shares?)
Preferred shares, is that the 2000(that only had more voting rights) or is that other shares that were bought when they needed funding and did not report.
And what is the agreement, what did we give to Minaco-tradex for possibility of achieving specific milestones?

Garr Winters Shares

Mr. Winters has recently elected to turn back his rule 144 stock to treasury. The number of shares he held had been determined early in 2007, based on achieving business objectives and financial targets for the fiscal year. In exchange, he has reached an agreement with Minaco-Tradex to receive a number of preferred shares currently held by Minaco-Tradex, based on achieving specific business milestones for the remainder of the fiscal year.
The personal benefit to Mr. Winters is the fact that his ability to sell the rule 144 shares would be strictly limited if he continued to remain an insider after the year-end. Mr. Winters will comment on this possibility in his President’s message which is planned for next week. He will have greater flexibility to sell the preferred shares back to the Company and realize value under this scenario.
Bdog, here are PRs or TH posts on compensation. The next to last (6-22-07) one is very interesting. It states share were already issue and they were issued in May and why. If you read the post closely it makes a lot of sense. They have their shares already, but what they will be worth is their incentive to reach maximum PPs by the time they are unrestricted. Which according to Garr he will be able to sell shares in an. (according to his interview)

Executive Compensation
Senior management was issued restricted stock in early March of this year. The amount of stock was a negotiated amount, that reflected the stock price at the time and the value of the employees services for the upcoming year.The risk / reward aspect of this compensation was to allow executives to benefit from the business success they created, as reflected in the stock price at the point in time when the shares could be traded.
To issue shares on a monthly basis at the current valuations at the time would be counter-productive, effectively eliminating the upside reward for good performance. In other words, as the stock rose, they would receive fewer shares each month, limiting the incentive aspect of creating value for all shareholders.[/I]
We also believe it would be unfair to ask executives to forego cash compensation for an extended period of time, and limit the upside reward potential.

QUESTION:
You’ve said management has been already paid this year’s salary in restricted shares. Are these shares the same as open market shares (only restricted) or are they from preferred stock shares and when is the restriction over on these shares?
RESPONSE:
These are Rule 144 shares. This is the same as common stock, but subject to strict trading rules. Generally, Rule 144 stock will become available for trading after 1 year. After the one-year holding period, the number of shares you may sell during any three-month period can’t exceed 1% of the outstanding shares of the same class being sold.
8-13-2007, TH..The original intention wat to tie senior management’s compensation to the performance of the stock, via issuing restricted stock at the beginning of this year. There are no planned changes, as the original underlying logic remains the same. The incentive to increase the price per share is just as valid now as when the shares were issued

I have had my shares for sometime now. I have Scottrade and according to them they do not use peoples accounts, they may have share of companies they hold, but do not use the client’s accounts They, as most people know, said your accounts takes 3-day to settle, but once settle, you own the shares..
I agree rolltide, good news and it could pop and run right by it. I too have scott and I'm not risking it selling when I'm at work. I'm long till .02-.05 or bust. I think we still have a good 6-9 months to get full benefit of the new rev.s streams. Well hopefully there are rev.s streams coming. Anyway I'm not settling for sub-penny, this is my long shot for the year and possible if this thing pops into pennyland this next year, it will be a life changing event.

COMMENT:
As the company may already know, we (shareholders) have a good and respectable way to communicate with each other on a daily basis. Right now we are collectively trying to account for the amount of shares many of us hold on the Investor Hub. We think we can hold tight on the short selling many of us believe is going on. As you know MM’s don’t give a darn if they drive the PPS into R/S since they eventually come out on top. I would like this comment to be posted on town hall so we can further account for the shares we hold. Yes we know the numbers will not be accurate but the intention is to beat the MM’s at there own game. “BIGdogs” who’s heading this count has done this several times already, it will pay off as long as the company doesn’t screw us on this. We would like to know how Garr feels about it………..sorry IR we really need the big guy to help us out on the issue. you have my email address so please ask him if he’ll join the fight.

I do not think it is responsible of this town hall to post undocumented information on SHORTS! Especially if it is coming from shareholders of IHUB! The short positions were covered over the last month! There is not a 1-2 billion share short position! I do not think EFGO should legitimize this information by posting such a blatant propoganda campaign- from those who want the stock to go up- so they can unload their shares! I am VERY long! The trading history of the last month- does not allow for such a large short position. In my honest opinion- these “loyal shareholders” are trying to use the town hall forum as a source of media- to get unsuspecting investors to jump in with the hopes of a false short squeeze.
RESPONSE:
We are comfortable in our statement regarding short positions. This is not based solely on the ihub survey, although it did corroborate our other sources. Please share with us how you are able to calculate that the trading over the last month does not allow for a short position? We certainly don’t have the capability, nor does our transfer agent. This would be a very valuable tool.
Can you also explain how the share price going up is a bad thing?

The Check 21 Test are currently underway with the Chinese Banks. Their interest in the service continues to run high and we should be able to complete testing within the next 10 days. By that time, we will be confirming our pricing structure. It is premature to post specifics about the pricing, but it will most likely be a combination of monthly retainer fees and per transaction fees. As there is no current industry standard in China, this is virgin territory
I don’t believe a squeeze play will happen with this stock for two reasons. First the PPS has been low enough long enough to cover all shorts. Second with a float of almost 6bl, the amount that of short shares out there would have to be Hugh compare to a company with a 500ml-1bl float. IMO
The thing that's going to bring the PPS up is sign deals and rev.s
There are around 400 shareholders from the sounds of it. The other 330 people that are shareholders most likely own the other 3.3 billion that is in the float.
Is not the other held by shareholders the difference of what "we" hold and the actual O/s of 10bl shares or approx. 6.9bl shares?

Is a reverse merger or buyout on the table at this time?
RESPONSE:
There are no immediate plans for any additional M&A activity. However, the topic does come up from time to time with some of our strategic partners. For now, it is business as usual.We have the funding we need in place to carry through on the projects currently in development. This gives us the freedom to be patient and consider opportunities that may present themselves without the financial pressure of short-term funding issues.
As we start to bring some of our projects on-line, the underlying value of the Company will increase dramatically, and improve the Company’s position regarding any potential mergers and acquisitions.

QUESTION:
You just posted that there are no plans to do a reverse split. Then say that doesn’t mean never. Does never mean not tomorrow but next week?
RESPONSE:
As stated there are no plans to do a reverse split. However, we know enough to ‘never say never’. Is it possible? Anything is possible, but this is highly improbable within the foreseeable future, unless there is some very major opportunity that would require such a move. So, in the absence of any very large business developments, which will be appropriately disclosed should the time come, there will not be a reverse split.
QUESTION:
I have heard some shareholders claim that a reverse stock split will be coming soon. Any truth to that?
RESPONSE:
As we have said before, there are no plans to do a reverse split. It has not been a topic at the Board level. Doing a reverse split for the sole purpose of boosting the stock price is not on the table at this time. There seems to be a lot of speculation regarding a reverse split, but it has all been at the shareholder level.Some shareholders are pushing for one, based on the logic that by reducing the number of outstanding shares and increasing the value per share, the volatility of price changes will be reduced. I.E. At the current levels, an increase of .0002 to .0004 is a 100% gain. Similarly, a drop from .0004 to .0002 creates big losses.Please see recent discussions on our Town Hall, regarding buybacks etc. We continue to receive feedback from shareholders that the stock is undervalued. We would love to see our shareholders make big gains if the stock begins to run up again (and yes, we believe it will).Does that mean that the Company can state categorically that there will never be a reverse split? Of course not. Management would be negligent not to consider all available options depending on circumstances at any given point in time. However, at the present time, management believes that there are no underlying business factors that would indicate the need to execute a reverse split.

QUESTION:
Ok, we’ve touched .0001 so where are the updates on Town Hall? I can’t
believe the PPS has gone from .0017 all the way down to .0002. Unless there
is some huge fat contract out there I don’t see any chance of getting out of
this hole without a R/S. What are your feelings? What’s the ace in the hole
or is there one? Weeks ago we were led to expect a 10+ PR that never
materialized. Are we on our last leg rolling the dice one last time all or
nothing? Honestly now (if that’s possible with you being an employee on the
payroll for IR) will we pull out without having to do a R/S?

We are not looking for a reverse split to address the stock price issue. We will do it the old fashioned way, with meaningful results.

This is just the start. Within 2-3 months this very well could be a 5-50 bagger so lets all cross our fingers Garr strikes the big deal we all have been waiting for
