This resembles a P&D... Telogis purchased the assets of RMTD, not the stock. All this talk of R/M is just that, talk....No news, just rumors that were spread here on this board. I wonder if someone bought large, pumped this here and other boards and then dumped as the stock doubled, tripled and quadrupled from their 0.0001 acquisition price.
2/19 trade data... how?
I am looking for how I can get a historical view of the trades on 2/19. I wanted to see exactly when the massive blocks started to trade when this stock caught fire... There was 349M shares traded on 2/19, and prior to that very few....
No assets?
I agree... I posted a similar discussion this last Saturday evening. I bailed on Friday at 0.0004 when I did enough DD to see that the RMTD traded entity (the stock) may not be owned by Telogis. Telogis may have simply bought the assets of RMTD, such as the patents, the software, the products, etc... Now, if Telogis DID buy the assets, they must have paid for those assets, which is likely what the RMTD stock still reflects. What did they get? Cash? Future stock options in Telogis? What???
As Telogis was private and still searching for VC infusions, I believe cash is off the table, but I wouldnt be surprised if future stock in Telogis was part of the deal. Who knows? I dont...

My point is that I believe Telogis purchased just the assets of Remote Dynamics, not the liabilities including the stock RMTD. Telogis is listed as a "private" company, not public.
By purchasing the assets, they could buy the patents, the technology, the products, and then leave the rest behind.

The press releases all state that Telogis purchased the "assets" of Remote Dynamics. If this was an outright acquisition which took the liabilities along with the assets, the stock would have popped and then likely been closed out. It sounds like Telogis is getting vc money to eventually go public. VCs are funny about what percentage they control of a company. I am guessing this pink sheet stock is not Telogis, but linked to the vacant liabilities of the remaining RMTD shell. The valued assets are now part of Telogis.

Losing employees in a startup size company is always an issue. The reason for their departue will probably remain a mystery.
I think it is pointless to speculate as to why they were let go. As for their significance in the company, with such a small company, they probably had a significant role in the work.
But the real question is: Were they the brains behind SWARM?
I don't think so.
Check out the patent filing below. Are their names on it? Nope. Only Erik Long. If they had even the slightest bit of ownership in this design, their names would have been applied to the patent as well.

Very valid points. I stand corrected on the potential revenue streams. I agree that the success of 141 will directly correlate to what I like to call "pull through" sales and consulting. This is revenue realized as a result of the success of SWARM technology as proved by 141. If 141 proves a track record like prior Betas of SWARM, they will have a path of potential clients waiting at their door. This will not go unnoticed.

Wing, maybe I am not following, but is 141 an LLC owned by the principals of Spooz, or is it a division of Spooz? In the statement in Milo's note, it looks like it could be considered as owned by the prinicpals, which would leave the investors out of any potential gains since those gains wouldn't be considered property of Spooz. The only item that would be gained by Spooz would be the revenue generated by the sale of SWARM to 141.
OK, maybe that is a bit pesimistic, but I haven't seen anything which yet says 141 is a wholly owned subsidiary yet. When I see the following: "141 Futures, LLC is a dormant registered Commodity Trading Advisor (CTA) in which I, and other Spooz insiders, have an equity interest.", this leads me to believe that this isn't a part of Spooz.

FractalZ as a module makes a ton of sense. Thanks for that concept Imperial. It points to the capabilities of STv2 as being more than just another trading platform. With such modularity, the potential for increased revenue streams grows considerably. Their current website already alludes to modules for custom pricing. I could see tremendous potential in a large number of modules for STv2.
As you say, the support costs are higher for standalone software, and the development costs are probably higher as well. By building modules, they reduce that burden.

Busy is good...
I like to think of Spooz as a startup. In startups, the founders and employees are usually worked to the bone with a significant potential for wealth based on stock options. A startup runs on VC money until it can do an IPO for a greater infusion of cash prior to getting to market with a product to make money.
In Spooz's case, we, as investors, are the VC. We have provided them the cash to make this gamble and develop a product which can get them to market. If you read deep enough into their financial releases, the executives are working for "deferred compensation" and they are all carrying large amounds of preferred options. This represents a chance for them to make it big once Spooz makes it big. This isn't a cushy large paying job, it is a once in a lifetime shot to make it BIG and in the process they are living with minimal salaries and many hours of work per day. I am sort of glad they are so busy. If they weren't then something is wrong.

Regarding the Spooz website, my bet is that they have it ready to roll, and will plug it in an make it public once the quiet period ends and they can kick off STv2. If the top notch ads they have been running are any indication, I bet we are going to see a very slick website with plenty of information, demos and a top notch e-commerce portion to take product orders.
My bet is that they have it done already, and we wont see it until we exit this quiet period.

Ok, I need to be a bit more subdued. I have been buying SPZI for almost a year and a half and have shares as high as 0.02, which I think is a bargain considering all that is underway. At these levels, we are still a big BUY in my opinion.
I cannot urge people enough (not unlike yourself Wing) to read the iBox and call Daryl or Paul up and talk to them. Visit them if you can! See a demo!
Everyday we go, the closer to the end of quiet period we come... Just a matter of days, hours, minutes and seconds now!

Yes it would Imperial... I hope I am wrong, but I have worked in too many tech companies with lawyers that like to take their sweet time dotting every i and crossing every t before we can sign off on an agreement.
If we assume that this quiet period is due to some large deal or investment, then it would seem possible there is significant lawyer involvement in a contract. If lawyers are involved then all bets are off on a speedy resolve.
I know that Spooz would probably want a quick resolve, but when you are in a room full of lawyers arguing about the wording of a contract, it can take weeks...or months...
I hope I am wrong and this resolves in the next few days.

With this quiet period we know that there are probably many developments at Spooz that have been brewing and could be released with PRs. I bet once this quiet period lifts (could be dyas or weeks from now) we should see several PRs forthcoming. What do we have?
- STv2 launch
- A large investment PR?
- SWARM news?
- Any large broker deals?
I dont think there is a much better buying opportunity than now with what could be in the pipe and be announced in the near future.

One thing I should also post regarding a quiet period is that all insiders, which in the case of a very small company such as Spooz is everyone that is employed by Spooz, their families and their friends, are under strict guidlines that prevent them from selling or acquiring any shares or options in Spooz. This includes any external counsel and anyone involved in the process of this major event. This restriction is lifted usually 24 hours after a public announcement. This will limit the potential for an insider trading scandal.

Quiet periods like this are common in many small to medium sized public companies. I currently work for one that is NASDAQ listed and we see many quiet periods during times of significant financial developments. These can be both good or bad.
If Spooz is securing some significant investment and are working through how this investor will get an interest in the company via preferred stock or the like, until they ink the agreement and the lawyers sign off on the agreement, they will remain in a quiet period. Usually the quiet period will end with a large PR that details the significant development.
I have seen quiet periods for multiple reasons:
1) Product failures - where they need to restate a delivery date or recall a product.
2) Significant financial impact of a lawsuit or investment.
3) A large sales agreement with an individual customer which will represent a huge portion of the revenue of the company.
4) Mergers or acquisitions.
I am not concerned regarding Spooz. I have been hoplding this company for over a year and a half, and have been continually accumulating. If it takes a few more days or weeks or even a month to ink this deal out, as long as it is done in a manner which benefits Spooz and its investors, this is a good deal. I am not going to go into a selling panic because they dont release a PR in the next 20 minutes. This is a long term investment, not a flash in the pan to cash in on the next PR.
Do your DD and you will see a company that is planning for significant growth, but they aren't rushing it. They want to make sure this is sustainable and real.

I would expect the float is quite tight. We have seen the past week or so with a greater number of buys to sells. With any good news this stock is going to soar faster than that C130.

Very true Wing.... It has been quite some time since we have had some antagonist battles... Hebroots comes to mind several months back when SPZI was in a tailspin from 0.02 down to about 0.006. I do not mind some discussions based on facts, but when they turn into name calling, I usually press the iggy button.
I expect we are going to see quite a bit of activity over the coming months. We will see many new investors, of which a large percentage who will not due much in the way of DD. We will see the P&D crowd, we will find those occasional few that do the DD and see their eyes go wide on the future prospects of SPZI. That is what it means to be a long term investor. You take the ride up, with irs minor falls and bumps, but you stay true because you know what the future holds.
I have told many people off of this board that this is not your typical pinkie. I have played many pinkies before and they usually make me very nervous to maintain a position when I am away on business or vacation. I like to have my finger poised over the "sell" button when I see news or fundamentals that make me question the potential or risk. With SPZI, I feel like I could almost chuck it in a drawer and check on it only on a quarterly basis. Yes, I know people will harrass me for foolishness, but before you criticize, do a few things:
1) Read the entire iBox on this board to get an idea of the business and direction
2) Understand the current stock position: O/S, A/S, pps and market cap
3) Look at the potential future revenues and figure out what this could mean for the pps.
4)Take the software demo for a ride. Yes it is STv1, but you can download it for free as a trial.
5) Call the company up, talk to Paul and the team at SPZI.
6) Get a demo of STv2. If you are not a professional investor, bring one along with you to see the demo, or do some reasearch beforehand of the competition.
7) Then come back and tell us what you honestly think....

I wouldn't be surprised, but with the number of longs I have seen on this board and some of the statements of their positions, that the longs on this board control more than 10% of the outstanding shares of Spooz. It may be as high as 15-20%. Fairly impressive considering what that will be worth in the future....

This is true Imperial. Every company that grows has its growing pains and needs to learn and hire to manage the growth. I haven't worked for a single company that has mastered growth (or shrinking) perfectly. You hope they learn from mistakes and move forward.
Like you said, we will cross that bridge when we get to it.

LOL Wing. You picked out the gems in the rough as well. I thought CHRIS did an outstanding job providing us with a history of Spooz prior to most of our investing, gave us some deeper insight into the founders, and put some very realistic expectations on what to expect. Spooz is not a flash int he pan, it is a company that wants to grow, and grow smartly.
Too bad we didn't have a star rating on posts so we could float them up and help us find them easier. As it stands now, I start turning on filters based on alias names to discern which posts are ones I should read.

Wing, regarding PPS, I expect we are getting many newbies visiting this board. Their first reaction is to look at the current PPS, look at the rise we have had over the past few weeks and before doing any deeper digging wonder how much more can this go up? This fuels a pointless debate. 0.10, 0.30, 0.50, 1.00?? Only time will tell, and for those of us in this for the long haul, we aren't going to jump ship early at all with all we have learned... I expect we are going to see many more newbies with the same question... My biggest problem is that I need to weed through countless posts to dig out the good content...

I agree with you Wing! I have been investigating and watching this company for 18+ months. We are building into what I like to call the "Big Bang" of Spooz. This is where those years of development and positioning will pay off with dividends. Often the small investor never gets this sort of opportunity. It is usually reserved for those few that have enough capital to invest through VCs. The potential is HUGE.
