Falkland Oil and Gas to Merge with Rockhopper

Falkland Oil and Gas Limited (FOGL) and Rockhopper have reached an agreement for a recommended all-share merger, pursuant to which the current shareholders of Rockhopper will own approximately 65% of the combined group's issued share capital and FOGL shareholders will own approximately 35%.

The merger values the entire issued and to be issued share capital of FOGL at approximately £57.1 million (US$86.5 million), and each FOGL Share at 10.70 pence, which is 11% premium to FOGL's closing share price of 9.60 pence on 23-Nov-2015. As per the merger agreement, FOGL shareholders will receive 0.2993 Rockhopper shares for each FOGL share....

Farm-out agreement completed with

Premier Oil Exploration and Production Limited ("Premier") and Rockhopper Exploration (Oil) Limited ("Rockhopper")

in respect of certain North Falkland Basin licences


FOGL, the oil and gas exploration company with its extensive licence areas offshore the Falkland Islands is pleased to announce that the farm-out with Premier and Rockhopper in connection with the Falkland Islands licences PL004a and PL004c has been completed.


As announced on 3 October 2013, FOGL signed heads of agreement ("Heads of Agreement") with Premier and Rockhopper on 3 October 2013 with respect to a farm-out of licences PL004a and PL004c (the "Licences") (the "Farm-out"). The Farm-out is with respect to licences in which Desire held working interests of 92.5 per cent. and 75 per cent. respectively. Following the Scheme of Arrangement becoming effective on 5 December 2013, the Farm-out Agreement has now been signed by all parties.


Premier and Rockhopper have now farmed in to the Licences and as a result, the enlarged FOGL group's new operated working interests in the Licences have both been reduced to 40 per cent. Premier and Rockhopper will fund FOGL's share of the cost of two exploration wells, one on each of the Licences.


It is anticipated that these two wells will be included in the next drilling campaign, which is expected to commence in late 2014/ early 2015, and will be targeting the Isobel and Jayne prospect stacks.

Terms and expressions used in this announcement shall, unless the context otherwise requires, have the same meanings as given to them in the circular sent to shareholders of FOGL on 23 October 2013.

FOGL, the oil & gas exploration company focused on its extensive licence areas to the South and East of the Falkland Islands, announces the following arrangements in respect of awards to be made under its Long Term Incentive Plan for directors:-

THE FOGL LONG TERM INCENTIVE PLAN (LTIP):

The grants awarded under the FOGL LTIP have a three-year performance period and a ten-year term. Each year, at the discretion of the Remuneration Committee a new grant is awarded, and for 2012 new grants have been approved for executive directors as follows:

The Size of Grant: Grants are awarded under the LTIP as a combination of restricted shares (par value options) up to a maximum of 50% of annual salary, and options with a market value exercise price, up to a maximum of 100% of annual salary.

Restricted Share Vesting: Restricted shares will vest on the achievement of strategic objectives and operating milestones over a three-year performance period. Continued employment with FOGL is required for vesting.

Market Value Option Vesting: Options will vest according to absolute share price growth calculated over three years. Growth under 33% will not be rewarded. The total award will be calculated by reference to the total number of days on which this target 33% share price growth is exceeded during the three-year period, with a maximum award possible where the average growth reaches 73%. Continued employment with FOGL is required for vesting.

Exercise Period: Grants vested under either or both plans may be exercised up to ten years from the date of award.

Exercise Price: The exercise price for the market value options for the 2012 award is 28p, being the share price as at close on 28th December 2012.

FOGL, the oil and gas exploration company focused on its extensive licence areas to the South and East of the Falkland Islands, is pleased to provide the following update in respect of 3D seismic operations.

The PGS M/V Ramform Sterling has commenced a 3D seismic survey over the mid Cretaceous Diomedia fan complex within the southern area licences. The survey will cover a minimum area of 4,000 square kilometres and is likely to take approximately 4 months to complete. This survey will be operated by Noble Energy Inc.

The original plan was that the Diomedia survey would be acquired later in 2013. However, due to the late completion of the Scotia well, there has been insufficient time to allow the Scotia results to influence the exact location and design of the 3D survey. As a result, FOGL and its joint venture partners have decided to swap the order of the two surveys and the northern area 3D survey will now be acquired in the fourth quarter of 2013.

A second 3D survey, operated by FOGL and using the PGS M/V Ramform Challenger, is expected to commence in the first quarter of 2013. A further announcement regarding this survey will be made once the vessel arrives in the Falklands.

Scotia (FI31/12-01) Well Results

FOGL, the oil and gas exploration company focused on its extensive licence areas to the South and East of the Falkland Islands, announces the results of the Scotia exploration well.

FOGL is the operator of the well, holding a 40% interest, whilst Noble Energy Inc. holds a 35% interest and Edison International Spa, holds the remaining 25% interest. Under the terms of the farm-out agreements, FOGL is paying 15% of the costs of this well.

Well 31/12-01 was drilled to a depth of 5,555m. The well penetrated the mid Cretaceous aged reservoir objective on prognosis. The Scotia objective had been identified on the basis of its seismic amplitude response. Strong gas shows (C1 to C51)were encountered whilst drilling the target section. Interpretation of wireline log data indicates that the target interval 4719m to 4769m comprises 50m of hydrocarbon bearing fine grained sandstones and claystones. The wireline logs indicate that, at this location within Scotia, the sandstones form fairly poor quality reservoir, although some zones have up to 20% porosity. Other thin hydrocarbon bearing sandstones were encountered beneath the main target in the interval 4900m to 5164m. Subsequent evaluation of the main interval using a wireline formation testing tool did not flow hydrocarbons, indicating that the reservoir has low permeability.

The well was deepened below the main target in order to penetrate and sample Cretaceous aged source rocks. Rock cuttings and sidewall core samples have been obtained from several potential source rock intervals and these will be sent to the laboratory for detailed analysis. The results should provide vital information on the quality and maturity of these source rocks and also provide a better understanding of the distribution of oil and gas within this part of the South and East Falklands basin. A further announcement on the results of this work will be made in the first quarter of 2013.

The Scotia well has proven a working hydrocarbon system in the mid Cretaceous Fan play and has also demonstrated that Scotia is a viable stratigraphic trap. Whilst reservoir quality at this particular location was poor, it should be recognised that the seismic amplitude anomaly that defines Scotia covers an area of approximately 350 square kilometres. As such, further technical work is required to assess just how representative this result is, and whether or not better quality reservoir may exist elsewhere within Scotia.

The well data will be invaluable for calibrating the forthcoming 3D seismic programme. The 3D seismic will be used to map sand fairways in the play and, when combined with detailed analysis from the Scotia well, should allow identification of better quality reservoir and differentiation between oil and gas prospects.

FOGL now intends to plug and abandon the well and this is expected to take approximately 10 days. On the basis that the well is completed within this timeframe, it is estimated that the Company's cash balance post the 2012 drilling campaign will be approximately US$220 million.

The PGS M/V Ramform Sterling is expected to arrive in the Falklands and commence 3D seismic acquisition imminently. A further update on this work will be provided in due course.

Are there any American investors here.......or is this mostly a Brit-board?

I remain surprised that we haven't heard more about the Loligo NG find by now. You'd think they would be just a little excited with a find that is likely 20 Trillion cubic ft. of NG and NGLs...........

Not many finds that large on the planet! Even with it being in a remote area, if there is a good amount of NGLs........say 80-100 bbls per MCF that comes up the pipe.........their JV partners would likely want to plan a liquefaction plant on the Falkland Islands......to export all that NG.......or at least pump the NG back down into the reservoir, and have a tanker take away the NGLs to Brazil or elsewhere.

They must know more info by now from the sidewall cores of the wellbore.

Also.....I think enough time has passed, that the sidewall cores have been examined in the lab......and now they are sitting on the info, for some reason.

Maybe when they do a PR on Scotia next week........they'll include info on Loligo.

Investors have been patient......but it's high time we get some news!

Scotia well should be at TD within the next few days. Hopefully, the wireline info will be good enough to cause them to conduct a flow-test.

Goooooo! FLKOF

Okay, I have spent the last few days researching the science of 'mud-logging' thoroughly, and I have come to the following conclusion. FOGL/FLKOF's 'Loligo' well was not a gas discovery, but an oil discovery. Mud-Loggers do not experience C1-C5 shows unless oil or condensate (liquids) inhabit the formation that is being drilled... This is a fact...

I believe that FLKOF/FOGL Management chose to call the well a 'gas' discovery in order to maintain an undervalued stock price - or a price per share that will be attractive to potential buyers (who I have a sneaky suspicion will be Anadarko).

I believe that the upside of owning FLKOF is the potential buyout that could happen at anytime, but certainly not in the next two months while FOGL/FLKOF is drilling their 'Scotia' Prospect. Also, I would expect for a buyout offer to occur before FOGL/FLKOF completes 3D Seismic next year.

Speaking of Scotia, I would look for any positive results from drilling to be suppressed in the same way that believe Loligo results were.

Long story short: This is a great 'buy & hold' company... Remember, assuming that Scotia does not run into significant drilling problems, then FOGL/FLKOF will exit 2012 with $200,000,000.00 of cash on hand, While the Market Cap is only about $360,000,000.00... meaning that the market on values all of FOGL/FLKOF's leases & holdings as being worth $160,000,000.00... FOGL/FLKOF is the deal of the century...

FLKOF is turning around... on the London Exchange...

FLKOF's current Market Cap is ~$380MM. If you subtract the company's $200MM in cash (this figure is estimated cash after drilling the 'Scotia' prospect in a week or two, then you get $180MM

This suggest that the Market values FLKOF's reserves at being worth $180MM...

FLKOF is estimated to have 80 Billion BOE of recoverable reserves. 35% of these reserves are Noble's, leaving FLKOF with 52 Billion BOE.

This means that the market has assigned a value of $0.00346 per barrel to FLKOF's reserves...

Holy under value batman!
That is a gigantic statement coming from you, considering how tremendously undervalued you view SIOR. Go Falkland Oil and Gas!

I do believe Falkland is on on of the biggest discoveries in the last 10 or so years as far as HC's are concerned...but it will take a while to realize the true potential of the find, some major(s) will probably try to take them out before this actually happens, my opinion...and thanks for the graphics, too.

FLKOF proved that they do not have a lot of practice writing Press Releases... I feel that they did a very poor job of conveying their thoughts/information to the public. To compound things, this stock price is valued by the British Public [FOGL] who has proven very conservative when pricing Oil & Gas Companies... for example FLKOF has 80 Billion BOE of bookable reserves, yet the market says the company is only worth $250MM...

The British Press was really hoping for oil, and they viewed this discovery as a disappointment. They do not realize that FLKOF just proved that all 6 Horizons of the Loligo Prospect are saturated with Wet Gas. Yes, Wet Gas, the PR stated that C1-C5 was observed while drilling all 6 sands... C1 is dry gas (methane), C2-C4 is Wet Gas, C5 & up is condensate... 99.9% of gas detection equipment does not quantify hydrocarbons above Pentane (C5) because it does not 'break-out' of the drilling fluid as a gas at the surface. Instead it remains dissolved in the drilling fluid because it is at the low end of being condensate & remains a liquid...

We can already infer that the gas is definitely wet, and will produce condensate as well - we just do not know how much condensate will be associated with a given unit of produced gas... It is a shame that they were unable to get a good formation test & sample the reservoir fluids, that would have saved a lot of guess work. However, they will be able to deduce the reservoir's exact contents from the sidewall cores...

Below is an example of a Deepwater well that had c1 through c5 shows throughout an entire interval that was productive for 52 degree API Crude (which is condensate... Really more like straight Jet Fuel)...

a few months and we should know whether it has wet properties along with Scotia results...the way the drill bit went through on this last well, drill time should be trimmed a bit, don't you think?

BTW, off topic, my family land in MS has another well on it, workover rig setting the production string this week, I think.

Farm-out Agreement with Noble Energy


FOGL, the oil and gas exploration company focused on its extensive licence areas to the South and East of the Falkland Islands, is pleased to announce the execution of a farm-out agreement with Noble Energy Falklands Limited ("Noble"), an affiliate of Noble Energy, Inc. (NYSE: NBL), a leading global exploration and production company. The license position consists of 40,000 square kilometers (10 million acres).

Summary terms of the Farmout Agreement:

· Noble will farm-in to the Northern Area Licences for a 35% interest except for two excluded areas. FOGL will continue as operator of the entire Northern Area Licences until early 2013, when operatorship of the farm-in area will be transferred to Noble.
· The excluded areas within the Northern Area Licences will be delineated both geographically and stratigraphically and comprise the Loligo complex and the Nimrod-Garrodia complex. Noble will not participate in certain stratigraphic horizons in these excluded areas and FOGL will retain a 75% interest and operatorship with Edison International S.p.a ("Edison") holding the remaining 25% interest. However, Noble will remain a participant in the excluded areas regarding other horizons.
· Noble will also farm-in to the Southern Area Licences for a 35% interest, with FOGL continuing as operator of these licences until no later than early 2014, when Noble will become the designated operator.
· FOGL will be proposing to the partners that the Scotia prospect in the Northern Area Licences will be drilled in the fourth quarter of 2012 immediately following the FOGL Loligo well.

Noble's financial contribution comprises the following elements:

· 60% of the Scotia well costs, including associated costs incurred during 2011.
· A $25 million cash contribution to be paid in January 2013 predominantly relating to certain historical costs.
· 60% of the costs of the Southern Area Licences commitment well.
· 45% of a discretionary exploration well, should Noble elect to participate in the well.
· Noble's total investment over the next 3 years is currently estimated to range between $180 million and $230 million.

Resulting licence interests post farm-out

Northern Area Licences equity split
FOGL: 40%
Noble: (operator) 35%
Edison: 25%


Excluded areas within the Northern Area Licences: Loligo complex and the Nimrod-Garrodia complex
FOGL: (operator) 75%
Edison: 25%


Southern Area Licences equity split
FOGL: (operator) 52.5%
Noble: 35.0%
Edison: 12.5%

This farm-out brings in another significant industry partner for FOGL whose interests and expertise complement those of Edison. The farm out substantially improves FOGL's financial position. In the event that the Loligo and Scotia exploration wells are drilled within budget, it is estimated that on completion of the wells the Company's cash balances will not be less than $200 million which will provide the Company with significant funds for additional exploration work. Given suitable encouragement from the 2012 drilling results, this is likely to include two 3D seismic surveys to be acquired in the Northern and Southern Area licences commencing in early 2013. Further exploratory drilling is then anticipated to commence in late 2014 and may include a programme of up to four exploration wells.

The farm-out to Noble is subject to the approval of the Falkland Islands Government.

always thought when a well operator runs down casing, especially 6", they wouldn't waste the money for it "if" there wasn't something down there worth the while...the increased pressure was the reason they ran the casing , then they still couldn't control the pressures too well and decided to stop before total down...
also a long time running hole logs and such on a supposedly "dry hole"..."lot of money spent on the rig days"...that says something in itself, IMHO!
assume a directional drill to see what's under that last casing stop...may be more life to BOR than is previously thought...
condensate results due before the end of the month, will be interesting!
there's a "plum in the pudding" somebody hasn't talked about!

Too bad BOR didn't hit ... I was expecting FLKOF to be at least in the 1.5 - 1.75 range when the farm in news was finalized... Had to sell down my stake at a small gain to derisk my holdings. Dow to 20k shares from 70k. 12k shares are a ride. If she announces something good on the 1st target I'd be buying and double my position at a higher price. Good luck all.

As of Aug 2nd rig is on location. Not sure how long it will take to get set up. I would think a week or so to get set up... Then 30-60 days to get to td

That's ok, not a lot going on here on the board, but it should change this month...

and over on the other board we conversed on the pumps keep at it, that's all I'll say about that...

this looks like a much better company with resources and very large potential...

was reading on a thread you noted on another post that the company possible would be dropping NR's every time they went through a formation they were targeting...???

that will be interesting to say the least if it's true...

haven't got much dry poeder to throw at it right now, but hope to have some by the time they get to 2nd level...might not be able to afford it then! Bought some but it's a small amount for now.

What's your estimation for spudding the well?

How big does that floor pipe need to be?...

I remember reading about "deepwater", but I didn't know how big that pipe really was... last time I worked offshore, don't anymore, the "drive pipe" in shallow gulf I saw was "48 inch". I guess you are referring to something larger?

I'm not sure what Wayne & Jones are, are they secondary FLKOF prospects? I have mainly been focusing Loligo.

I think thais dip is due to the pressure concerns which caused BOR to abandon their 'Stebbing' well... Hopefully, FLKOF was able to utilize the problems that BOR ran into & adjust their drilling program to avoid similar issues... All they would have to do is start out drilling a larger hole, so that they will be able to utilize more casing strings to seal off abnormally pressured formations that may encountered.
The larger the hole, the more options that the operator has when problems start happening...

I hope this one turns out to be oily also!

France’s EDF Buys Into Falkland Oil Wells Amid Dispute

June 26 (Bloomberg) -- A unit of France’s state-controlled power company bought a stake in exploration wells planned by Falkland Oil & Gas Ltd., undeterred by Argentina’s claim to sovereignty over the South Atlantic islands.
Edison International SpA , a unit of EDF, will receive a 25 percent interest in Falkland Oil’s northern licenses and a 12.5 percent interest in southern licenses off the archipelago that Margaret Thatcher went to war to keep British in 1982. Edison will pay drilling costs of about $50 million and make a separate cash payment of $40 million, Falkland Oil said today in a statement.
Edison, the Italian utility acquired by EDF last month, is the first French-owned company to invest in exploration off the islands. British Prime Minister David Cameron reiterated this month there would be no negotiation over the territory’s future after Argentina protested the deployment of a warship to the region.
“The rhetoric hasn’t affected our plans so far,” Falkland Oil Chief Executive Officer Tim Bushell said in a telephone interview. “It’s a tricky year because of the anniversary of the war but we hope it calms down from here.”
The shares climbed as much as 7.9 percent and traded up 2.5 percent at 90.75 pence as of 11:15 a.m. in London. The stock has gained 74 percent this year.
Before agreeing to sell the stake to Edison, the company held talks with companies based in North America, Europe, the U.K. and Asia, Bushell said.
The European Union last month censured Argentina for the seizure of oil producer YPF SA from Spain’s Repsol SA and challenged Argentina’s import restrictions at the World Trade Organization. The 27-nation EU is Argentina’s second-biggest export market and its top foreign investor.
Fully Funded
Falkland Oil raised 48.5 million pounds ($76 million) in January and is fully funded for the two wells it plans this year targeting more than 4 billion barrels of reserves. The deal with Edison frees up about $100 million for future investments, Bushell said.
An EDF spokeswoman couldn’t be reached for immediate comment.
Falkland Oil said it expects to receive the Leiv Eiriksson rig in July, a month later than planned, after Borders & Southern Petroleum Plc completes its Stebbing well. Bushell said results from the first well in the Loligo prospect are expected in September.
Borders & Southern in April announced a discovery of gas condensate in its Darwin prospect, close to Falkland Oil’s fields. If gas is discovered at Loligo rather than oil, it could contain as much as 30 trillion cubic feet, enough to justify building a plant to liquefy the fuel for shipping, Bushell said.
Rockhopper Exploration Plc, the only company to have made a commercial discovery in the Falklands so far, is seeking $2 billion from a larger oil company to develop the Sea Lion field on the northern side of the islands.
