Humana Trans Services Corporation, founded in 2001, is publicly traded under the ticker HTSC. Headquartered in Hanover, Maryland, it maintains a branch office in Lemont Pennsylvania. The company’s primarily operations are in the area of outsource human resource services through its subsidiaries: Humana Trans Services Group and Humana National. The company intends to expand through internal growth and synergistic acquisitions.
Clients of HTSC currently include Cardinal Health, Owens & Minor, Penske Logistics, Royal Ahold (and several of its subsidiaries that includes Giant Food Stores) and Safeway
HUMANA TRANS SERVICE GROUP, based in Hanover, MD, operates in five states and specializes in the recruiting and leasing of commercial fleet drivers, on behalf of its clients. As a single-source solution, the company utilizes the D.O.T. Compliance Program to process drivers from recruitment to permanent employment, through a series of phases such as; recruiting, drug testing, compliance, and administrates payroll, employee benefits, ability to write workers compensation insurance – without restriction – and temp-to-perm.
HUMANA NATIONAL was formed in November 2003, following the purchase of Corporate Programs Administrators, a $25 million per year full service Professional Employer Company, or PEO. It offers services from basic payroll administration to human resource management, and CO-employer services (where Humana assumes all employer responsibility of the clients employees, while the client maintains day-to-day control over those employees).

Humana Trans Services Corp, through its core operating subsidiaries, seeks to become a dominant provider of human resources solutions in North America, through the building of a national “branded” network. . At the same time, we intend to create the best personnel management system to small and medium-sized businesses in an array of selected industries.

IDENTIFICATION OF SYNERGIES
Humana has accumulated information on areas of the HR business which will benefit from consolidation and combination of operations including greater purchasing power, creation of branded identity, centralized processing, utilization of best practices and common technology platforms. HTSC intends to:
-Expand value added services to the combined customer base.
-Maximize per job margins.
-Integrate information technology and systems into a single platform. Consider in-house application hosting into a secure ASP (application service provider) environment.
-Aggregate purchasing volumes to achieve greater discounts in the purchasing of workers’ compensation, insurance and general business expenses.
-Centralize accounting, procurement, payables, treasury operations (cash management, credit, etc.).
-Standardize compensation plans for all employees.

Management Team
Ronald Shapss, 57, Chairman of the Board
Mr. Shapss is a pivotal figure in developing corporate growth and planning for the Company. He is the founder of Ronald Shapss Corporate Services, a firm engaged in consolidating fragmented industries. RSCS was instrumental in facilitating the roll-up of several companies into such entities as Consolidated Delivery & Logistics, CoreStaff and U.S. Delivery. Mr. Shapss was the founder of Coach USA, a transportation concern. He is presently on the advisory boards of Consolidated Partners Founding Fund and 1+ USA, which founded Advanced Communications Group, a competitive local exchange carrier that has shares trading on the NYSE. Mr. Shapss is a graduate of Brooklyn Law School and member of the New York State Bar Association.
John Daly, 52, President
Mr. Daly is charged with running the firm's day-to-day operations. He also heads up Bio-Solutions of Maryland, a bio-remediation concern that is owned by Humana. Mr. Daly possesses over 20 years of sales and marketing in the shipping and transportation industry. Before his arrival at Humana, he was Vice President of HumanaSource, a multi-million dollar company that provided driver leasing & recruitment services. During the course of his professional career, Mr. Daly has managed the successful growth of three corporate entities.
George L. Riggs III, 53, Chief Financial Officer
Mr. Riggs is responsible for the preparation of all financial filings for the company. Prior to his arrival at Humana, Mr. Riggs was the founding partner of Riggs & Associates. He specializes in the accounting of public and privately-held corporations with a distinguished track record in M&A, litigation support and bankruptcy reorganization. Mr. Riggs was formerly a partner at Big Five accounting giant Deloitte & Touche and is a chartered member of the American Institute of Certified Public Accountants.
