ENRJP~~Private Placement

On December 20, 2017, EnerJex Resources, Inc. (the “Company”) entered into a Stock Purchase Agreement for the sale of 1,061,750 shares of its Series A 10% Preferred Stock (“Preferred Stock”). The Preferred Stock was sold to one investor at $0.612 per share or the aggregate of $649,791. The Company intends to use the proceeds from the sale of the Preferred Stock to satisfy certain closing conditions of its previously announced Agreement and Plan of Merger with AgEagle Aerial Systems Inc.

The Preferred Stock was issued pursuant to an exemption from registration under Section 4(a)(2) of the Securities Act of 1933. The securities will not be or have not been registered under The Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.

The above agreement is qualified in its entirety by the contract between the Company and the Purchaser. A copy thereof is attached as Exhibit 10.01 and incorporated by reference herein.

when will this company pay the stockholders their past due dividends?...something is fishy about this increase in sp..it will probably all get wiped away in next week's trading sessions

I've been wondering the same thing. There have been no clues on the website or in the recent SEC filings as you've noted. I have been holding on and am wondering if the buying is in the anticipation of profitability (Q1/Q2 2017) and eventual re-instatement of dividends. Would be happy to hold another year or two if necessary to get cumulative dividend payout and regular payments again! Unfortunately, we've got a lot of debt that supercedes our claims/place in line.

Anyone know what is going on with the sudden uptick in ENRJP stock? There have been 2 SEC filings, the most recent 3 days ago, after which the stock shot up to $3.00 and closed yesterday at $2.37. I didn't see anything positive in the SEC report, other then the company wanting to meet NYSE compliancy again...one of those measures for NYSE is $4.00 minimum I believe.

Any input or thoughts would be great!
