It seems to me that the same principals for AJAY are also involved with CPVD.OB currently trading at .002 or less .. They seem to be involved in two or more lawsuits - which I am trying to research for merits .. Do any of you fellow posters have info ??

All I could find was ..
The Company incurred $22,964 and $3,823 of professional fees for the quarters ended October 31, 2005 and 2004, respectively. The increase in 2005 is due to the legal expenses incurred in relation with the lawsuit filed in the United States District Court, Eastern District of Michigan, Southern Division. See Part II, Item 1, Legal Proceedings .. No further info was available

From the filings I couldn't really determine what was going on re the court case. I understand why you don't want to discuss it at this time.

When you get some time perhaps you can provide some insight as to what is going on at Pro Golf and what your opinion is where they are going next. They have done a good job of cleaning up the balance sheet. Thanks.

From Ron Silberstein - just found this board - and was surprised to see posts on here about me and the lawsuit.

So, some information (I was CFO and Chief Administrative Officer of Ajay Sports Inc. and all of its subsidiaries from 8/1/99 - 1/5/04):

The trial is starting tomorrow Sept. 21.

My lawsuit (I am the plaintiff) alleges that I was fired from Ajay, Pro Golf, etc. for refusing to commit accounting fraud. The lawsuit gives a few examples of some things I was asked to do by Tom Itin, that I refused to do.

My witnesses will include executives and employees of Pro Golf who were there working with meduring the time this all happened.

For now, that is all I am going to say. However, it is also important for you to note that the counterclaim filed against me by Pro Golf that, among other things, alleged I was taking kickbacks form vendors (that charge related substantially to when I joined the Ajay group and was bought out of my CPA firm) has been, for the most part, dismissed.

News flash: Brian Donnelly is no longer acting as Pro Golf president...and apparently the Pro Golf annual show was a total bust.

well, i have more shares than you do! (not something i am proud of though) as far as i can tell, progolf.com owns nothing - no trademarks, etc and only has a lousy commission agreement with gsi for website fulfillment. they are also involved (pro golf of america i think) in a lawsuit with somelarge franchisees over this.

hello twitin mitch. im actually in the same boat. 10,000 shares of f'all so far. titin actually reasured me that everything is above board etc. i called him after the madison group were arrested etc. there was a team of investors in sydney ( called SARS ) at one stage filing a class act against him. havent heard back from this group. im contactable any time via email. should u need any copies of his emails etc. tnx greg

Ok, Im just a bit confused now!! Message to Greg, Firstly why does your name come up as Thomis Itin and not Greg as you signed of in? isnt thomas Itin the chairman of the company? I did purchase of the "madison group" have recipts of the purchase and the stock certificate .Both Roald N Silberstein, as the Secretary and Thomas W Itin as the Chairman on the certificate. Obviously there has to be some value or current price to this stock. Aslo does anyone know the rulling for a IPO not listed after a period of time? Is there a "sunset clause" that allows moneys to be refunded if the stock is not listed on the exchange after a certain period.

I am from Australia and will be in the US for business in September.

I will be going to make a "visit" to the company directors. (whoever they may be at the time, any suggestions on who to see?) I will also endevour to get some answers as to the lack of reports and information about this stock as its there duty and is stated in there by-laws and trading ettiqute.

The trial is for Ajay, Pro Golf, Progolf.com and Pro Golf International - they are the defendants in the suit. Pro Golf stopped the disclosure related to kickbacks from vendors because the judge dismissed those claims.

The Greenville SC store left the system months ago. Check out the store locator on the Pro Golf website, the store is not listed anymore.

Isn't the trial for Ronald Silberstein?
I thought he was the guy that was taking kick backs from the AJAY suppliers. If that's the case he should be sued.

Where did you get 115 franchisee count? I'm sure it must be in one of the Q's I just haven't looked for it. I talked to Brian Donnelly in the spring and he told me they had 114. I guess one more is better than one less. I agree it looks like sales are not doing well.

As far as Greenville, SC defecting... Where did that come from??

I would be very surprised if there is somebody else "watching this stock". It appears from the latest filings that the franchise company is failing - notice the decline in revenues (which are virtually 100% derived from sales of franchises and royalties from franchise stores? Some of the strongest stores in the franchise have bolted - for example, the Greenville SC store. Others are closing at a regular pace - note that total stores are now only 115 per the filing (and if you look at recent press releases they had a record year in 2004 selling new franchises).

Someone else is watching this...

At least we got a nice price increase. Perhaps there will be more buyers now that the Q's are up to date.

unfortunately, it's got to be Itin converting stock that he acquired from Williams Controls that he never should have acquired - self dealing, as Williams had wirttien off all the Ajay debt 9see Williams SEC filings) and instead Itin negotiated an agreement to acquire the debt and preferred that Williams owned. So not he finally converts it to common as he never wuld have been repaid anyway. I say - ignore the "net income" and focus on the substantial reduction in revenues - this company appears to be headed downhill. Likely - poor management.....why are revenues going down when they've sold so many new franchises? Royalties should be going up as new stores open!

28M shares out now, converted some preferreds to common, but made .01/share anyway! Not too bad.

I am just wondering what would be the price of progolf.com, inc shares at the moment. I have 2000 shares purchached in January 15th 2001 for the price of 6.50 each. Has the company listed them on the stock exchange or when will they be floated? Is there any possibility in selling them at the moment and for what price. The shares are "restricted securites" under rule 144.

Ajay filed it's 2005 10Q's and 10K today. Looks like they are doing well!

I'm laughing at this one - maybe his priority should have been to enhance relationships with the employees and franchisees and vendors, instead of pissing them all off? From what I have heard, there are only 2 employees (not counting the CEO Itin) who were there when he started that are still there (the bookkeeper and a low level store support guy). And the storeowners mightuily dislike this guy, and the vendors hate him and take their dislike out on the stores.

hi - no, i am not connected with pro golf/ajay in any way. however, i do have knowledge of the company and it's management and the issues they face/they have created. given that the company's financial situation sucks (a technical term), catching up on sec filings will not help it. they are in default with the bank and have been. the stores are losing money. some of the best stores have left the system. new stores can't get open accounts with key vendors. they talk about a "company store" but have not been able to fund it since present ownership acquired the company. the website royalties earned are nil. they are in litigation that could cripple the company if lawsuits are lost. it's smoke and mirrors, my friend.

Thanks for your point of view. I bought some of this as a long shot that if they ever get their SEC stuff up to date that the price might improve considerably. I have over 30 positions in my account and this is such a small % of the total that it really won't change my financial status either way. I consider it very important to be diversified.

Yes, I did read the SEC filings and I am aware that they are not operating the retail web site. They decided to get out of retailing a while back and let someone else do it. It is my understanding that they get a percentage of the web site sales so they are deriving some income from it.

I contend that AJAY sports is involved in a stock swindle. I have in my possession progolf.com common stock signed by Thomas W. Itin that was sold to an Australian friend of mine through a boiler room called the Madison Group. The money was paid directly to Pro Golf Online Holdings Inc. I also have all email conversations that took place between my friend and Mr. Itin. I would be happy to provide any information that I have and I would welcome any comments that this community might have.

As of December 31, 2003, a total of 4,289,322 shares of common stock, $.01 par value, were issued and outstanding, and the aggregate market value of the voting equity held by non-affiliates was approximately $5,500 based on the average of the bid and asked prices as of, December 31, 2003 of $0.006 as reported by the OTC-Other-Pink Sheets.

$5500 / .006 = 917,000 shares

AJAY revised the last three 10-Q's. This looks like they are really going to update their filings. With only 4.3 million shares out this should trade much higher.

In the past the Company has not filed on a timely basis certain of its quarterly Forms 10-QSB and annual Form 10-KSB with the Securities Exchange Commission (SEC) within the required due dates. This, under Section 404 of the Sarbanes Oxley Act, constitutes a deficiency in internal controls over financial reporting. The Company seeks to implement a short and long term correction of these internal control deficiencies and believes it can make progress toward correction of these matters.

At June 30, 2003 and December 31, 2002, dividends in arrears on the 8% cumulative convertible preferred Series B stock were $1,456,575 and $1,406,575, respectively. Dividends on the Series C cumulative convertible preferred stock were declared and paid through December 31, 1996. At June 30, 2003 and December 31, 2002, dividends in arrears on the 10% cumulative convertible preferred Series C stock were $1,646,632 and $1,542,412, respectively. The Company has dedicated all available funds to support continuing operations of the Company until sufficient cash availability allows declaration and payment of dividends.

The Company’s primary focus for 2004-2005 will be to help its Pro Golf Discount storeowners increase sales, reduce operating costs, and become more profitable. The Company also plans to expand the Pro Golf Franchise Network in the United States and Internationally by signing new franchisees. In addition, the Company is also planning to open a minimum of one Company owned retail store as funds become available.

Effective August 30, 2005 Ajay Sports and its subsidiaries (Ajay party) announced the negotiated Mutual General Release of the debt owed by Ajay to Wells Fargo Bank. Financial statements for the period covered by this report do not reflect such subsequent event.

Long term notes payable of $694, 000 and $660,000 at June 30, 2003 and December 31, 2002, respectively, have been reclassified to current liabilities, under notes payable- related party for this period ended June 30, 2003, therefore both June 30, 2003 and December 31, 2002 balance sheets reflect such adjustments. Also, note payable to Thomas Itin in the amount of $5,783, 000 and $ 5,560,000 at June 30, 2003 and December 31, 2002, respectively, was reclassified from discontinued operations liabilities to notes payable-related party in both June 30, 2003 and December 31, 2002 balance sheets.

Effective August 30, 2005 Ajay Sports and its subsidiaries (Ajay party) are pleased to announce the negotiated Mutual General Release of the debt owed by Ajay to Wells Fargo Bank. The outstanding balance of this debt was approximately $2.4 million, as of December 31, 2002, and interest had been accruing through August 30, 2005, the date of negotiated Mutual General Release. Ajay party paid $11,500 to Wells Fargo Bank, and agreed to transfer and quitclaim to Wells Fargo Bank all the rights and interests of the collateral, which included 156,719 common shares of Williams Controls, Inc stock (WMCO), in exchange for the mutual release and discharge of all claims involving Ajay party and Wells Fargo Bank.


This transaction will cause a significant positive impact on the financial statements of Ajay Sports, and will be reported after a complete review and analysis by Ajay Sports Certified Public Accountants and Audit Committee.

AJAY now .05 x .07 - Waiting for more filings. Suspect the next batch of filings should see dramatic improvement in the bottom line as one sees more stores come online and an expansion in the company. Expansion still ongoing as we speak. Still anticipate movement to the OTC BB once the filings are completed. Why else mess with all of the filings?

I called the company and talked to the COO Monday. He is very positive about the future of the company and said that his No 1 priority is to get the filings up to date. He would not elaborate and would not provide any additional details but confirmed that the filings are his top priority.

Indicated that there are approximately 4.2 million shares out.

This has to mean they plan to file for an exchange. See recent PR on Yahoo. Looks like good growth.

At this price this is a good lottery ticket.

Agree this one could develop nicely, I added some early this am and it just sat and this pm the fireworks started. I'll add some more if it goes back to sleep. When they actually file and start opening stores could really go. I really like the way it moves with any buying. btw I put in an order this am rgt before the open for 10k at .05 with 2 mm on the ask at .05 and they ran to .06 and didn't fill. Good Luck :)
