Dear Shareholders,

We are pleased that Nordic American Offshore Ltd. (NYSE: NAO) has entered into a Share Purchase Agreement where Scorpio Offshore Investments Inc. has invested USD 5,000,000 in a private placement.

Nordic American Tankers presently owns about 16.1% in NAO and the Hansson family owns 13.5%, in total about 30 %. Following the investment in NAO by Scorpio, the NAT related entities have about 24%.

Scorpio will step into NAO to significantly strengthen and grow NAO. The price in the Private Placement is USD 0.42 per share. The changeover is strongly supported by all Nordic companies and myself.

Management and staff in NAT have a long standing cooperation with Scorpio key executives both via the NAT/NAO Monaco office and with Scorpio executives in New York - at the time under the umbrella of OMI, Stamford, Connecticut.

Scorpio has a long experience in the capital markets, having built up listed companies such as Scorpio Tankers (NYSE: STNG) and Scorpio Bulkers (NYSE: SALT) to industry leaders in their respective segments.

Through invitation to Scorpio as a new shareholder in NAO, it is natural that I step down as NAO Executive Chairman, handing over the roles to my friend Emanuele A. Lauro. Together with Scorpio, we are pleased to establish a structure that will secure the needs of NAO, their customers and shareholders. We are strong supporters of Emanuele Lauro and his team.

Going forward, colleagues and I look forward to focusing more on tankers. We shall build NAT further.

The Board has declared a dividend of $0.02 per share for 3Q2017 to shareholders of record as of November 27, 2017. The payment of the dividend is expected to take place on or about December 12, 2017. Since its establishment in late 2013, NAO has paid dividends for 15 consecutive quarters, totalling $2.65 per share, including the dividend to be paid December 12, 2017.

NAO pursues a conservative financial policy. At the end of 3Q2017, the net debt[2] per vessel was $9.8m. NAO has in place until early 2020 a non-amortizing credit facility of $150m.

1Q2017 NAO High lights -->The credit facility of $150m has been drawn by $137m and matures in March 2020.

•NAO has a low cash breakeven level of about $11,500 per day per trading vessel, including financing and G&A costs

LOW ?? 10 ships x 11.5K $ = $ 115000 pr. day / 1,29 = £ 89147 pr.day / 7 ships on spot market =£ 12735 pr. day each ship needed to break even .As pr. today http://www.westshore.no/ 4 ships are out of work waiting for new job on spot market NAO Storm/Prosper/Guardian/Protector --> Todays spot price = £4000
so lets say 3 ships have average 5000 on spot market now = £15000-£ 89147 = loss today on £74147 wow and they still pay dividend .No wonder they just diluted with 28,3 M shares

Red flag--> stay away until all ships are back in action and day rates are above 10.000 £

Well, looks like they decided to raise the dividend to $.26 a share.
No wonder Alexander Hansson, the son of the Chairman, Herbjorn Hansson, bought 100,000 shares in NAO at $3.65 a share. He'll make a quick $26,000.00 on that investment and today's price went up by $.15 a share on the announcement. That's over 7% interest on his $365,000 investment.

NAO has paid dividends for 10 consecutive quarters since going public in 2014.

Staying long on this one.

I like this stock and when the price dips, I buy more to average out. Still in the red but it's getting better as time goes by. They are consistent with their dividends, and that's good. I use Scottrade's Flexible Reinvestment to buy additional stocks with the dividends, commission free.

CEO on CNBC Power Lunch again for $NAT and then asked about $NAO which he said he recently bought $500 million dollars worth and stock buybacks by $NAO... and thinks in profit terms as implied buying stuff now while prices are cheap....
