Per the Q2 financials, they have a total of $83 million in current assets + assets held for sale. Compare that to a total of $99 million in current debt. Add in the $10 million in cash from the silver and peruvian assets and there is a net deficit of about $6 million.

How much out of the $99 million are trade payables and other such debt which can be restructured? Maybe half or more? Wages payable will NOT be touched as you need the workers to continue working if the restructure will be successful.

Long story short, the deficit is not a catastrophic deficit as ot today. The courts will likely allow GPL some time to see if the ship can be righted. It is much better for the creditors to receive say 75 cents on the dollar than to risk losing most of it if we have a court ordered fire sale.

If GPL is unable to turn this around in the next 12 months or whatever the restructuring period the court approves, the next step would be either Chapter 7 or the DIP (debtor-in-possession) last gasp at restructuring.

If we go the route of DIP or Chapter 7, our only hope as shareholders is if we find other miners to give us anywhere near fair value for the mine assets we have on the books. As I said before, we have PLENTY of net worth per share, but how much of it would be wrung out if we are forced into a fire sale?

I think it very possible that a white knight (or opportunistic investor) comes along and swoops us up, cleans out the bad management and salvages us some value.

If, within the next 12 months we shoot well past $2k spot price for gold, this puppy will shoot upwards like a shooting star. This is really a highly-leveraged play on the price of gold over the short-term. At 11 cents a share, not a lot of risk but some SERIOUS upside if this ship gets righted.

Agreed, as some investors may not know, there are multiple forms of bankruptcy. The only real death knell for a company would be full liquidation or Chapter 7 bankruptcy. Even in such a case, the assets are sold off and any remaining proceeds after paying off creditors are divvied up amongst the common shareholders.

GPL is potentially undergoing a "soft Bankruptcy" or Chapter 11. This makes perfect sense if you review their Balance Sheet: They have 75 million in net worth, which divided by 47 million outstanding shares is $1.59 per share of net worth. Meanwhile, the shares are trading around 25 cents a share. Yeah, this could be a GREAT speculative buy at these levels.

Let's say, worst case scenario, they have to liquidate their assets for 30 cents on the dollar, that would equate to about 48 cents a share left over for common shareholders, which is double what the price is trading for today! No, a white knight would step up beforehand and get the assets on the cheap if it came to that.

Short term, they face a working capital crunch (due in part to lowered metal prices) and do need some time to restructure their debt payments via Chapter 11. Long term, with improved metal prices and (I hope) a slimmed down management structure, GPL can regain profitability.

OK, so if the shares are delisted from the NYSE they will likely end up trading
on the OTC. This is not necessarily the end of the world. SVM voluntarily delisted

One of the reasons I didn’t sell today is because I see silver ready to sky rocket anytime now. Even a profitless pit will rise.

Hi Bob, I gave up the ghost today and dumped my holding. The company has shown no consideration to shareholders over the last year and a half. They have diluted, reversed, and missed on practically every production estimate they made. The asset sale of Topia and etc, is what upsets me the most. What about the proceeds from that transaction? They are acting like they have nothing in the way of cash and their filings do not indicate that.

If they have burned through the proceeds from the equity offering last year (23 million) and what they got from the Mexican asset sale, there is no reason to believe they can continue to operate into the future.

This management team should write a book on how to destroy a business. I don't usually make those types of comments, but they deserve it. I know the weather, Covid, supply chain, and government regulations have hurt them, but the rest of the miners have the same challenges and they seem to be surviving,

Why would you reverse split the shareholders to stay on the NYSE American and two months later make this pre bankruptcy filing? Were they that out touch with their financial situation?

Anyway, I wish the best for all of you holding on. Maybe they can come to an arrangement that benefits common shareholders.

("MMR"), which owns the Guanajuato Mine Complex (the "GMC"), the Topia mine, and the El Horcón and Santa Rosa projects, to Guanajuato Silver Company Ltd. ("GSilver").

The consideration payable to the Company comprised:

US$8,000,000 of cash, plus additional cash of approximately US$1,350,000 pursuant to the working capital adjustment described below
25,787,200 common shares of GSilver, valued at approximately US$6,700,000 as of the announcement of the transaction on June 29, 2022, and US$8,921,172 as of the close of business on August 4, 2022
US$500,000, if at any time following the closing date the GMC and Topia produce an aggregate of 2.5 million ounces of silver
US$750,000 if the price of silver closes at or above US$27.50 per ounce over a period of 30 consecutive trading days at any time within two years of closing
US$750,000 if the price of silver closes at or above US$30.00 per ounce over a period of 30 consecutive trading days at any time within three years of closing
Fifty percent of the shares are subject to the statutory hold period of four months, 25% are subject to an eight-month hold period and the remaining 25% are subject to a 12-month hold period. The US$1,350,000 working capital adjustment described above is based on estimate of the difference between MMR's working capital at closing and an agreed target level of working capital. The final adjustment will be determined post-closing.

Approximately US$3,450,000 of the sale proceeds were used to repay all outstanding indebtedness pursuant to a lead concentrate prepayment agreement between MMR, the Company (as guarantor) and Samsung C&T U.K. Ltd. ("Samsung"), a wholly owned subsidiary of Samsung C&T Corporation. Upon repayment of the Samsung indebtedness, Samsung released its security interest in the MMR shares and GSilver assumed all future obligations of the Company under the agreement.

Upon completion of the transaction, the Company issued 171,153 common shares to its financial advisor at a deemed issue price of US$1.30. The shares are subject to a four month hold period under Canadian securities law that will expire on December 5, 2022.
