I hope you are enjoying the end-of-year holidays. 2017 has been a year of building for Hybrid Coating Technologies. In particular, we have spent a tremendous amount of effort in improving our product offering and strengthening our manufacturing, quality control and delivery process here in the United States. We have also established new toll manufacturing in Europe where we hope to begin producing in the first quarter of 2018.

In 2017, we also made great strides in increasing our sales in the U.S. Our distributor, Industrial Finishes has been selling our coatings products through multiple sales channels including directly through the contractor supply retail store, White Cap. This has helped to significantly increase our sales from approximately .5 tons per month at the beginning of the year to 7 tons per month in December. These increased sales figures will be reflected in HCT’s quarterly and annual financial filings with the SEC, which it will make its best effort to submit by the end of the first quarter of 2018.

HCT is now in discussions with multiple potential new clients who plan on using our hardeners to manufacture their own coatings in the US as well as in Europe. We hope to begin selling to the first of these potential clients in the first quarter of 2018.

In regards to the company’s foam development, HCT is now in the initial stages of a joint development agreement with a European company to jointly create a new zero isocyanate semi-rigid foam for global distribution.

Lastly, HCT will have a booth at the World of Concrete trade show in Las Vegas, Nevada at the Las Vegas Convention Center from January 23-26, 2018 (booth #O40718). We are excited about the launch of several new products (see the Sneak Preview below) and coating systems that will be on display at our booth. Attending will be our Director of Marketing and Sales, Darin Nellis; our Director of Operations, Cyril Jay-Rayon; and our Senior Technical Director, Scott Kummer as well as myself. I would like to encourage all investors to come to Las Vegas and stop by our booth to meet our team during the show. 


Decorative Terrazzo - GREEN POLYURETHANE™ EPOXY CONCRETE (GPEC™)

 

 
Description: GPEC™ is a new monolithic epoxy-urethane concrete product developed by Hybrid Coating Technologies that has many times the strength of a standard concrete and also greater strength than a polymer (urethane) concrete. Polymer concretes have become very popular for their exceptional durability over standard concrete and their ability to dry quickly. GPEC™ improves the durability of polymer concrete. In addition, whereas polymer concrete looks synthetic, GPEC™ looks like a natural concrete and it can be polished. 
 
Standard concrete is mixed with water, which evaporates during curing. This creates hydrolysis, which often causes micro fracturing in concrete after it has cured. Micro-fracturing, in turn, demands expensive concrete repair work over the life of the concrete. Instead, applicators can use GPEC™, which will not micro-fracture due to the epoxy and urethane properties built into the product, which also dramatically increases its water and chemical resistance. The product is also low impact on human health and the environment due to its zero VOC, zero isocyanates formulation.
 
Applications: GPEC™ is best used for resurfacing damaged concrete or for designer overlays.
 
GPEC™ can repair even the most damaged concrete in any commercial or industrial applications such as warehouses, super markets, stadiums, train/bus stations, etc. It can be used to fill cracks, spalls and other voids in damaged concrete. It cures to be harder and more durable than the concrete itself and also blends in with the natural color and texture of standard concrete.
 
GPEC™ can also be used as a designer finish on top of a concrete substrate for a polished concrete look or as a filled or terrazzo system with aggregate mixed in. This system is often used in decorative concrete applications such as hotel lobbies, airports and other hospitality venues.
 
Commercial Status: GPEC™ is now in its final stage of field and independent lab property testing. The product is projected to be commercialized in the first quarter of 2018

Hybrid Key Milestones Accomplished For 2017 And General Outlook for 2018

Dear shareholder:   As we enter the final quarter of the year I would like to take some time to update you on the progress and challenges Hybrid Coating Technologies is currently facing.    As many of you know, our zero isocyanate hybrid polyurethane technology can be used in many different applications. To date, we have concentrated on the applications of coatings and foam. And, of these two, we have made coatings a priority for the simple reason that the company depends on revenues from its finished coatings formulations and hardeners to support its ongoing operations.    In this regard, I am happy to share with you that professional contractors and applicators can now purchase our finished indoor coating formulations through White Cap (Owned by HD Supply), one of the largest contractor supply retail stores in the US (see more details below). In addition, our coating hardeners (with patented polyurethane chemical structures that do not use isocyanates) are also being sold on a monthly basis in Mexico and soon in Italy and other parts of Europe.    We have also had a tremendous response from our participation at the European Coatings show early in the year. One of the results is that we have a new distributor in Europe who is now working with 15 new coatings companies who are all lab and pilot testing our hardeners for use in the European market.    Our biggest challenge with our finished formulations in the US has been reformulating our outdoor UV resistant coatings. The reason the company has had to re-formulate is due to the unavailability of a particular raw material we used to use in our outdoor products. However, we have now tested 5 new formulations and believe we are 2-4 months away from putting these outdoor products back on the market.    The company is also moving forward with three joint developments in the creation of zero isocyanate PU foam applications together with two European companies and one US company, all with well-established markets and considerable resources. All of these companies are contributing financial and personnel resources toward the joint development of these projects. The foam projects have very large markets. We therefore project significant revenue streams from each of these joint ventures in the next 2-3 years.   
 

Green Polyurethane at White Cap – HD Supply  

   Green Polyurethane under the private label name, "True Green Poly” or “TGP”, distributed by Industrial Finishes & Systems, can now be purchased at White Cap stores across the nation. The first store to demo the material is the first built White Cap, which is located in Santa Ana, California. White Cap sells to contractors in the concrete construction market and has revenues over $1 billion per year. White Cap is owned by HD Supply (which was previously owned by Home Depot) and has revenues of close to $6 billion per year. This showpiece, created by HCT’s expert applicator, Scott Kummer (above right), is currently on display at White Cap and we encourage investors to stop by and take a look.

Green Seal Certification Update

 HCT has been working diligently for the past two years to create finished
coatings formulations that will qualify for independent certification from Green Seal, which will give its products an eco and human health seal of approval. We have now passed one of the most difficult hurdles of making sure the volatile organic compound content is below certain levels. Fortunately, Green PU passed with flying colors. Next, we have to submit performance testing, all of which has already been done, then we
need to confirm that our packaging meets certain eco-friendly requirements, and lastly, our factory will be visited by Green Seal staff. We will report a new update in the next HCT newsletter.

 HCT Director of R&D publishes new book “Green Nanotechnology” and wins Seven Gold Medals   Green Nanotechnology by HCT Director of R&D Oleg Figovsky and Dmitry  Beilin was recently released by CRC Press and contains information about advanced nanomaterials that can be produced without harming the environment or human health. This encompasses the production of nanomaterials without environmental toxicity, at room temperature and with the use of renewable energy sources. The book contains  descriptions and results of theoretical and experimental researches in the field of environment friendly nanotechnology carried out over the past decade by the scientific team of the company Polymate Ltd.-International Nanotechnology Center (Israel) under the leadership of Prof. O. Figovsky.

Dr. Figovsky was also recently awarded 7 gold medals from the IFIA (International Federation of Inventors’ Associations), which is an ensemble of inventor associations, foundations, universities, corporations, companies, and research centers collaborating to disseminate invention and innovation culture internationally.  In addition to its awards, IFIA services help inventors with linkages and outstanding opportunities to share and discover innovative ideas and create an expanded network.
 IFIA Best Invention Medal is awarded to the greatest invention in the festival, competition and exhibition relying on the IFIA’s Jury evaluation of its novelty, inventive step, patent, potentiality to be commercialized, its benefit for mankind, etc. Best invention medals are awarded in various events held under the patronage of IFIA.

2017 European Coatings Show Report, Nuremberg, Germany

Every two years the European Coatings Show (ECS) is held in Nuremberg, Germany. The show is primarily attended by
coatings raw material suppliers, manufacturers, distributors and toll producers. HCT attended this year’s ECS on April 4th – 6th. This is the third time HCT has attended the ECS, which is the largest coatings show in the world. At each show, HCT has received a lot of interest from many new prospective clients, primarily for its coatings products, but also for its foam products.    This year was no different. Over 200 new clients came to HCT’s booth to learn more about its unique zero isocyanate coatings and foam technologies. The majority of the new clients were from West and Eastern Europe, Southeast Asia and North America. HCT is now working to respond to many of these new clients requests for samples. The company is also moving forward with multiple companies it met at ECS to carry out new development work.      Proposed Restriction of Diisocyanates in European Union A restriction in the European Union has been proposed on Diisocyanates, which widely serve as monomers in polyurethane products for seals, adhesives and coatings in the coatings industry. Workers may be exposed to them when formulating and handling uncured reaction mixtures.
  Many diisocyanates are classified as skin and respiratory sensitisers and are thought to be the trigger for a high number of cases of occupational asthma reported across all EU Member States. One member of the group – methylene diphenyl diisocyanate (MDI) and its isomers – is already subject to a restriction when used as a component of consumer products   In 2014, the Federal Institute for Occupational Safety and Health (Deutsche Bundesanstalt für Arbeitsschutz und Arbeitsmedizin – BAuA) conducted a Risk Management Option Analysis (RMOA) to examine the need for action and the options surrounding the use of diisocyanates. It concluded that action is needed at European level to limit the risks to workers. For various reasons, an authorization process was deemed to be unsuitable. For instance, due to a lack of suitable alternatives, there would be many situations when authorization would be granted, even if safe use could not be guaranteed   Contents of the Restriction Proposal - The new proposal restricts the use of diisocyanates as substances on their own, as a constituent in other substances or in mixtures for industrial and professional uses and prevents them from being placed on the market for this purpose. This is not a total ban, but rather is linked to the fulfillment of certain criteria, which ultimately entails stricter handling and is intended to ensure that there are no risks to health through exposure.   Those who place products containing diisocyanate on the market would, where appropriate, have to prove in accordance with Annex 12 of the restriction proposal that there is very little potential for exposure in the intended use.

Coatings in 2016:

Industrial Finishes & Systems, Hybrid’s distributor in the U.S., has made significant progress in

distributing Hybrid’s products around the U.S. with large flooring installations in various parts of

the U.S.

Hybrid is currently working with IF to carry out new independent testing of its products, which

will allow it to further distinguish the mechanical and chemical resistance superiority of its

products over other products in the market.

Hybrid made significant progress in establishing sales in Europe. The company is now currently

working with companies who plan to use Hybrid’s proprietary zero isocyanate catalysts in Italy,

France, Spain and Germany.

The company has also put a significant amount of time and effort into lowering its manufacturing

costs. Part of this effort includes the setup of a new toll manufacturer now manufacturing Green

Polyurethane™ for Hybrid in Europe to serve its European based clients.

The company made considerable in-roads in Southeast Asia in 2016. After testing at Chinese

state agencies, Hybrid’s floor coating formulations were found to be far superior to conventional

floor coating systems currently on the market. Hybrid now has multiple Chinese companies who

have tested its products and who now want to do large scale field trials. The company is also

working with top 5 coatings companies in South Korea and Japan who are interested in Hybrid’s

zero isocyanate polyurethane.

In 2016 one of Hybrid’s Fortune 500 coatings partners used Hybrid’s zero isocyanate catalyst to

develop and launch their own commercial coating product with a second product also expected

to be launched.

Foam in 2016:

Hybrid entered into a joint development agreement with a Fortune 500 partner with a potential

$20M per year revenue for Hybrid post development and after a reasonable ramp up period.

The company entered into advanced discussions with a Fortune 500 company to jointly develop

a foam product with a $10 billion addressable market.

Hybrid also entered into advanced discussions with a company for a joint development

agreement for a foam product with a $35 billion addressable market.

2017:

Hybrid expects to start generating approximately $2 million in consistent revenues in 2017

comprised of $1.2M from its US coating distributor, as per its distribution agreement, and

approximately $800,000 from several European coating manufacturers and distributors. Hybrid

is not factoring any revenues from any foam products, however, it is possible that one or more

foam products may be ready for commercialization during 2017.

The Problem of Conventional Coatings/Paint and Toxic Isocyanates

THE PROBLEM WITH ISOCYANATES

CONVENTIONAL POLYURETHANE (PU) PAINT AND COATINGS HAVE MANY DISADVANTAGES: they are porous, permeable and maintain poor hydrolytic stability. This makes the material highly vulnerable to environmental degradation and ultimately leads to their chemical decomposition, especially when in contact with water. Conventional PU foams such as spray foam insulation are applied via a spraying mechanism that sends toxic isocyanates in the air — exposing workers to the dangers of toxic isocyanates. Strict and costly health & safety measures have to be implemented in the manufacture and application of conventional polyurethane due to the toxicity of isocyanates. This is why regulatory bodies around the world are now                                                 looking toward phasing out the use of isocyanates.

The Green Polyurethane™ Solution

US EPA MDI Action Plan: The US EPA (Environmental Protection Agency) is taking progressive action to regulate and potentially ban isocyanates and has mentioned Hybrid’s technology as an alternative to toxic polyurethane in its MDI Action Plan against isocyanates (see page 4 Figovsky and Shapovalov).

OSHA National Emphasis Program: On June 25, 2013 the Occupational Safety and Health Administration (OSHA), a division of the US Department of Labor, initiated a National Emphasis Program to protect workers from the serious health effects from occupational exposure to isocyanates. Isocyanates are found in polyurethane based products. According to OSHA, “Workers exposed to isocyanates can suffer debilitating health problems for months or even years after exposure which could result in death.”

California’s Department of Toxic Substances Control (DTSC) on March 13, 2014 selected isocyanates and two others substances from a list of 1,100 toxic components that it will focus on with the goal of potentially banning them altogether within the next two years. The announcement is part of a bigger effort to educate consumers and manufacturers about product safety under the Green-Chemistry Law, which went into effect in California last year. Under the law, the agency has jurisdiction to ban these products altogether after following proper protocol. That process includes workshops, a public comment period and requiring manufacturers that want to sell these products in California to determine whether it would be feasible to use safer ingredients.

The US EPA on January 8, 2015 announced that it was taking action to protect consumers from new uses and imports of harmful isocyanates in polyurethane. The EPA’s proposed action, a Significant New Use Rule (SNUR) under the Toxic Substances Control Act (TSCA), would require manufacturers (including importers) to notify the EPA at least 90 days before starting or resuming new uses of isocyanates in polyurethane based consumer products. The EPA would then have the opportunity to evaluate the intended use of and if necessary, to take action to prohibit or limit all products containing over one tenth of one percent of the chemical including imported products that make their way into the United States.
