Commonly, the process of a corporate name change occurs at the next shareholder meeting so as to avoid the typically arduous process of calling a separate meeting just to change the name of the company.

A Quicker, Less Painful Option

For firms incorporated in Delaware–of which a good majority are–there is a much faster and ultimately less painful option for enacting a corporate name change. In 1998 Delaware passed a law which allows a public shell corporation establish a new wholly owned subsidiary and permits the a short-form merger effectively changing the name of the business to the new, more desirable name. This process requires no shareholder approval as long as the parent owns more than 80% of the newly formed subsidiary. The newly formed entity can, under Delaware law, become the sole surviving entity in the merger and the new entity is allowed to adopt and keep the legal name of the sub.

When the OTC changes the name there will be no more questions left to ask. Lol.

It could be that Doc has had Wellness Teladoc in the works for years and is now ready to let it roll. Checking the final boxes and it could be time for a name change so as to distinguish ourselves from a company that we are working parallel to. That suggests to me we are very close.

Naming a company nowadays has also become very difficult because almost every name you can think of has been used. That's why companies are dropping vowels or using slang in their name. Doc has founded over 40 companies.... I think he's got this.

This may be a strange coincidence but when I searched for David Dalton the result were opioid news link based. I believe UNVC has some type of connection with NCPDP that we really haven't touched on yet. Maybe it is their initiative with speacialty pharmaceuticals.

That makes complete sense. The only problem is the share price may be instantly 1000% higher when you get that confirmation. How would you feel then? There are many bread crumbs out there to find the trail UNVC is on.

Great point Mikey. Put an order in for $1000 and she'll move 20%-40%. That doesn't happen with a high float ticker. 1 billion share ticker will suck that up and you would never notice a blip. Not true with UNVC its only a sleeper right now.

My best guess is DTC is holding shares and acting as agent at this time but of course that's just a guess. DTC will not share further information unless you have brokerage status. I have gauged my risk of outstanding shares with my observations since 2010. I am comfortable with my assessment. If this is your major concern with UNVC then I might suggest market cap valuation now and future market cap vs estimated outstanding share projections to assess your risk without historic reference.
