On April 19, 2021, the undersigned shareholders of XcelPlus International, Inc., a Nevada corporation (the “Corporation”), approve the following actions:

A 1:100 reverse split (the “Reverse Split”) of the Corporation’s Common Stock, whereby each one hundred shares of Company’s common stock, par value $0.01 per share, issued and outstanding immediately prior to the Effective Time (the “Old Common Stock”) (including the number of shares of common stock issuable upon exercise or conversion of all issued and outstanding, options, warrants, and convertible securities of every kind), shall automatically and without any further action by the Corporation or the holder thereof be combined and reclassified into one validly issued, fully paid, and non-assessable share of common stock, par value $0.01 per share, (the “New Common Stock”).

The Corporation will not issue fractional shares on account of the foregoing Reverse Split, and each fractional share resulting from the Reverse Split shall be canceled, no compensation shall be paid to any shareholder for the cancellation of any such fractional shares and all fractional shares shall be rounded up to the next whole number of shares.

The number of authorized shares of Common Stock shall remain 700,000,000 after giving effect to the Reverse Split.

RENO, NEVADA, April 8, 2021 – OTC PR WIRE –– XcelPlus International Inc. (OTC Pink: XLPI) today announced that it will be refiling the paperwork required to effectuate a 1-for-100 reverse split of its outstanding common stock. The refiling is expected to take place sometime during the week of April 12, with the reverse split occurring sometime thereafter.

The original effective date of the reverse split was expected to be March 12, 2021. XcelPlus International received word from FINRA that further paperwork was required to be filed, thereby causing the delay.

“We have been taking our time to ensure that all of the mandated documents are included in our next filing,” stated Charles Robinson, Chief Executive Officer of XcelPlus International. “We have been working closely with FINRA to identify and collect all of the essential documents, and we are confident that the reverse split will transpire in the very near future.”

if you are a shareholder from way back 2000s you will remember how the shares were flying around. most likely they are having trouble tracing shares and who holds what. guess the old days of increasing os/as over and over is causing the problem

9 days later and we still only have a facebook post to go by. Not going to lie. I really had high hopes for the resurrection of this company but the silence and still lack of progress is very concerning

On March 12, 2021, we announced via press release that the documents required to effect a reverse split of XcelPlus International’s common stock had been filed with FINRA, along with our expectation that the reverse split would take effect on Monday, March 22, 2021. However, based upon FINRA’s preliminary review, effectuation of the reverse split will be delayed while the company assembles and completes additional documentation. The assembly and completion of this documentation is already underway internally, and all relevant materials will be resubmitted to FINRA as soon as they are completed.

According to Nevada he is no longer a board member. Perhaps he is still there just not a board member. OTC hasnt updated for years. Maybe there was some agreement so it was easier to get current with FINRA. It's anyone's guess

I'm 90% sure that the reverse split 100:1 was a condition set in order for them to get reinstated from months ago... looks like they finally finished getting all the paperwork completed.

Yes, way back in the old days.... there was a share distribution to all current stock holders... was like 1 restricted stock for every 10k common stock you owned at the time. You need to have your broker contact Pacific stock transfer to get them unrestricted... sadly the fee will probally be more then they worth right now.

went to sell my postion and got a notice from ameritrade that 2900 shares were restricted because it was spinoff or dividend of skrs. but shows all my shares as xlpi. anyone have a clue

Gotta admit, had a kid a few years ago, and haven't checked on XLPI in months. Been holding 10,000 shares since forever at .001, and was pleased justnow to see this pop. An article in the Times a bit ago about crazy speculation in shell companies, maybe that explains it?
