Caesars could buy William Hill for $3.7 billion as sports betting booms

Caesars Entertainment is in talks to buy William Hill in a deal that would value the British bookmaker at £2.9 billion ($3.7 billion) and underscore the size of the opportunity in online gaming and sports betting in the United States.

In a joint statement on Monday, the companies said that the casino operator could offer £2.72 ($3.45) per William Hill (WIMHY) share, an 81% premium to the stock's average price over the three months to September 24. The deal would give Caesars (CZR) control of their US joint venture. William Hill says it has a 32% share of revenue in the Nevada sports betting market, and it is rapidly expanding into other states.

"The opportunity to combine our land based-casinos, sports betting and online gaming in the US is a truly exciting prospect," Caesars CEO Tom Reeg said in the statement. "William Hill's sports betting expertise will complement Caesars' current offering, enabling the combined group to better serve our customers in the fast growing US sports betting and online market."

Sports betting was already booming in the United States before the pandemic hit, after the US Supreme Court in 2018 cleared the way for it to be legalized in states outside Nevada. While lockdowns severely disrupted large sports events, the months long shutdown of casinos helped boost demand for online gambling, buoying stocks such as DraftKings and Flutter Entertainment (PDYPF). Las Vegas casinos reopened in June.

The American Gaming Association expects nearly 35 million people, or 13% of American adults, to bet on the NFL this season.

"Caesars believes that the sports betting and online gaming sector represents one of the largest areas of growth in the US gaming industry," the company said in the statement, citing analyst estimates valuing the market at up to $35 billion.

Shares in London-listed William Hill surged 41% on Friday to £3.10 ($3.94) per share, after the company said it had received offers from both Caesars and private equity firm, Apollo, suggesting that a bidding war could emerge.

But the stock pulled back on Monday, tumbling 11% after William Hill said it was "minded" to recommend the Caesars offer to shareholders. Caesars said it would be entitled to terminate the US joint venture agreement if Apollo bought the company.

"The deal, if it's approved, isn't expected to close until the second half of 2021, at a time when the sporting calendar on both sides of the Atlantic is expected to be back in full swing," senior investment and markets analyst at Hargreaves Lansdown Susannah Streeter said in a note to clients.

William Hill announced that it has received potential takeover bids from Caesars Entertainment and Apollo Management.

British gambling company William Hill said on Friday it has received separate takeover bids from buyout firm Apollo Management and Caesars Entertainment as the fight to capture the U.S. sports betting market intensified.

William Hill stock surged 43% in London trading, as investors welcomed the prospect of a bidding war and a potential takeover. The news also lifted other British betting companies, with GVC more than 17% higher, 888 Holdings 12% up, and Flutter Entertainment up more than 6%.

The back story. FTSE 250 constituent William Hill is already Caesars’ sports betting partner and operator. Last week, it was announced that media giant ESPN had signed co-exclusive deals with Caesars and DraftKings, which made William Hill ESPN’s official odds supplier across its platforms. William Hill also has an exclusive media partnership with CBS Sports.

While sports betting is a mature market in the U.K.—having been legal since the 1960s—the American market is new and booming. A Supreme Court ruling in 2018 paved the way for legal sports betting in the country, and William Hill has since emerged as one of the market leaders.

As it expands into the U.S. market, William Hill has been forced to transform its British business, merging its online and retail divisions. In August the company announced that 119 shops closed due to the Covid-19 outbreak wouldn’t reopen. Regulatory woes, including a £2 stake limit on certain betting terminals, have also hit performance at the company’s physical U.K. stores.

What’s new. William Hill’s board said on Friday afternoon that it has received separate cash proposals from buyout firm Apollo and U.S. casino operator Caesars Entertainment. William Hill said the first written proposal came from Apollo on Aug. 27, followed by a further proposal from Apollo and proposals from Caesars. Discussions between William Hill and the two parties are ongoing, the London-listed company said.

The statement was released without the permission of either Apollo or Caesars, and came shortly after Bloomberg first reported that Apollo was exploring an acquisition of the company. Apollo declined to comment on the announcement.

This is the starting pistol in the race to make a bid for William Hill. Under British takeover rules, Apollo and Caesars have until end-of-day Oct. 23 to announce their firm intention to either make a bid or not make a bid for the company.

Looking ahead. It was only a matter of time before big American money targeted William Hill, which has a market cap of £2.28 billion ($2.9 billion). The company is one of the largest gambling companies in the world and is serious about capitalizing on the ripe U.S. market. Its experience in the U.K. and standing in the U.S. already makes it a highly attractive proposition for both buyers.

Apollo’s offer isn’t a shock—American private equity has been targeting British companies since the coronavirus pandemic sank share prices in the spring. But depending on the terms, Caesars may be better positioned to take the reins because it is already joined with William Hill through a partnership and has built its business on the gambling meccas of Nevada.

Analysts marked William Hill stock as underpriced in August and September—it is certainly less so now, but that doesn’t mean it isn’t a good gambit for investors.

William Hill gets offers from Caesars, Apollo

William Hill PLC said Friday that it has received two separate proposals from Caesars Entertainment Inc. and Apollo Management International LLP concerning possible cash offers.

The London-listed betting company--which has a significant presence in U.S. sports gambling--said talks between the respective parties continue, but cautioned that there's no certainty any deal will be struck. No terms of the proposals have been disclosed.

William Hill shares at 1240 GMT were up 81.50 pence, or 37%, at 299.10 pence, having peaked at 307.80 pence earlier in the session. William Hill currently has a market value of around 3 billion pounds ($3.82 billion), and its shares are up 63% over the past 12 months.

The parties have until 1600 GMT on Oct. 23 to either make an offer for William Hill or walk away under U.K. Takeover Panel rules.

William Hill already has a partnership with Caesars. Earlier this month it said that Caesars had signed a deal with ESPN that would link William Hill's sports betting apps in states where sports betting is legalized, and will appear on ESPN's website and the ESPN Fantasy app.

HG Vora Buys $149 Million William Hill Stake, Stokes Sale Chatter

HG Vora Capital Management, an activist hedge fund with long-running experience in gaming equities, reportedly bought 5.1 percent of William Hill’s shares outstanding (OTC:WIMHY), valued at nearly $149 million, fueling speculation the firm could push for a sale of the British bookmaker.

As of the end of the first quarter, New York-based HG Vora has $7.56 billion in assets under management. Founded in 2009 by Parag Vora, the firm describes itself as focused on “value and event driven investments.”

Talk of a William Hill sale, namely its rapidly booming US business, isn’t new. As sports wagering continues its torrid escalation pace in the US, analysts are saying investors don’t adequately value William Hill’s US footprint. Via recent deal-making, the company is the largest sportsbook operator in this country and analysts argue it should be considered as a high-growth stock, treatment it’s not receiving.

Recently, talk regarding the fate of William Hill’s US business is gaining momentum with some on Wall Street floating the idea of a 50/50 partnership with Caesars Entertainment (NASDAQ:CZR) whereby the companies would spin off 20 percent off an iGaming/sports betting business to public investors with each operator retaining 40 percent.

Speaking of Caesars…
Caesars is relevant to the fate of William Hill’s US unit for multiple reasons. Through the takeover creating the new version of gaming giant, the UK-based company will run all Caesars sportsbooks across the country. The old Eldorado Resorts, the buyer of Caesars, owns 20 percent of William Hill’s domestic operations and collects 40 percent of the profits from that arrangement.

HG Vora has Caesars ties, too. The hedge fund took a stake in the gaming company in 2018 and pushed the then financial flimsy company to sell itself. The asset manager still owned 1.5 million Caesars shares as of the end of June, but it’s been trimming that position.

It’s not immediately clear if HG Vora is pushing for a sale of William Hill to Caesars, another buyer or if it would be satisfied with a spin off of the US business.

William Hill’s first full month of activity in the Washington D.C. market saw players stake $9.1m at the operator’s sportsbook in the city’s Capital One Arena, far outstripping handle for the DC Lottery’s Intralot-powered online offering.

The William Hill sportsbook went live early in August through the operator’s partnership with Monumental Sports and Entertainment, owner of the arena and Washington Wizards NBA team, Washington Capitals NHL franchise and Washington Mystics WNBA outfit.

This is only a temporary facility, however, featuring seven ticket windows and 10 betting kiosks, with construction of a permanent sportsbook within the stadium underway.

It processed 69,085 bets during the month, from which customers won $7.7m, leaving the operator with $1.4m in revenue. From the 10% tax on sportsbook gross revenue, the city received $142,527.47 from William Hill’s activities for the month.

This far outstripped amounts wagered on the DC Lottery’s Gambet app, which totalled $2.1m in August, from 66,831 bets. Customer won $1.9m during the month, which suggests revenue of $278,141 for the month.
