VillageWorld.com, Inc., incorporated on December 14, 1992 under the name Big City Bagels, Inc., is an Internet service provider (ISP) and as such provides its subscribers with access to the World Wide Web. The Company provides subscribers with the same access to the wealth of information, communications, services, programs and commerce available on the World Wide Web as are provided by other ISPs. The Company also sells and installs network systems consisting of both computer hardware and software. The Company has so far installed hundreds of network systems, including 60 for school districts. The Company's revenues principally have been provided from installing network systems. The Company is a provider of the directories and other information about a specific school district or educational institution, which are made known to that district's or institution's students, parent body, teachers and administrative staff by the school district or educational institution itself. This is the main way in which the VillageWorld's subscribers find out about the Company and subscribe for its service. The Company also secures subscribers by advertising in the school publications and the local media available in the school district or the area in which the educational institution is located. The Company sells advertising on each school district or educational institution based network to local merchants in that community. The Company also provides Web hosting services, in which it assists those merchants or others to establish and maintain a Web site at which they provide information about their products, services and themselves. Subscribers have the option of filtering out adult oriented material. The Company has at least 10,000 adult oriented sites that are automatically blocked by its caching equipment so as to prevent access to such sites from its subscribers' computers where the subscriber has elected that option. The Company continually updates the list of such sites mostly based on information initially received from subscribers about new sites providing adult oriented material, and after review by the Company's staff of the material available at that site. When the Company's subscriber requests information from a Web site on the Internet, the VillageWorld downloads the information on that Web site onto the Company's system's memory and sends it to the subscriber. When the next subscriber attempts to access the same information, the VillageWorld sends it from the Company's memory instead of going onto the Internet and downloading it again. This saves the Company's subscriber time and reduces their costs in securing such material. VillageWorld uses larger bandwidth on which to store material in the Company's memory, and leasing T-1 and T-3 lines to enable subscribers faster access on the Company's network system and on the World Wide Web. The hardware and software equipment and systems the Company sells and installs are manufactured and supplied by the largest and best-known companies, including Cisco Systems, Sun Microsystems, Microsoft, Oracle, IBM, Digital Equipment, Compaq Computer and Intel. These and other vendors help train the Company's employees in the use, installation and maintenance of their products. The Company also serves as a subcontractor providing technical support for the customers of other Internet service providers. The Company recently entered into an agreement with Ultrastar Internet Services, LLC under which the Company is to provide Ultrastar with dial up and digital subscriber lines, Internet access and technical support for private label Internet services.
