You have been contacted by a CPA to give you direction about VGTL. Yet you have proven YOU HAVE NO REGARD FOR YOUR VGTL SHAREHOLDERS BY NEVER UPDATING THEM ON ANYTHING. AND THEN LOOK AT GFSI. YOU SHOULD HAVE GONE AHEAD WITH THE MERGER OF VGTL AND GFSI. AT LEAST GFSI WOULD HAVE HELD SOME KIND OF VALUE INSTEAD OF IT HOVERING AROUND .00025. I DO NOT SEE ANY ETHICS HERE FROM YOU AND NEVER HAVE.

Since I handed it over I have heard nothing. I heard my buddies CPA friend would reach out but it'd one of those things where I will just have to let this play out until i am said something.

At this point hopefully a custodian tries to get this such a great SS tho the address updated in September so maybe he’ll submit filings/get a transfer agent…

Agreed. No excuses. Lifelines are being thrown out. Some people just like to play the victims all the time. It's a thing.
I told Diprima after this juncture in the road the only one he has to blame is himself for not getting it done.
Who knows what game he is playing. All I can do is give him other offers to get this done, will see if I ever hear anything back.

I see what you were saying. Sorry about that. I had no more posts for the day. Has the transfer agent been called? Maybe we need to see if that is even possible, to get ahold of the agent, to see why they are holding the shell hostage. The only reason I can see is that the agent hasn't been paid of their services. Not sure how Jim can have multiple lawyers go after a transfer agent AND NOT WIN unless they didn't have ground to stand on in the first place. Leads me to believe something about that doesn't make sense. I feel like the writing is between the lines.
You are MISSING THE POINT!
This is totally about the sale of the company that WAS NEVER ANNOUNCED! The filing to be current is an entirely different entity.
There is NO SEC FILING ON THE SALE OF THE COMPANY!
My concern here is if the company (VGTL) was NEVER SOLD. Then we are just waiting on VGTL to be decommisioned (inactivated).
DiPrima IMO is a big enough jerk to do something like that.
(Put VGTL on a shelf and forget about it).
Auditing financials and such can take some time. Months and months to complete. Ultimately, all we can do is wait.
Called and spoke to Brian Kistler today; who was asked by Diprima several months ago to turn the company back to him as he had a deal.
That is all Brian remembers from his conversation with DiPrima.

The main reason for walking away is the ability to regain the 15c211 and what I estimated the cost in order to gain the ability to reapply for it with FINRA. And that fact of it being a shell I have never seen FINRA grant a 211 for a shell pubco so that fact that it was lost it will take audited financials and a real business inserted. It will cost at least $50K in my opinion and my investor was not willing to take the risk.

Clearly. One would think he would have figured it out at some point. I would have figured the process becomes redundant.
The problem is he doesn't understand what he is doing!
That is literally nothing with this float. I mean this getting current again would send this to a penny or higher. Easily take some shares and recoup money plus interest. Just doesn't make sense. I understand the process is harder than I know, but these guys should be able to do it straight forward. Like an LOI is on a certain stock with a Hotel company, that could have easily gone into this and had a better SS. I am just assuming this is more complicated than we think because I just do not understand what this guy is doing.
There is some debt on the company as much as $50,000 worth.
If someone paid the $50,000 and took VGTL the price would go up and they could sell a couple of shares to get that Money back plus some.
Doesn't make sense to me either.
But the problem here is what DiPrima told Kistler and that being he had a buyer. It doesn't take over 6 months to get wind of who the buyer is.
Something is amiss here!
DiPrima could do the right thing and announce who the buyer IS or simply that he sold the company if there was a NDA. But for some reasons I have a hard time envisioning Diprima doing the right thing.
The odd thing about this is this shell is rather beautiful and I would expect many private companies looking to go public would want a shell like this. I understand this isnt the easiest, but it really should be the hardest.

Can you ASK Diprima who he sold VGTL to?
Brian Kistler (your buddy from ADCS) gave the company back to Diprima (in April of this year) as Jim told Brian he had a buyer. This was several months ago and there are No SEC filings supporting Diprimas claim that he sold the company.
I text Jim but he doesn't respond unless it is in anger.
