Remember this post from a few weeks ago? Someone on Twitter is now suggesting folks buy warrants. If the post merger price of new UNQL never exceeds $11.50, those warrants are worthless. If the merger never closes, those warrants expire useless. In my humble opinion, the only reason to buy warrants is if one believes UNQL will have a market cap over $375m after the merger. I know what I believe.....
But hey, some rando on social media says it's a great buy! Much profits for everyone!! Spread the wealth!! Cuz yeah, people do that......

Don't take this the wrong way, but those predictions of ask walls being knocked down so UNQL can fly were not correct a year ago. The same idea was posted for a month and never materialized. History shows this stock is very thinly traded and the market makers just keep running it up and down to scalp between the huge bid/ask spreads and to make consistent money both flipping and shorting. They control those ask walls to protect the short positions, then cover them when retail buys "cheap shares" 20-30% lower hoping for that magical run. It has traded this way consistently, but hey, maybe this time it will be different???
Funny how folks always want someone else to be the guinea pig to slap those asks. Good Luck!

We all like a good fib..but could 55 at least make it "somewhat" believable..lol...one bragged about the millions bought @.20 or higher and then spins into denial mode...smh..imo..
Both yesterday and today were a masterclass in shorting and covering. All of those high "buys" were short transactions. Anyone claiming to have sold at those prices is not being truthful. Those short transactions do not reflect anything sold, the shares are merely borrowed from the market maker account. It is listed on L2 as a "buy" or a "?" because shorts want the highest price possible. CSTI and CDEL had the large bid and ask blocks and were able to run the play with suckers actually buying the low bids which were the short covers. The closed short transaction became actual profit. The poor soul(s) who bought the .015s, .016s, .017s, are going to find out just how hard it is to actually sell those for a profit. Basically, the shorts won the trading yesterday and today.
But I'm guessing we will here from one voice who claims to have made all the sales at the top today. LOL

Been almost a year since I checked in on this board. A time when I expressed the challenges of this company and my belief of the realistic stock value - which was under .01. It appears it never quite reached that, but has gone down about 85%, instead of the pumping at .10, particularly by one poster here. I tried to explain in great and exhaustive detail my value analysis and my experience in the logistics industry, but a louder more disparaging voice seemed to prevail for many. Oh well...lesson to learn is know who is pumping or dumping a stock before buying.
And left $16,532 on the table.....ouch!!
No need to argue, some folks just don't know how to trade UNQL. If I was up $19k but only booked $2,400 before it collapsed again, I would leave the Board in shame. But that's just me. Weird how some just post to brag about trades and bash others. Since this Board is about the company, and company management sucks for creating this stock scam for insiders, I keep my posts to appropriately discussing the crappy company based on its crappy financials and share structure. Don't need to brag about my trades since following the up, down strategy gloriously for a long time. Glad I never listened to the hype and bought millions in the 20s. Not 0.020s, but 20 cents and higher. Folks were bragging back then also. Weird.
I especially find the magic twitter misinformation odd about no reverse split when the share conversion from UNQL shares to EAC shares works out just like a 1 for 345 share reverse split. Social media is crazy with stuff like that. Good luck out there!

The Company has adequate cash availability through the TBK Facility.
UNQL will be received better on the NASDAQ where they care about net income. The question is will it actually ever make it there?

Then, the information is encoded onto a piece of filament paper and delivered to the next available agent from the Impossible Mission Force. That message self-destructs within 10 seconds of being opened and read. It appears Colbeck is going to buy the opportunity to eventually own the controlling shares of all US and 65% of Asia for $25m. It will be a long play of conversions and reverse splits to stay on NASDAQ, but they see a path to profit on the dilution and shorting. It will be a dangerous stock for investors, a game for flippers, and an annuity for short traders. Just one man's opinion. But, what do I know?
Ray went from making $200k/year to now $1m/year between salary, inflated bonus, and Frangipani payments. Then he will cash out his shares eventually for retirement. He's definitely in on this scheme.
It would be funny if UNQL announces an "investigation" into naked shorting and stock manipulation like GNS and HLBZ just did. A great meme stock play to bump up the price and allow 3a Capital to unload before the reverse merger. And of course, that "investigation" would be as sincere as that old $41m capital raise with EF Hutton announcement. Can't investigate when you're in on it. It's the perfect play for these scammers!

My prediction is that Colbeck has set up the same scheme. No bank would EVER loan UNQL $25m. (TBK is a secured invoice debt facility.) UNQL couldn't even get $1m loans without convertible note financing through Trillium and 3a Capital. Those sharks got 25% of the company for $3.9m while Trillium made millions more selling hundreds of millions of converted shares to drive the price down while at the same time shorting and profiting more. History will repeat itself.
Because here's the alternative. Colbeck hypothetically actually gives UNQL $25m. Let's say 10% interest and a 10 year repayment. Here's the amortization calculator:

That would be $4m a year in payments to total $14.5m in interest over 10 years. Don't forget, UNQL lost a million 3 years ago, made $1.7m 2 years ago, and lost another million last year. They should have no problem repaying $4m, no matter what, year after year after year. Yeah, sure.....

Those quotes of spin from Ray are literally the definition of putting lipstick on a pig. Here's the pig:
"Total revenue declined by 78% driven by a slowdown in shipping and pricing decline in both air and sea. Air freight revenue declined 92% compared with the same period last year due to 85% lower shipped volume and 40% lower sell rates. Ocean freight revenue declined 58% compared with the same period last year due to 46% lower shipped volume and 23% lower sell rates."

Rather than comparing apples to oranges, let's just look at UNQL and Ray. In the real world, he gave away 25% of the company for less than $4m. That actually happened in December 2021. Therefore, he valued his own company at around $16m last year. Do you disagree?
Last month, Ray decided it would be a good idea to give away another 20% of the company to Colbeck in order to uplist to NASDAQ with an empty EAC shell. Sadly, he didn't secure any money for UNQL to make this deal. Instead, he will pay millions in professional and closing fees in exchange for losing another 20% of UNQL.
This means, after the reverse merger, three shark lenders (Trillium, 3a Capital and Colbeck) will own a collective 45% of UNQL.....for the total price of $3.9m actually paid to UNQL. Other insiders named Front Four Management, Lucosky Brookman, Southridge LLC (Joe Canouse) and David Briones will own another 5% of UNQL as legacy shareholders with newly converted preferred shares.
Ray and Great Eagle Freight (Hong Kong) will collectively own less than 45% of UNQL after the reverse merger closes. The public will own the remaining 5%. Do you disagree with any of this, and if so, kindly explain with facts.
The last terrible thing Ray just agreed to was a $25m loan to payoff all of the Asian Offices owners that money in immediate cold hard cash ($22m). Sweet deal for them, yes? What do the investors in UNQL get in return? About 65% of Asian Offices with a small target EBITDA of only $5m annually. That's a $22m "asset" that projects to make $5m in gross profit before subtracting interest ($6m for UNQL last year), taxes ($2m), and depreciation and amortization ($750k). You'll just have to wait and see exactly how ITDA erode gross earnings for those Asian Offices. Good Luck.
And what about that $25m loan? What are the terms? Interest rate? If it's a 10-year loan, expect annual payments around $4m. Or, is it the Hicks, Canouse, Fuerstein special which destroyed shareholder value the past 2 years....the convertible note??? Did Ray set up the sharks again to dilute UNQL to oblivion?
Because he already gave away 50% of the company to "lenders" and insiders for a mere $3.9m. That's reality and what has actually occurred.
So, enjoy holding the stock scam dumpster fire that is UNQL public stock. Daily range so far is 0.013 to 0.018. Wow!! Name one reputable company on any public exchange that has daily swings between $13 and $18 on the regular. Yeah, UNQL the hidden gem.
As we report the current quarter and six months ended November 30, 2022, it is pertinent to compare our business base and the emerging trends with the equivalent periods from 2019 before Covid impacted the logistics industry. The equivalent period in 2019 was prior to the acquisitions in May 2020 and the comparisons are based on the aggregation of the three operating companies prior to the acquisition in May 2020. The Company’s 25 largest customers based on revenue during the period ended November 30, 2022, include 12 customers that were added after the acquisition in May 2020. In addition, the Company still retains 23 of the customers that were in the top 25 in 2019. Thus, the Company, today, has a significantly expanded customer base besides substantially retaining virtually all its legacy customers.
In terms of volume, the Company’s top 25 customers, today, ship more containers (94%) and more air freight weight (15%) compared with the top 25 customers in 2019. An identifiable trend in the market in the current period, versus 2019, is a significant shift in shipping from air to ocean. The Company expects air freight volumes to increase in the course of 2023.
Overall, the Company is well positioned to grow its business in the post Covid era as it continues to build its customer base, increases profitability, and makes strategic plans for organic growth and through the targeted acquisitions. We are expanding our sales organization, locking in procurement strategies and receiving positive feedback from our existing customers regarding their future shipping needs.
