The Company is currently seeking an equity investment of $10 million in order to develop its production and network infrastructure, add key management personnel, host membership seminars and conduct other marketing and advertising activities, and construct facilities to aggressively market its products and services and attract additional Members.
Based on the financial projections illustrated above, at 18,500 members and a fully functional and operational Television Network Channel, Artfest could experience gross revenues of over $200 million yielding an estimated EBITDA of $42.5 million (a 21% net profit margin) by the end of Year 3 of funding.
Assuming that at the end of the 3 years there are 150,000,000 shares of the Company’s common stock outstanding, this would yield a P/E of $.28 a share. At a 20x industry multiple, this would value Artfest at $850 million, or $5.60 a share.
**Valuation Analysis
The Art Channel had a vendor relationship with International Galleries, Inc. (IGI) from 2004 and 2005 whereas the Art Channel was responsible for developing and producing various marketing and media content and staging marketing events for IGI’s prospective members. Subsequently, IGI grossed over $135,000,000 within its first 24 months of operations.
Although IGI amassed over 135,000 Members, roughly 30,000 were very active, revenue producing Members. According to these numbers, each active Member would have only had to spend $4,500 a year on art.
In February 2007, the Art Channel officially launched a 2-month test run that amassed over 350 members and experienced gross revenues of over $400,000. According to these numbers, on a per member basis, this translates into $571 per month or $6,857 a year in per member revenues to the Art Channel.
By the end of Year 3, Art Channel/Artfest is conservatively projecting 18,500 active members which at $6,857 a piece would yield gross revenues of approximately $126 Million just in art sales with the remaining revenues being generated by Television and production related revenues and other ancillary services.
