Just got an email from Rob Provost (CEO) and he is extremely optimistic of the future, we discussed the lack of current volume and he wants to get all the ducks in the same pond before any aggressive announcements.
He did say that we have a strong balance sheet post the share exchange due to the valuation of the exchange, and that will lead to some future events that I wish I could discuss but would be best for him to release that information.

I am not worried about my investment here at all, and I hold just under 10% of the float. It should be an amazing spring.

Hydrogen doesn't have an infrastructure. It's a long way off. Industry is the only way to integrate it, but EV is a safer and cheaper way for industry today. And I mean forklift and tugs, some construction. Plus the shit blows up pretty impressive compared to all other fuels.,

As far as RONN goes, my unofficial opinion is some of the backers are in a dumpfest, and I think it is the lawyer and BOD John Morgan that brought the company public and has about 25 million shares. no way it should be at this price with Held at DTC 28,750,017 this one has an odor I cannot describe right now so just holding my position for a better day.

Where do I go to see the filings?

Everything seems rosy on the surface but without addressing the market this company will go nowhere.

He is selling friends and family shares at $20k a pop, (see filings) with a two year hold works out to .16$ a share, I passed on that deal.

This is new to me to do white label manufacturing for several companies that want to move their production from Taiwan and other Asian countries. a very positive feature and something to look forward to.

CEO is overworked yes, but the people that I introduced him to have yet to get started, not a lot of faith near term, and investors that do not see returns move on.

Undervalued yes, down 50% of where he went public and has increased value in the company, still no Investor Relations department and even the phone system has gone back to a basic answering machine.

Not as bullish as I once was.

I'm still really BULLISH on this company. What they accomplished last year will position them for significant growth in 2024 and the future. LFEV now owns 40% of LEV manufacturing which owns 91% of Serial 1 (formerly HD's ebike company). LEV is positioned to do white label manufacturing for several companies that want to move their production from Taiwan and other Asian countries. They have a retail arm called Sierra ebike and have setup several global distribution agreements.
With all that said, this is trading on the OTC pink and needs to be uplisted to OTCQB or QX. I believe this in process.
I'm not sure why they aren't raising capital in the public market yet. It might have something to do with mechanics of uplisting and registering stock, not sure.
I think the CEO is a very smart operator and has always followed thru on what he has said he would do. However, he has been stretched too thin and needs more fire power in leadership positions that can execute the plan. I hope he is putting that in place now. On the plus side I don't think he has overdone it like many VC's have done and hired too many people and spent investor funds lavishly.
. It's way undervalued compared to Livewire and if you look at Livewire they have a significantly negative EBITDA.
This will play out very positively for those that are patient. Patience is still really hard for me.

If he just addressed the market properly he would be a $5.00 stock with a following.

I've been following this company for 4 years, prior to the time they acquired CTON and changed the company to LFEV. Communication from the company (Rob) has always been slower than I would like, however it's very deliberate. Here's what I think will happen over the next couple of months; 1) They will complete all the mechanics of owning 40% of LEV Mfg. via the share exchange. 2) They will need to raise more capital from the capital markets for growth, i.e. via LFEV. 3) They will aggressively ramp up manufacturing of Serial 1 and other brands. Especially given they just started a new fiscal year and will want to clearly demonstrate growth. 4) As a result of these things, they will need to start actively communicating in the public realm. Otherwise, they can't grow and sell.
I will be looking for evidence Rob P is putting an executive team in place that can help execute the plan. Still concerned that Rob is doing "everything" and is the bottleneck.

Yea it all seems good but what about the 40,000 shares of LFEV I have what do they convert into, still unclear on that issue.

Rob Provost is building an honest business here so no doubt it will grow quickly.

Here's what I know.
This will add stock to LFEV in the form of Preferred C shares and Warrants that convert to common.
The preferred share count is 3.5M shares that is convertible to LFEV common at 1 to 35.
The preferred shares are restricted. Some of the restricted may be tradeable soon, but I don't think we will see a significant increase in float in the near term.
So, 40% of the Value LEV manufacturing, which is primarily Serial 1, will now attribute to LFEV as a 40% owner.
This takes LFEV from basically a shell to real company.
Based on the previous press release from LEV I believe they have major expansion plans. Not sure how the financials will flow as I believe much of the growth beyond Serial 1 will flow through LFEV. Hopefully we hear more from the company soon. Given the expansion plans I believe they will need to raise more capital and the best vehicle to do that will be the LFEV the public company.
Should start getting exciting!

DEERFIELD BEACH, FL, December 5, 2023 - Life Electric Vehicles Holdings, Inc. (OTC Pink: LFEV) ("Life EV Nevada") announced on December 5, 2023, that it has completed the previously announced exchange of shares of its capital stock for shares of LEV Manufacturing, Inc. (formerly known as Life Electric Vehicles, Inc.) capital stock pursuant to an amended Share Exchange Agreement. The shares exchanged by LEV Manufacturings shareholders represent approximately 40% of LEV Manufacturings equity.


Under the terms of the amended Share Exchange Agreement, 40% of each class of capital stock of LEV Manufacturing, Inc. (LEV Manufacturing) was exchanged as follows: (i) each share of LEV Manufacturings common stock was exchanged for a five year warrant to purchase thirty-five shares of Life EV Nevada common stock at an exercise price of $.0001 per share, (ii) each share of LEV Manufacturing Class A, B, C, D and E Preferred Stock was exchanged for one (1) share of Life EV Nevada Series C Preferred Stock and (iii) each share of LEV Manufacturings Class FS Preferred Stock was exchanged for one (1) share of Life EV Nevada Series FS Preferred Stock.

My biggest concern is whether they have the leadership capacity and skills at the executive level to execute and communicate their plan.

I have talked to the CEO Rob Provost several times and I think he is a doer rather than an overseer, he works 6 days a week and his schedule is backed up several days, there is now an investor relations number (ext 3) however I have not gotten a clear picture of their scope of work. I did introduce him to an organization I am familiar with that works with NASDAQ companies and they seem to be building a relationship however not sure where it is going.

You may have hit it on the head with your comment ' expect the share exchange to happen soon.' I would think all the ducks would have to be swimming in the same pond, lets see what happens.... the new factory that Rob bought has a much larger office square footage so obviously there is a plan...and the Harley Davidson purchase is part of it, beyond that Rob needs to realize that public awareness is a ruthless grab for power to get and hold onto shareholders.

I agree that the biggest issue with this company right now is transparency and an unwillingness to promote what they have. The recent communication was from LEV manufacturing regarding the acquisition of Serial 1. This acquisition doesn't provide any value to LFEV until the share exchange announced in April is completed. Here's some of the wording from the April announcement " As a result of the share exchange, Life EV Florida (Now LEV) will become a 40% owned subsidiary of Life EV Nevada (LFEV). The shareholders of Life EV Florida will own shares representing over 90% of the voting power of Life EV Nevada"..
Clearly it seems that the company needs to start promoting what they have in order to raise money for growth via the capital markets.
I would expect the share exchange to happen soon and more messaging coming from the company. My biggest concern is whether they have the leadership capacity and skills at the executive level to execute and communicate their plan.

Well, I am not a nun so at least there was some communication to shareowners. Better than nothing, but yes, I agree the CEO needs to be more proactive in talking and communicating to the public what type of company they are and have and how they are making this company better and the huge potential down the road. This letter came out on 8/4/23 to shareholders.
The acquisition of Harley Davidson’s E-Bike Company, Serial 1 Cycle Company, LLC., by
Life EV has been completed. Life EV is now officially the controlling party with 91.01% of
ownership. Bike Lane LP, a Lane VC SVP, was issued 8.99% of Serial 1 equity in a debt
conversion at closing where their $7.41MM Note was exchanged at an $82.41MM post
money valuation.
Furthermore, with the acquisition closed, Life EV required a new Headquarters building for
both Life EV and Serial 1 to call home. 601 Fairway Drive, Deerfield Beach, FL 33441 has
been secured as of August 1st and Life EV begins the move process on Monday, August 7th
The facility is a free standing 2 story building with I-95 Highway Frontage and sits on
approximately 3 acres. There are over 100 parking spaces and a truck court which has a 2nd
duty: e-bike testing grounds. The building incorporates 10,000SF of Office Space, 22,000SF
of Production and Warehousing Space plus a designated area for a 5,000SF Flagship Store
with the acquisition of Sierra E-Bike expected to close during the month of August.
