MSU Devices Obtains Unsecured Loan Financing to Replace Previously Announced Secured Bridge Loan Financing
DALLAS--(BUSINESS WIRE)--March 28, 2002--MSU Devices Inc.
(OTCBB:MUCP - news) announced today that the Company issued in a private
placement $838,500 of 11.5% Unsecured Notes (``11.5% Notes'') which
mature on July 31, 2002. Of the total amount, $637,500 of the 11.5%
Notes were issued in exchange for the $637,500 of 10% Secured Notes
previously issued by the Company and the secured bridge loan facility
announced by the Company on February 14, 2002 was terminated in full.
Of the 11.5% Notes issued in the exchange, $500,000 was issued to a
related party. The remaining $201,000 of 11.5% Notes were sold for
cash to other investors.
The terms of the 11.5% Notes require the Company to raise an
additional $1,162,500 on the following schedule: at least $250,000 not
later than April 1, 2002; $412,500 not later than April 15, 2002; and
$500,000 not later than May 10, 2002. In the event the Company does
not raise these additional funds it will be in default and the
noteholders can accelerate the maturity of the 11.5% Notes. If the
Company does not raise the funds required to be received by April 15,
2002, the holders of the 11.5% Notes can elect to secure their notes
by a first priority lien on the assets of the Company, including
intangible assets and intellectual property.
The 11.5% Notes are convertible at any time at the option of the
investors into shares of common stock at a rate of 10 shares per $1
loaned, subject to adjustment in certain events. The Company has
granted registration rights with respect to shares issuable upon such
conversion. If the Company arranges $3.5 million in additional
financing beyond the $1,162,500 noted above, the 11.5% Notes will
automatically convert into the instruments issued in such financing,
on certain terms.
The 11.5% Notes, as well as the common stock into which the 11.5%
Notes are convertible, have not been registered under the Securities
Act of 1933, as amended, and may not be offered or sold in the United
States absent registration or an applicable exemption from
registration requirements.
This announcement does not constitute an offer to sell or the
solicitation of offers to buy any security and shall not constitute an
offer, solicitation, or sale of any security in any jurisdiction in
which such offer, solicitation, or sale would be unlawful. This press

Scrutinizer in my opinion you may be hitting the nail on the head....besides Belanger trying to steal the company from under us, he has certainly tainted the company and has had a profound effect on the stock price.......along with his buddy McFarlane playing with the price of the stock and shorting it...there is much more to this story and In my opinion it is quite a story indeed.......very sinister......he has created such uncertainly, and damaged the company, I hope they are all pleased with themselves...I wonder how they sleep at night?

education, and utility companies. Large order contracts should be forthcoming
in the next 60 days.They are in the final stage of a 5.5 million capital
raise, and have a signed agreement with Southwest to handle the second phase

The web site http://www.msucorp.com has been updated, but the FAQ page raises some issues.

It appears that there is no support for two of the biggest ISP's (most frequently used by novice users.)
Q - I am trying to dial my Compuserve or AOL or MSN account, but it does not work.
A - v5 will not work with AOL, Compuserve, or MSN, and possibly others. This is because the v5 does not support dial-up scripting. Standard ISP's (like BT Click, Freeserve, Virgin, Demon, etc) should work OK.

It also says that printing can only be done via the USB port which severly limits the printers to be used. I would hope that network printing via the ethernet connection would also work, but there is no mention of this on the site.

U.S. Says Web Use Has Risen to 54% Of the Population

The Wall Street Journal

WASHINGTON -- Internet use continued to grow rapidly last year, with new government data showing that the number of Americans using the Web in 2001 passed 50% of the population for the first time.

The Commerce Department report, set for release tomorrow, found that 143 million Americans, or 54% of the country, were using the Internet as of September. The number was up 26% from a year earlier.

The government numbers are slightly higher than many private-sector estimates. Nielsen/NetRatings, for instance, estimated that Internet usage hit 115.2 million in October, up 15% from a year earlier.

Despite concerns that interest in Internet usage might cool as many dot-com businesses vanished, the government report put new users at two million per month in 2001. E-mail continues to be the nation's favorite online activity, and 45% of the population now uses it regularly, up from 35% in 2000.

The report found 174 million Americans, or 66% of the population, were using computers as of September, with those numbers substantially higher among children and teenagers. The data show that 48 million Americans between the ages of five and 17, 90% of that population, use computers.

The report also showed a narrowing of the so-called digital divide separating wealthy, urban Americans from poor ones, minorities, and those living in rural areas. Many sociologists argue that the ability to use computers and the Internet is fast becoming a prerequisite for a broad array of jobs. Half of the new jobs that employ workers without college degrees require daily use of computers, often including use of the Internet, and the income gap between those who use computers on the job and those who don't continues to widen.

The report found that while a digital divide endures, it is beginning to narrow. Between December 1998 and September 2001, Internet use by the nation's poorest citizens -- those earning less than $15,000 per household -- increased at an annual rate of 25%. Web usage by the richest Americans -- those earning more than $75,000 a year per household -- by comparison, rose at an annual rate of just 11% during that same period, though it was starting from a higher level.

Between August 2000 and September 2001, Web use among blacks and Hispanics soared at annual rates of 33% and 30%, respectively. Annual growth rates for whites and Asian-Americans going online for the first time were 20% during that period.

During the 1998-to-2001 period, Web usage by those living in rural areas rose at an annual rate of 24%, and 53% of rural Americans are now online, just shy of the national average of 54%.

Lets see what happens but I am not holding my breath waiting for MSU to announce
a deal with one of those major companys. Even if there was a remote possibility of a deal we would not be at .22 cents. We would shoot to the moon on a rumor like that I would think. Sounds like someone might be trying to start a fire under this issue. One never know's though does one!!!!

mp, I am under the belief that if you wantto be a MM in a certain stock you are obligated to buy and sell a certain amount of shares. Not sure if the number is 500 or 5000 shares but I'm pretty sure they are obligated none the less.
Todays news is a start for sure. We have to crawl before we start running I guess. I'm still holding the faith and will
trust in Belanger's insights as to what he saw when he entered this entity. I'm sure he didn't think it was going to happen over night. I just wonder how many curves in the road he hit that he didn't think were there?

I count 58 Merrill Gardens locations, but there's no information on total occupancy.

However, this release does validate the theory that there exists a market for low-cost, easy to use, internet devices within the "silver surfer" market.

Granted selling 150 boxes to them is rather small, but it's likely a "test market" situation to see how well the device is received by their retirees.
