I agree the common shares are a bad investment, exactly because the management can print shares. But you cannot use that argument as a reason to avoid the preferred shares. That is debt not equity. Moreover, those preferreds continue to accrue interest even if they stop paying the dividend. The fact that management owns so much of the preferred suggests to me they won't stop the dividend.

MIAMI (AP) _ Ladenburg Thalmann Financial Services Inc. (LTS) on Tuesday reported net income of $10.4 million in its fourth quarter.

The Miami-based bank said it had earnings of 2 cents per share.

The banking and brokerage company posted revenue of $265 million in the period.

For the year, the company reported net income of $33.4 million, or 8 cents per share, swinging to a profit in the period. Revenue was reported as $921.3 million.

The company's shares closed at $3.93. A year ago, they were trading at $3.

The third quarter numbers were very good and the stock has really taken off after that. Topline growth has never been a problem for the company. Even the bottomline was improving recently. It has come closer to reporting a net profit on a full year basis. On a ttm basis, the company has a revenue of $728 million and the net loss is $9.25 million. In 2012, the revenues were around $650 million and the net loss was $16 million. For the nine months ended September 30, 2013, the Company reported revenues of $581 million, up 22% over $478 million for the first nine months of 2012. Net loss attributable to the Company was $3.0 million compared to $14.0 million for the first nine months of 2012. So 2013 is most likely going to be a much better year for Ladenburg. The support of Dr. Frost is always encouraging for investors. Most of his companies' stocks have done great over the last few months. He is always on the lookout for collaboration between his various companies. His company Biozone Pharmaceutical (BZNE) was recently merged with Cocrystal Discovery, another company where Teva (TEVA) and OPKO (OPK) have a stake. Ladenburg has now appreciated by 143% over the last 52 weeks with most of the gains coming in 2013. It has broken out above important hurdles, and one or two good quarters can take it even higher. The market has recognized the potential of the company, and the low percentage of float has helped matters. The valuations are still reasonable, as the market cap to sales is 0.73. The cash on books on September 30 was around $55 million and the debt was around $75 million. So Ladenburg seems to be good for more, though it needs to deliver consistent performance over the next few quarters.

The last one month has been great for the stock. It has moved up by nearly 13%, and the performance over one year has been even better. The last few days have seen higher volumes, and the stock has made its 52 week high recently. It is important for the stock to sustain above critical levels so that the breakout can be confirmed. Despite the appreciation, the valuations remain reasonable. It is trading at a price to sales ratio of 0.56. This is good for a company which has an operating profit margin of 4.5% on a ttm basis. Even the net margin is only slightly negative at -2.01%. So it is not far away from profitability, and the possibility of a turnaround is high. It has recorded revenues of $684 million on a ttm basis, and the net loss is $14 million. So the current year is expected to be better as compared to the last year when the company recorded revenues of $650 million. The net loss last year was $16 million. Improvement in the bottom-line requires the next couple of quarters to be good. Of course, the most important factor is the support of Dr. Phillip Frost. He is known for his vision at picking up companies with great potential when they are undervalued by the market. Many of his stocks have done great recently, with several delivering more than 100% return. His investment in Biozone Pharmaceuticals (BZNE) has made news recently, as that company owns the high potential QuSomes drug delivery technology. For Ladenburg, the upward momentum will be sustained in the long term only if it is supported by improved fundamental performance. The balance sheet of the company is strong as it has $50.82 million cash and the debt is $86.45 million. Next quarter results will be especially important.

The stock has corrected recently, and is now about 15% below the 52 week high of $2.02 made in July. The next earnings could be an important trigger for the stock. It will determine the short term direction of the stock. If the company is able to post good numbers, then the upward momentum will resume and gain strength. The fundamentals have shown improvement recently, and the company seems to be close to achieving profitability on a net basis. The ttm revenues are around $684 million and the net loss is around $15 million. This compares well with the 2012 figures of $650 million and $16 million for revenues and net loss respectively. It indicates that the company may do better than 2012. In H1'13, the revenue were $381 million which is 20% above the $318 million in H1'12. The net loss also declined from $8 million to $6.4 million during the same period. The debt has reduced over the last couple of quarters, though the extinguishment has cost the company $3.8 million as a one time charge. In addition there may be recurring costs. Dr. Frost's support has been the real game changer for the sentiments about the company. Recently, several of his investments have done very well, and many like Biozone (BZNE) still have a lot of potential. LTS stock has not done as well as many of Dr. Frost's other stocks, but is still up 36% on a 52 week basis. However, as soon as the market begins to factor the possible turnaround, the stock may begin to do even better. The price to sales ratio is extremely low (0.47), and the price may catch up with the fundamentals soon. It is important that the improvement in fundamentals is consistent over the next few quarters. There have been some small insider purchases recently, and one needs to keep a watch on that before the earnings.

The stock has done well recently with around 25% appreciation. This is better than the performance over the longer term, when the stock has remained extremely volatile with negative returns (-25%)over the last 5 years. The fundamental performance has been better recently as the net margins have improved. However, the company is still reporting losses on a net basis. Over the last few years, the revenue growth has been exponential, but the company has mostly reported net losses. In 2009, the revenues were $150 million, while in 2012 they were around $650 million. However, the accumulated deficit is around $162 million, which indicates the bottom-line performance. The stock price has remained under pressure partly because of the consistent losses. However, the recent improvements may change the sentiments if the company is able report a few more good quarters. The stock is now trading at 0.46 times sales, and the cash position is good. The long term debt has reduced to around $86 million as on June 30, compared to $197 million at the end of Q1'13. In H1'13 the losses reduced to $6.4 million including preference dividend of $1.08 million and a one time charge of $3.8 million for extinguishment of debt. Importantly, the company is backed by Dr. Phillip Frost, who has done well with several of his investments in the pharma / medical devices sector. Companies like OPKO Health (OPK) and Biozone (BZNE) have done well recently. Ladenburg has the potential to do well, and has not run up much recently. So if it come closer to turnaround, the market will begin to factor that and the stock may do much better. Like all such stories, there is always a risk of slippages, but the rewards are likely to be in proportion. One can play along with a clear exit strategy in mind in case things go bad.

Ladenburg Thalmann Reports Second Quarter Financial Results

Ladenburg Thalmann Financial Services Inc. (NYSE MKT: LTS, LTS PrA) today announced financial results for the three and six months ended June 30, 2013.

Second quarter 2013 revenues were $193.9 million, a 19% increase from revenues of $163.4 million in the second quarter of 2012. Net loss attributable to the Company for the second quarter was $5.5 million or $(0.04) per basic and diluted common share compared to a net loss of $5.0 million, or $(0.03) per basic and diluted common share in the comparable 2012 period. The second quarter 2013 results were impacted by a loss on extinguishment of debt of approximately $3.8 million relating to the prepayment of $90.4 million of debt, which will significantly reduce interest expense in future periods. The second quarter 2013 results also included approximately $5.3 million of non-cash charges for depreciation, amortization and compensation, $1.8 million of amortization of retention loans related to the Securities America acquisition and interest expense of approximately $4.9 million. The second quarter 2012 results included non-cash charges of approximately $5.3 million for depreciation, amortization and compensation, $1.8 million of amortization of retention loans related to the Securities America acquisition and interest expense of $6.2 million.

For the six months ended June 30, 2013, the Company had revenues of $381.2 million, a 20% increase over revenues of $318.1 million for the comparable 2012 period. Net loss attributable to the Company was $5.4 million or $(0.03) per basic and diluted common share for the six months ended June 30, 2013 compared to a net loss attributable to the Company of $8.0 million or $(0.04) per basic and diluted common share in the comparable 2012 period. The results for the six months ended June 30, 2013 included the loss on extinguishment of debt of approximately $3.8 million, approximately $10.6 million of non-cash charges for depreciation, amortization and compensation, approximately $3.6 million of amortization of retention loans related to the Securities America acquisition and interest expense of approximately $11.1 million. The comparable 2012 results included $10.7 million of non-cash charges for depreciation, amortization and compensation, a $6.2 million gain from a change in fair value of contingent consideration related to the Securities America acquisition, approximately $3.6 million of amortization of retention loans related to the Securities America acquisition and $12.3 million of interest expense.

EBITDA, as adjusted, for the three months ended June 30, 2013 was $10.9 million, a 43% increase from $7.6 million for the 2012 period. EBITDA, as adjusted, for the six months ended June 30, 2013 was $24.9 million, an increase of 92% from $13.0 million in the 2012 period. Attached hereto as Table 2 is a reconciliation of EBITDA, as adjusted, to net loss attributable to the Company as reported (see "Non-GAAP Financial Measures" below).

For the trailing twelve months ended June 30, 2013, revenues were $713.2 million and EBITDA, as adjusted, was $42.4 million.

At June 30, 2013, shareholders' equity was $175.3 million, an increase of 242% compared to $51.2 million at December 31, 2012.

Stock Repurchase Program

During the period from January 1, 2013 through June 30, 2013, Ladenburg repurchased 470,929 shares of its common stock at a cost of approximately $0.7 million, at an average price of $1.60. Since the inception of its stock repurchase program in March 2007, Ladenburg has repurchased 3,452,896 shares at a total cost of approximately $5.4 million. Ladenburg has the authority to repurchase an additional 4,047,104 shares under its current repurchase plan.

Non-GAAP Financial Measures

Earnings before interest, taxes, depreciation and amortization, or EBITDA, adjusted for acquisition-related expense, amortization of retention loans made in connection with the Securities America acquisition and change in fair value of contingent consideration related to acquisitions, loss on extinguishment of debt, gains or losses on sales of assets and non-cash compensation expense is a key metric the Company uses in evaluating its financial performance. EBITDA is considered a non-GAAP financial measure as defined by Regulation G promulgated by the SEC under the Securities Act of 1933, as amended. The Company considers EBITDA, as adjusted, important in evaluating its financial performance on a consistent basis across various periods. Due to the significance of non-cash and non-recurring items, EBITDA, as adjusted, enables the Company's Board of Directors and management to monitor and evaluate the business on a consistent basis. The Company uses EBITDA, as adjusted, as a primary measure, among others, to analyze and evaluate financial and strategic planning decisions regarding future operating investments and potential acquisitions. The Company believes that EBITDA, as adjusted, eliminates items that are not indicative of its core operating performance, such as amortization of retention loans made in connection with the Securities America acquisition or do not involve a cash outlay, such as stock-related compensation.
