So I just bought a starter position today in GRMH. When they complete the merger with Foundation http://www.foundationsurgery.com/management-services/services/ this baby has multi-bagger written all over it. http://investor.graymarkhealthcare.com/phoenix.zhtml?c=187463&p=irol-newsArticle&ID=1696001&highlight=
They finally have hired a investor relations firm, although I dont think theyve used them yet. I think it was a move in preparation for the merger. Ive had email conversations w/ the CEO and found him to be a very thoughtful and articulate person. I got in where I wanted finally (low .30's), and w/ the 3rd quarter upon us I am expecting big things here shortly.

Just discovered this one and you are 200% correct. Its a nice business in a very unique environment of sleep apnea technology. If these guys continue the lack of investor awareness then they should just go private.They were already slapped with a NASDAQ deficiency notice back in Dec for not complying with the $1.00 share price rule.They already did 2 R/S within a 3 year period for this very same reason which of course has crushed the shareholder equity. Someone needs to slap some hot coffee into the faces of the CEO and CFO because this could be a huge play.

GRMH has lost 50 % of its market cap since the R/S, to about $9 million.

That is a heavy pricetag for retaining Nasdaq listing compliance.

Will watch to see ( and hope ) if fundamentals will give Graymark
a higher market cap....at least to pre-R/S levels of ~ $18 million.

Sometimes stocks excessively reverse split to ensure they stay above that magical $1.00 threshold but the meany market takes the PPS down as low as it can go anyway. My point is, that if Graymark had reverse split one for ten the market would still have likely taken the PPS to $1.40-ish from $5.00.

Graymark did the right thing by reversing one for 4 instead of one for ten.

Pre R/S PPS equivalent to .35 cents, down from .50-ish. Could have been a lot worse.

Thanks. I don't understand why the sensitivity over the post from the other board. It is important because it identifies MBBLLEG as CC. During the big run up of stock in 2008 CC was pumping the stock on IHUB while DF was answering questions for LEG on their website. Graymark Announces 1-for-4 Reverse Stock Split

OKLAHOMA CITY, May 25, 2011 /PRNewswire/ -- Graymark Healthcare, Inc. (NASDAQ:GRMH - News), the nation's second largest provider of diagnostic sleep services and an innovator in comprehensive care for obstructive sleep apnea (OSA), reported that its Board of Directors approved a 1-for-4 reverse stock split, which will be effective after the close of the market on June 3, 2011.

The 1-for-4 reverse stock split will automatically convert all shares of the company's stock issued and outstanding to one new share of common stock, par value $0.0001 per share. The reverse stock split, which was approved by the company's shareholders on February 1, 2011, will reduce the number of shares of the company's outstanding common stock from approximately 34.1 million, as of the filing date of the company's most recent Quarterly Report on Form 10-Q, to approximately 8.5 million.

No fractional shares will be issued in connection with the reverse stock split. The company will round up to the next whole share in lieu of issuing factional shares that would have been issued in the reverse split. For a 20 trading day period immediately following the reverse split, Graymark's common stock will trade on a post-split basis on the NASDAQ Capital Market under the trading symbol "GRMHD" as an interim symbol to denote the reverse split. After this 20 trading day period, Graymark's common stock will resume trading on the NASDAQ Capital Market under the symbol "GRMH." In addition, the common stock will also trade under a new CUSIP number effective June 6, 2011.

Under the terms of the transaction, Graymark will sell 5,172,411 million shares for $0.58 per share, a 29% premium to Friday's consolidated closing bid price of $0.45 per share. The purchasers will also receive warrants to purchase up to an aggregate of approximately 5,172,411 million shares of common stock at an exercise price of $0.45 per share. The warrants may be exercised beginning 6 months after the closing date and will expire in 3 years. The closing of the transaction is expected to take place on or about May 6, 2011, subject to the satisfaction of customary closing conditions.

On April 1, 2011, Graymark Healthcare, Inc. received a written notice from NASDAQ Stock Market LLC (NASDAQ) indicating that Graymark is not in compliance with NASDAQ Marketplace Rule 5550(b), the continued listing standards for primary equity securities on The Nasdaq Capital Market, because its stockholders equity was less than $2.5 million at December 31, 2010, and it does not meet the alternative standards of market value of listed securities or net income from continuing operations. Under the rules of The Nasdaq Stock Market, Graymark has 45 calendar days, or until May 16, 2011, to submit a plan to regain compliance with the continued listing standards.

If the plan is accepted, Graymark will be granted an extension of up to 180 calendar days from the date of the notice, or until September 28, 2011, to regain compliance with the continued listing standards. If Graymark does not regain compliance with the continued listing standards, its common stock will be subject to delisting. Recurring Revenue Stream from Sleep Therapy Business Expands 105% since Q1

OKLAHOMA CITY, March 28, 2011 /PRNewswire/ -- Graymark Healthcare, Inc. (Nasdaq:GRMH - News), the nation's second largest provider of diagnostic sleep services and an innovator in comprehensive care for obstructive sleep apnea (OSA), reported financial results for the fiscal year ended December 31, 2010.

Net revenues in 2010 increased 30% to $22.8 million from $17.6 million in 2009 (as adjusted for the discontinued operations of the company's retail pharmacy business). The annual increase is primarily attributable to realizing a full year of operating revenue amounting to $6.7 million from the Somni and Eastern acquisitions completed in August and September of 2009, respectively.

Revenue from the company's sleep diagnostic business increased 27% to $17.2 million in 2010 from $13.5 million in 2009. The increase was primarily attributable to the 2009 acquisitions, partially offset by lower revenue from existing operations. The lower revenue was due to the company's previously announced strategy to transition from being an out-of-network provider to entering into in-network agreements with third-party payers. This transition provides Graymark the opportunity to lower administrative expenses and accelerate the receipt of reimbursement payments, resulting in improved cash flow. Additionally, the company believes that by significantly lowering patient out of pocket costs as a result of being in-network, Graymark will also be able to increase the volume of patients serviced at the company's independent sleep care centers. This transition is expected to be completed by the end of the first quarter of 2012.

Revenue from Graymark's sleep therapy business in 2010 increased 37% to $5.6 million from $4.0 million in 2009. In addition to contributions from the 2009 acquisitions, the annual increase was attributable to increases in both setup and resupply volumes, with resupply representing an important recurring revenue aspect of the company's business. Resupply volume increased 105% from 1,084 packages shipped in the first quarter of 2010 to 2,220 shipped in the fourth quarter of 2010.

Operating expenses were $31.9 million in 2010, including non-cash charges related to goodwill and intangible asset impairment, and the impairment of property and equipment of $10.8 million and $762,000, respectively. As a result of lower than expected operating results at the company's sleep centers in Oklahoma, Nevada and Texas, and forecasted cash flows in those markets, the company reassessed the carrying value of its goodwill as of December 31, 2010. The company also reassessed the value of property and equipment at certain sleep diagnostic facilities that were no longer compatible with current systems. The goodwill and property and equipment impairment charges are non-cash adjustments, which have no affect on cash flows or liquidity. Operating expenses were $18.4 million in 2009.

Net loss attributable to Graymark Healthcare was $19.1 million or $(0.66) per share in 2010, compared to a net loss of $5.2 million or $(0.18) per share in 2009.

Net loss attributable to Graymark Healthcare for the full year 2010 included non-cash charges for goodwill and intangible asset impairment of $10.8 million, impairment of property and equipment of $762,000, impairment of equity investment of $200,000, and stock-based compensation expense of $390,000. Net loss attributable to Graymark Healthcare for the full year 2009 included stock-based compensation expense of $682,000. There were no charges for goodwill and intangible asset impairment, the impairment of property and equipment, or the impairment of equity investment in 2009.

Adjusted EBITDA from continuing operations in 2010 was a loss of $3.0 million as compared to a loss of $4.6 million in 2009 (see "Reconciliation of Non-GAAP Financial Measures" below for the definition and an important discussion of this non-GAAP financial measure).

At December 31, 2010, cash and cash equivalents totaled $1.6 million, compared to $1.9 million at December 31, 2009.

2010 Operational Highlights


•Graymark performed 18,435 sleep studies in the company's standalone facilities, rural outreach sites and hospital agreements, an increase of 38% from 2009.
•Increase in sleep studies drove an increase in Continuous Positive Airway Pressure (CPAP) setups to 3,031, up 57% over 2009.
•The company signed 11 new hospital contracts for sleep medicine services in 2010, while transitioning out of five standalone facilities during the year.
•Graymark became the second largest pure-play company in the sleep management business following the sale of substantially all the assets of the pharmacy division to Walgreens for a total enterprise value of approximately $33 million.

Reconciliation of Non-GAAP Financial Measures

Graymark is providing EBITDA from continuing operations information, which is defined as net income from continuing operations plus interest, income taxes, depreciation and amortization expense, and Adjusted EBITDA from continuing operations information, which is defined as EBITDA plus impairment of goodwill and intangible assets, impairment of property and equipment, impairment of equity investment, and non-cash stock option expense, as a compliment to GAAP results. The company has introduced Adjusted EBITDA in this reporting period to represent these additional non-cash charges, which, besides non-cash stock based compensation, the company does not expect to repeat in following periods. Therefore, the company does not plan to continue to use Adjusted EBITDA on an ongoing basis. LRL : The Feb 22 news piqued my interest as I have studied the subject of sleep and sleep apnea in relationship to adolescent behaviors .

I like this company but evidently the market doesn't like this stock .

One day I will DD the heck out of GRMH the stock to see if it is worth an investment , whenever a bottom is determined .

Graymark Healthcare Reports Record January Resupply Orders, Up 225%

Graymark Healthcare Inc. (Nasdaq: GRMH), the nation's second largest provider of diagnostic sleep services and an innovator in comprehensive care for obstructive sleep apnea (OSA), realized a 225% year-over-year increase in patient resupply shipments in January, a record level for what is typically a slow month.

In January, Graymark shipped 659 re-supply parts relating to their Continuous Positive Airway Pressure (CPAP) machines and also realized growth in the number of sleep studies performed through their higher margin outreach programs. The number of sleep therapy setups also increased versus January 2010.

The re-supply portion of Graymark's business is a recurring revenue model. Patients compliant on their CPAP devices receive four shipments of component parts per year.

Graymark's effective five-step clinical approach to managing sleep disorders includes a convenient referral process, accurate and timely assessment, diagnosis, treatment and long-term follow-up to maximize patient compliance. All steps are managed by a board certified Sleep Medicine physician. By more completely integrating the diagnostic and treatment processes, Graymark has substantially improved patient compliance with CPAP care and overall disease management.
