FairPoint Communications gets green light from bankruptcy court

Nearly three years after a tiny North Carolina phone company grew six-fold by swallowing the major landline networks of Maine, New Hampshire and Vermont, it convinced a federal bankruptcy court judge last week that it could try again at running them.
FairPoint Communications Inc. got the green light to emerge from Chapter 11 from Judge Burton Lifland of the U.S. Bankruptcy Court in New York City and should complete the process by Jan. 31, the company's Vermont president, Mike Smith, said in an interview.
"We're very pleased with the judge's action today," he said. "We're looking forward to finalizing the process by the end of the month."
The ruling was expected after Vermont regulators gave their OK on Dec. 23 to the reorganization plan.
FairPoint operates in 18 states, including Florida where it operates in Port St. Joe, and Vermont's Public Service Board was the last state regulatory body to give its approval, having rejected an earlier version in June.

Have not been able to find source of the 50 cent 'block'. Would you care to quote the source? As of end of this month, bankruptcy judge is expected to nullify all value of current shares. But Verizon could be pulling a fast one to gobble up the rest of the shares and do a last minute "petition the court" and allow minimal residual penny shares. If the court is going to nullify the stock, then who is currently buying millions of shares every day, and why?

Whereas all stock equity is canceled with no consideration for the existing shareholders, even though only 92% of the new stock will be issued to the debtors in possession, I ask that the remaining 8% of the said new stock be issued pro-rata to the existing shareholders.

Out of BK before 31 january 2011...The Company expects to emerge from Chapter 11 bankruptcy proceedings on or before January 31, 2011 (the “Effective Date”). However, the consummation of the Plan is subject to certain conditions that must be satisfied prior to the Effective Date, including that there shall have been no modification or stay of the Confirmation Order or entry of other court order prohibiting the consummation of the transactions contemplated by the Plan. In addition, the Company must perform various other administrative actions in conjunction with emergence from Chapter 11. There can be no assurance that the Company will satisfy these conditions, complete such required actions and emerge from Chapter 11 within the anticipated timeframe or at all.

It appears that the company is emerging from BK protection having satisfied the BK judges requirements to do so. I was in one great stock, GGP that was trading at .40 a share and in BK. It emerged from BK in the last year and is now trading in the teens. Dollars that is. YUP....from .40 to over $15.00 a share. Not a bad return..LOL
I am not even remotely saying the same applies here, but lotto money of mine is picking some of this up today.

In the SEC 10-Q filing of 11-09-10, the date was not specified. It references the date the bankruptcy is finally adjudicated. Note that the company plan "contemplates...stock will be canceled". It is ultimately up to the Federal Bankruptcy Judge. One can hope it follows the GM bankruptcy and allows residual value.

Vermont deal could help FairPoint recover from bankruptcy

As previously disclosed, on October 26, 2009, FairPoint Communications, Inc. (the “Company”) and all of its direct and indirect subsidiaries filed voluntary petitions for relief under Chapter 11 of Title 11 of the United States Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”) (Case No. 09-16335).
As a condition precedent to the effectiveness of the Company’s plan of reorganization under the Bankruptcy Code, the Company needed to obtain certain regulatory approvals from various regulatory authorities, including the Vermont Public Service Board (the “Vermont Board”). The Vermont Board did not initially provide its requisite approval. The Company made efforts to address certain issues that were raised by the Vermont Board and submitted a renewed request for the Vermont Board to provide its approval. On December 23, 2010, the Vermont Board entered an order providing its requisite approval.
Having obtained the Vermont Board’s approval, on December 27, 2010, the Company filed with the Bankruptcy Court a motion, among other things, (i) requesting approval of a form of supplemental disclosure to the creditors of the Company (a form of such supplemental disclosure is attached as an exhibit to the motion) and (ii) scheduling a continuation of the hearing on the confirmation of the Joint Plan of Reorganization of FairPoint Communications, Inc. FairPoint Communications is on target to provide high-speed Internet access to 83 percent of its customers by year's end, the Maine Public Utilities Commission determined.
In a special meeting, the three commissioners referred to the results of an informal, day-long meeting Monday between FairPoint, the PUC staff and the Public Advocate's Office. That meeting focused on technical details of how to assess FairPoint's progress in achieving a pre-set goal for broadband. Following recommendations from the meeting, the PUC decided there's no need to open an investigation into the issue, an action that it considered. FairPoint bought Verizon's landline business in 2008 and became Maine's largest phone company. As a condition of the controversial sale, FairPoint agreed to extend broadband service to 87 percent of its customers in five years. As interim steps, it must reach 85 percent by July of 2012 and 83 percent by the end of 2010. That first benchmark appears to be in reach, the PUC's staff determined.
