No cash distribution so far. Eventually it looks as if the Singers will steal the EVOL cash for a fraction of its value just as they did with CCUR. Although I'm not sure why Karen Singer has bought a boatload of EVOL shares since January...at much higher than the current price. Strange.

When they sold the business for around $3/share in cash, why didn't they just let everyone cash out at a nice premium? Singers would have made out great too. Are the Singers really that big of scumbags that they feel the need to screw all the other shareholders just to make a few more bucks for themselves?? Apparently so...

Ah gotcha. Thanks again. So we're talking about several years, including the onset of the Covid pandemic that took down the entire stock market. I don't think the situations are comparable. Singer might be the same, but we've got a different management team. Our CEO (who unlike Singer is highly respected) seems determined to either return cash to shareholders and/or make an acquisition. Did CCUR say something like that and not follow through during all those years? Instead they just burned through a chunk of that cash. That's terrible if so, and I can understand why you were upset.

Last day of trading 3/27/2018 on NASDAQ for CCUR was at $4.85. Book value per 10-Q filing for quarter ended 3/31/2018 was $6.37 per share ( $45 million in cash). CCUR traded over the counter on 12/31/2018 at $3.35. Minority shareholders received $2.88 per share when CCUR was taken private in April 2021.

Thanks for the info. I'm curious what happened next? Just because such a stock gets delisted to the OTC...the price may decline but it shouldn't crater. As the stock will still be trading well below cash value.

Julian Singer guided the sale of the operating assets of CCUR which the shareholders approved 12/13/2017. NASDAQ issued notice of delisting CCUR on 1/9/2018. NASDAQ suspended trading of CCUR on 3/27/2018 and officially delisted in June 2018. Stock price of CCUR dropped on 3/27/2018 as it began trading over the counter. CCUR had an even larger cash position than EVOL will have if sale of operating assets is approved by shareholders. NASDAQ views shell companies without operating assets as too risky for future investors.

Oh so you think they should have just cashed out all EVOL holders at $3+/share. Fair enough. We'll see what happens. They shouldn't be delisted with that significant cash position. Even then, the process takes a long time (like a year or more). Plenty of time to announce an acquisition. If Singer is as greedy as you say, why wouldn't he push for EVOL to acquire a crypto company...and watch the stock soar to double digits.

The deal is bad because PartnerOne originally offered to pay over 40 million for all the shares, so instead of EVOL sitting on over $3 a share in cash, you as a shareholder would have received over $3 a share. Once the operating assets are sold, the stock will be delisted by NASDAQ for being a shell company. The trading price of the stock will fall as it is traded over the counter. The board will take the company private at a much reduced market value and a much reduced payout to minority shareholders. Julian Singer who sits on EVOL board did this with Concurrent Computer CCUR.

Shareholders are usually contacted on a deal like this. That's normal. I haven't gotten a call, but probably because I already voted yes. Why is the deal bad?? After the sale, EVOL will be sitting on over $3/share in cash with zero debt. Then they'll probably announce a large special dividend or an acquisition. Either of which would send the stock spiking higher. So what exactly is bad about that?

EVOL board is paying to have larger stockholders contacted and encouraged to vote for a bad deal. Vote against sale of operating assets.

The right thing to do is not to give out dividend, if they do, they won't have anymore cash. The right thing to do is get in the crypto, EV with 38 million in the coffers, raise the market cap and do an equity financing to raise more cash, the CEO is MIT Harvard graduate.

I don't like dividend, I will revisit if they get into hot sector such as crypto, EV, preferably, but I won't get back in for a software venture, they already have that, they should consider getting into something that is hot. Yes if they get into any of the former two sectors then yes this could double or triple. I would rather have my money work for me other that staying stagnant. I gave them till the 15th, to perform, but nothing yet, still have a good size position, once they come out with something of worthy, don't mind paying a premium of 20% getting back in. Good luck

Why the change of heart? I probably bought some of your shares. After the deal, EVOL will have over $3/share in cash & no debt. If they announce a special dividend of say $1/share, the stock shoots higher. If they announce an acquisition in a hot sector like crypto, EV, software etc...the stock could double or triple. Meanwhile downside is limited with what will be a hefty cash position. Seems like an attractive risk/reward scenario imo

Preliminary proxy concerning sale of operating assets filed 10/29/21. It shows that on 4/8/21 PartnerOne provided written interest of intent to aquire all the shares of EVOL for 40 million. Board of directors changed offer on 5/4/21 to sale of operating assets instead because their intent is to take EVOL private after EVOL is delisted from NASDAQ, and the market value of the shares fall on the over the counter exchange. Julian Singer did the same thing with CCUR. Vote no on sale.

EVOL is going to breakout out of this pattern, obvious reasons, on a technical standpoint the gap has filled for the past 4 trading sessions, on a fundamental basis, the acquisition or merger will happen on or before November 15th, very simple reasons, they are aiming to close a deal before the end of the year for tax purposes for divesting their assets for 40 million dollars. This stock is a must have.

Agreed the stock would be a rocket if they acquire a crypto company. But seems like kind of a long shot? With Bitcoin prices through the roof, I don't think they can get much for $40M.

Really not much time left, if you have the patience to wait at the most 3 weeks you definitely have multi bagger here without a doubt, I am currently sitting on 70,000 shares, I will keep adding to round it off to 100,000 shares if it drops. You can seriously make millions on this if the venture is in Bitcoin.

Their timeline to acquire another company is anytime between now and November 15th to go shop around. This is a merger going to happen on around that time frame, once that news is released depending on what it is expect a jump 100-300% day jump in one day alone, I believe the stock will creep up to mid 4 area before any announcement is made.

EVOL is now a SPAC deal in the making, they are shopping around for the merger, which should be announced in the coming weeks. They divested all their assets, which gives them close to 40 million dollars in cash in the coffers, once a suitable merger is targeted they will announce shortly there after, I believe the target candidate has already been chosen, once the details are finalized they will announce. My bet is that are going to get into the hottest sector, Bitcoin, thus a move like SPR*T is in the cards.

Ah I knew you couldn't say how they're 5G. But don't feel bad the CEO couldn't say how they're 5G. Because they're not 5G.

I've followed EVOL for over 10 years. I will say the Q3 earnings report last month was a positive step in the right direction. Small profit on an uptick in revenues after they've been stuck in same range for years. That's why the stock got a lift from the low $1's. It's overvalued in the mid $2's, but almost everything is overvalued in this market.

Good luck on the pump. Whole market is insanely frothy, so certainly would not be surprised if it popped higher. Lots of stocks are flying for no reason. Sign we're very close to a market peak imo

Oh how exactly on the 5G? This should be good. Maybe you saw that fluffy PR where they talked about the telecom sector in 2021. Obviously 5G will be a factor in the telecom sector next year. But unfortunately it won't benefit EVOL.

Volume is from a lion pump that started a few minutes before Wednesday's close. Got a pump as a 5G play. Pretty funny as EVOL obviously has nothing to do with 5G. But the market is so crazy frothy, all logic is out the window right now. People are just chasing stuff higher for no reason.
