The Securities and Exchange Commission filed a complaint in the United States District Court for the Southern District of Florida against Nicholas Toms seeking enforcement of the Commission Order requiring him to pay disgorgement of $85,918, representing profits gained by Toms' conduct described in the Commission Order, prejudgment interest to the date of the Commission Order of $16,853.40, and a civil money penalty of $175,000.
Toms, age 67, a resident of Boca Raton, Florida and an attorney licensed to practice law in the State of New York, offered to settle cease-and-desist proceedings brought against him by the SEC alleging that Toms had violated and had caused DecisionPoint Systems, Inc. to violate, the antifraud provisions of Section 10(b) of the Securities Exchange Act of 1934 ("Exchange Act") and Rule 10b-5 thereunder.
Toms did not make payment, although he had promised to do so both before the entry of the Commission Order and afterwards. The SEC seeks in this action brought under Section 21(e)(1) of the Exchange Act to compel Toms to make payment.

DPSI will have a very difficult time recovering from this, imo. At least it didn't make it's way to NASDAQ, only to be delisted.
I like the way they kicked Toms to the curb. Now, let's see what the new BOD can accomplish.

Tom's left a bad taste with me I don't want anything to do with him or what he's been involved with. I'm now playing stock that have hit their all time lows and certain to come back.

The Board accepted his resignation from management, as well as from the Board of Directors.

DPSIP Item 8.01 Other Events.
On July 2, 2014, Decision Point Systems, Inc. (the “Registrant”) received a written “Wells Notice” from the staff of the Securities and Exchange Commission (the “SEC”) indicating that the staff has made a preliminary determination to recommend that the SEC bring an administrative proceeding against the Registrant. On the same day Nicholas R. Toms, the Registrant’s President and Chief Executive Officer and a member of the Board of Directors, also received a Wells Notice. The SEC staff has informed the Registrant that both Wells Notices relate to allegations that, from late 2009 to early 2011, Mr. Toms was the beneficial owner of shares of common stock of the Registrant that were held and traded by a Delaware corporation in which Mr. Toms was a 10% owner; that Mr. Toms exercised control over the corporation’s securities account; and that the corporation’s shareholding and trades should have been reflected at the relevant times in public disclosures of Mr. Toms’ other holdings of the Registrant’s common stock.
A Wells Notice is neither a formal allegation of wrongdoing nor a finding that any violations of law have occurred. Rather, it provides the recipient with an opportunity to respond to issues raised by the staff and offer its perspective to the staff prior to any decision to institute proceedings. The Registrant intends to make a submission to the staff in response to the Wells Notice setting forth why no action should be commenced against it.
In addition, the Registrant’s Audit Committee has begun an internal review, assisted by new outside counsel, and the Registrant’s independent directors have placed Mr. Toms on leave from his duties as an officer of the Registrant, pending further inquiries and determinations. Mr. Toms remains a director of the Registrant and retains his duties as a director. Mr. Dan Romanello, who has served since August 2013 as the Executive Advisor to the CEO, is undertaking Mr. Toms’ duties as an officer on an interim basis.

IRVINE, Calif., June 25, 2014 /PRNewswire/ -- DecisionPoint™ Systems, Inc. (OTCQB: DPSI and OTCQB: DPSIP), a leading provider and integrator of Enterprise Mobility and Wireless Applications, announced today that it has split the roles of Chairman of the Board of Directors and Chief Executive Officer and named board member Lawrence Yelin non-executive Chairman. Nicholas R. Toms remains President, Chief Executive Officer and a member of the Board of Directors.
Mr. Yelin, a member of the Board of Directors since the Company's merger with Comamtech, Inc. in 2011, and one of the Company's independent directors, is an attorney specializing primarily in corporate, business and financing law and is currently in private practice. From 1980 to 2009 he was a partner at the Canadian law firm Faskin Martineau DuMolin LLP and one of its predecessor firms, Martineau Walker, where he was also managing partner.
"The Board decided that the split of the Chairman and CEO roles will add another layer of strategic input and oversight to DecisionPoint and therefore be beneficial to shareholders and the growth of the Company," said Mr. Yelin. "The move comes at a very important time for DecisionPoint as we move forward with our solutions sales strategy to increase our higher margin software and services revenues. DecisionPoint is in many ways a new company today compared to the more hardware- and license-oriented business of the past, and our goal is to capitalize on the broad opportunities that are currently being presented to us."
Mr. Yelin, a Canadian citizen and resident of Montreal, was a member of the Board of Directors of Comamtech from 2007 to 2011 prior to the merger with Comamtech. He has a BA and BCL from McGill University.
