what you have is a lot of A.I. generated companies. fake financial statements, fake press release, and fake employees. it makes it much harder to invest in public companies. like this. even private companies have more 'reliable' or trust worthy information than this public company.

the company has no business operations other than raising capital and buying other companies technologies. it has no debt either. now they are trying to embezzle the company cash they raise in the public market for fake expenses and fake lawsuits and claims, even the employees could be fake a.i. generated photos of the management and board of directors.

objective is to take the company private and sell it to another company that can do something with the technology they supposedly own. and return any funds back to shareholders.

if the company was serious about building a real company, they need to apply for gov't partnerships, green ev rebates or ev credits and get cheap loans for production. but that is not the case with this company. they are selling a pipe dream. anyways if they did raise over 50 million there is at least $40 million in cash in the corporate bank accounts so this market cap of 2.4 million is less than the value of assets. of the software if the software was real and they do have ip technology.

the objective of this shareholder class action is to take control of the board. open the books of the company with shareholder lists and bank accounts and assets. and get new managmeent and board of directors to either sell the entire company assets ip assets and any cash after selling to shareholders.. or if the shareholders prefer actually make motorcycles or invest more money into this company to actually build a company. you need more than 100 million or even 1 billion put any motorcyle in production and that is done with bank financing or gov't financing.

listing in the pinksheets, and even CSE, most brokers or prime brokers don't even allow customers to buy these stocks, they just cause too much problems for the broker if client gets ripped off etc. the brokers don't make money on order flow to these stocks anymore SEC bans market makers from paying the brokers in referring clients to buy these stocks. in pinksheets and cse it's essentially giving them money when you buy these stocks listing in the pinksheets. which have no value.

I can get more financial information on a 'private' company than this' public' company. if you cannot trust the financial information to be true, it's makes investing much more risky and hard. and the SEC could not cares less and suing in court after you get ripped off is a futile, if the company is bankrupt. and usually get nothing if the company was publish fake financial statements etc. SEC just bans people, there is no prison, not even a fine. for their actions. there is no deterence.

also, how can the company be losing or burning 25 million/quarter if it has no operations, no employees and paying some investorr relations fir $8500/month for what and supposedly payng $10,000/month rent on some shared office at 4601 Canada way suite 402. monthly rental for an office is about $1000/month. or $500 for a desk. and the $350,000 it agreed to pay to some uknown guy was settled out of court, they didn't even have to pay this guy for his 'claim' that he got rippped off. normally takes years in civil court before anyone pays anyone anything in court. In Canada, people who get injured in car accidents cannot sue for even more than $5000 limit so how this guy can get $350,000 payment for some bullshit 'claim' on service it says thge company owes it.? the company only has has couple of millions in cash and pay $1 million which it doesn't need to pay. the court didn't order it. and any lawyer could have or fight in civil court as bullshit claim.

essentially as a PUBLIC company you don't even know who the shareholders are. In sweden all the shareholders of a public company is public information, that is not too much to as for. but SEC seems to disagree and thinks Yahoo can just publish fake financial statements and says it's for entertainment only information.

You cannot even have access to the real financial statements of the company.
The company in manufacturing facility is in 4601 Canada way, Burnaby suite 402 is not even a manufacturing facility. it's shared office with an engineering company and the address in 704 alexander is empty office it has a damon sign on it. but nobody answers the phones and door is lock.. i guess they not renew the lease. However, the company seems to have lots of time on their hands to file SEC reports about giving $1 million to some financial advisor in listing in the nasdaq. so the company does has millions of your money it raised in nasdaq. how much cash the company has in their bank account is UNKNOWN. so this i sthe reason for hte class action lawsuit. like I said the SEC could not care less. you have to call the law firm and pay them or have their services on contignency if the yare interested in taking your case.

It's a Canadian incorporated company that is listed inthe pinksheets essentially it's reverse takeover meaning the delaware company owns 100% of the canadian company or the canadian company owns 100% of the delaware company and the shares are traded in us exchanges unlike ADR which doesn't have any ownership rights. and the canadian company owns 100% of the canadian company. the few shares traded for public trading is the US company. most of the shares is held private hands or by some investor. or hedge funds who controls the company. the public investors is just a few or handful.

only known is the company actually owns the ip assets software, listing of shares in the nasdaq, and actually raised millions from public investors and they actually had some mayor and appeared on local tv talking about building the motorcycle batteries, the actual manufacturing of these motorcyles is not rocket science like EV cars. they buy all the parts from third party manufacturers and just assembles it. for a $30,000 motorcylce retail .half of the cost is in parts.

As previously disclosed in the current reports filed with the Securities and Exchange Commission on November 18, 2024 and March 25, 2025, Damon Inc. (the “Company”) and Damon Motors Inc. (“Damon Motors”) entered into a settlement agreement with Mark Peikin (the “Prior Peikin Agreement”) to resolve certain claims by Mr. Peikin, as assignee of Joseph Gunnar & Co., LLC, relating to previously incurred financial advisory fees. Under the Prior Peikin Agreement, the Company agreed to pay Mr. Peikin an aggregate of $2,515,000, consisting of $1,515,000 in cash, which was paid on March 24, 2025, and $1,000,000, which was payable in cash or common shares of the Company, at the option of the Company, no later than May 21, 2025.



On June 9, 2025, the Company and Damon Motors entered into an amended settlement agreement (the “Amended Peikin Agreement”) to fully and finally resolve all outstanding amounts owed to Mr. Peikin pursuant to the Prior Peikin Agreement (the “Outstanding Settlement Obligations”). Under the Amended Peikin Agreement, the Company agreed to make a one-time cash payment of $350,000 to Mr. Peikin within one business day following execution of the Amended Peikin Agreement, and Mr. Peikin agreed to waive and release all claims arising from the Outstanding Settlement Obligations. Such amount has been paid to Mr. Peikin in full and final satisfaction of the Outstanding Settlement Obligations.
