What is a Reverse Merger?
A reverse merger process is carried out to merge a thriving and potentially scalable private company with a dormant or “shell” company listed on the exchange. The foremost objective of a reverse merger process is to bypass the extensive procedures and regulations imposed by the government on a company seeking to issue an IPO. The private companies achieve this by acquiring greater than 51% of the equity share capital of the public shell company or commanding a control over the board of directors.

Think of a reverse merger as a back door entry for a private company wanting quick entry to the arena of listed entities. The private company is able to save on significant amounts of time, money and management expertise when it opts for a reverse merger against an IPO. Also, going for an IPO does not always guarantee a listing on the exchange. Insufficient funds raised during an IPO may cause all effort to go in vain. A reverse merger is therefore, an inexpensive and simple route to gain access to the exchange.

yep... Well in all the years I've seen this maybe twice before. Both were reverse mergers, where they have a shell left over that was trading at some point and a new company transfers stock and takes over same ticker. I'm no expert but in both cases the stock went up, then quiet for a while and then BOOM and news. I guess I just hold these good ole shares...

Interesting I have 50k shares here left over from YEARS ago... no activity, the stock was dead now I noticed it is trading? Over a mill volume last few days. Very interesting. I haven't noticed because it is such a small part of my account and wrote this off long ago. I do remember when this stock was trading it had a lot of attention and volume at one point and they were making big bucks for a while. I traded it a bunch of times and these are left over nothing shares, really it must be like 7/8 yrs ago lol. I do remember them merging or being acquired after it all went south. Is this the start of DHR trading?? To move from grey to pinks means something is happening. But what?

1) Moved from greys to Pinks. Only one in a million ever gets out of greys. They did not go through all the hassle spend the money to move to pinks for nothing.
2) While this was still in the greys In 2018 KGC (taken over by Virtu Americas LLC) increased it's shareholding to 1,442,748 shares from 1,057,091 shares as per filings..why would they increase their stake in the company on the greys?
3) Float is under 9M. Almost unheard off in the OTC.

There are obviously big plans here. Something big in the works.It moves on air. Like i said before this will be over a dollar in a flash with any news.

Kcg Americas Llc discloses 16.48% ownership in CTPR / CTPartners Executive Search Inc

In 2018 KGC (taken over by Virtu Americas LLC) increased it's share holding to 1,442,748 shares from 1,057,091 shares as per filings..why?

There is something brewing? i believe something big.

Not sure if they do anything anymore. They used to be an executive search firm (ie. recruiter/headhunter). But according to filings (https://www.otcmarkets.com/stock/ctpr/disclosure), they were supposed to be acquired by another company but it fell through. Then they received default notices for inability to pay back loans and ceased operations. Eventually they had to delist from the NYSE.

Out of all the stuff that moved from grey to pink today, this one stood out to me the most because:
1) former big board company
2) no reverse split history that I know of
3) authorized shares of only 15m and outstanding shares of only 8.7m.
4) highest volume ever on a single day was only about 4m shares.

Going by the trading today, it ran a bunch in the morning, but by end of day, it was whacked down to about 1/3 to 1/2 a penny.

If it comes out with some filings or a custodian takes over, it could be worth huge.
