Levi & Korsinsky, LLP has filed a class action lawsuit in the United States District Court for Northern District of Indiana on behalf of current stockholders of All American Group, Inc. (OTC:COHM.PK) in connection with the planned acquisition of the company by H.I.G. All American, LLC, All American Group Holdings, LLC and All American Acquisition Corporation. The lawsuit, entitled Cochran v. Lavers, Index No. 3:11CV-054-JD, alleges, among other things, that the defendants violated Section 14(a) of the Securities Exchange Act of 1934 and corresponding Rule 14a-9. In particular, the plaintiff alleges that the defendants have issued materially false or misleading statements regarding the proposed acquisition.

All American Group, Inc. Announces Merger Agreement With All American Group Holdings, LLC PR Newswire "Press Releases US - English "
ELKHART, Ind. , Nov. 8, 2010 /PRNewswire-FirstCall/ -- All American Group, Inc. (formerly Coachmen Industries, Inc. ) (OTC: COHM), today announced it has agreed to be acquired by affiliates of All American Group Holdings, LLC , an affiliate of H.I.G. All American , LLC, in a merger that would result in AAG's shareholders (other than H.I.G.) receiving $0.20 per share, plus an interest in a liquidating trust that will have a contingent right to receive proceeds from the sale of certain of AAG's assets.
Upon closing of the merger, certain of AAG's assets will be offered for sale for a minimum price of $12 million . The sale of the assets will be negotiated on behalf of AAG by a special committee of AAG's board of directors. The majority of the members of the committee will be directors who are not affiliated with H.I.G.
If an agreement is entered into for the sale of the assets within nine months after the closing of the merger, the excess of the net sale proceeds over $5 million will be deposited in the liquidating trust for distribution to the former AAG shareholders pro rata (in addition to the $0.20 per share to be paid in connection with the closing of the merger). AAG cannot give assurance that the sale of the assets will be completed within the 9 months' time frame or that it will bring a sufficient amount of net sale proceeds to provide the shareholders any additional consideration.
AAG expects to file a registration statement with the United States Securities and Exchange Commission covering the issuance of the interests in the liquidating trust to AAG's shareholders in connection with the merger. AAG expects to send to its shareholders a proxy statement for a special meeting of its shareholders to approve the merger as soon as may be practicable after the effective date of the registration statement. Approval of the merger requires the affirmative vote of a majority of AAG's outstanding common shares. H.I.G. owns a majority of the outstanding common shares of AAG, so approval of the merger is assured. AAG shareholders who do not vote in favor of the merger will have dissenter's rights under Indiana law.

All American Building Systems, LLC® Signs Contract to Build Residence Hall for Casper College
Elkhart, Ind., Sep 09, 2010 — All American Building Systems, LLC (“AABS”), one of the nation’s largest commercial systems-built builders, has signed a contract with Caspar/Pope Joint Venture to build a new three story residence hall for Casper College in Casper, Wyoming. Construction of the building will start almost immediately with a target for students to move in by August of 2011.
Casper College serves approximately 4,000 full and part-time students. Casper was founded in 1945 and the current campus, built in the mid 1950s, consists of 28 buildings. The Casper College Student Housing Committee’s goal is to provide an improved student living and learning environment, and they elected to apply modern, modular design and construction methods to do it at an affordable cost to the students.
The new residence hall will have approximately 122,000 square feet with over 200 sleeping rooms to accommodate over 400 students. The residence hall consists of four connecting buildings with a central courtyard, adjoining a fifth building to be constructed on-site by Caspar/Pope. The three story multi-use buildings are designed to fit in with the school’s existing architecture while incorporating modern styling and construction techniques. As part of the project, an outdated hall will be demolished to make room for the new building.
