I believe that due to amendments to Rule 144 a few years back that companies that merge will empty "shell" corporations have restrictions in place when it comes to selling shares. So lets say you want to do a promo shortly after your merger, doing an RM with a shell that has no operations is not the way to go, your better off merging with a company that has some sort of semi-operating business in it.

At least that's my understanding.
