Differences between Pink Quote and the OTC Bulletin Board
The primary difference between Pink Quote and the OTC Bulletin Board is that Pink Quote is owned by Pink OTC, a private company, and the OTC Bulletin Board is owned by FINRA, a self-regulatory organization. It must be stressed that the differences in ownership do not reflect any difference in regulation or operation. In each case, regulation of the two markets is accomplished by FINRA’s regulation of the conduct of broker-dealers that submit quotes in each facility. As noted above, the Pink Quote system, and particularly its Pink Link service, provide participating broker-dealers with a superior method to achieve compliance with their best execution obligations, as compared to the OTC Bulletin Board system.”
Why Does it Matter?
Listing Decisions
First, on September 14, 2009, FINRA announced that it intends to divest itself of the ownership and operation of the OTC Bulletin Board as an inter-dealer quote system by selling it to an independent third party. While, to the best of our knowledge, there has been no definitive agreement reached with any such third party, there is a great deal of uncertainty surrounding the continued existence of the OTC Bulletin Board.
Second, many issuers have found FINRA’s Form 211 approval process, necessary to move from the Pink Sheets to the OTC Bulletin Board, to be burdensome
