Or maybe he had already breached his confidentiality agreement and he was hoping he wouldn't get caught....

I heard there were two reasons why Wallace did not come back after Spencer asked him to. I think the money was the lesser of the reasons. My guess is that could have been worked out if Spencer was willing to act in good faith. I think the bigger reason Wallace decided not to come back was his belief that the company would not be successful with Spencer as the CEO.
