Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On Tuesday, January 24, 2012, Michael I. Connolly resigned from his position as a director of Global Axcess Corp (the "Company"). Mr. Connolly led the Company's team in securing the renewal of an ATM contract with one of the Company's largest retail grocery chains. The Company wishes to express its appreciation for his energy and efforts in serving as both an interim Co-CEO and a member of the board of directors. We wish him the best in his future endeavors.
