Transfer Agent Information
Winning Brands Corporation is a lean and focused group carrying out tasks on a number of fronts, keeping every individual staff member extremely busy. The transfer agency relationship is a core legal operations point, and we are not yet equipped to determine and monitor the effect of an unlimited number of calls coming into the Transfer Agent’s office from persons who may or may not be shareholders. There are cost implications (fees for customer service), possible errors being made when Transfer Agency staff cites facts to persons unknown to them; possible legal liability (inadvertent release of confidential shareholder information to persons claiming to be attorneys or otherwise misrepresenting themselves) and possible confusion within the Transfer Agent staff group itself as to who has the right to know what. It would be different if Winning Brands already had the additional infrastructure (and carried the additional associated cost burden) of preparing and filing all the usual documents associated with reporting issuers.
Therefore, as an alternative measure, the CEO of Winning Brands Corporation introduced public attestation of the outstanding share count in the FAQ section. The CEO is therefore is a publicly accountable figure who can state the outstanding share count with clarity for all. It would be a serious breach and with repercussions if these figures were materially inaccurate.
Accordingly, it is the policy of Winning Brands to voluntarily upload amendments to the FAQ section in connection with additional share issuances, which fact has been borne out by the self-disclosed adjustment to these figures on the FAQ in December 2007. As of January 1, 2008 the figure is unchanged from the December posting. If there is an adjustment during the month of January or during the quarter, this will be posted in the usual manner on a contemporaneous basis (ie in the current period).
Later in January when Winning Brands welcomes two members of your forum on a “meet & greet”, I will be pleased to provide these visitors with direct screen views of the Transfer Agent’s “issuer access page” via computer terminal to demonstrate the accuracy of the figures appearing in the FAQ section posting as at the day of the visit. It would be a pleasure to provide verification from time to time on a spot check basis through this office as required for reasonable comfort.
