What they took is not 1% of 27.5 % (.275%), but 1% of Auryn stock reducing MDMN share to 26.5%, otherwise your math is correct. I believe the compensation was high and it should have been in MDMN stock. I never heard of an executive in one company getting compensation in the stock of another company, especially since it is private, but I guess Auryn believed it was fair! JMO
