There is no chance of PN being fired.

(IMO) The BOD is complicit. The BOD voted to amend the bylaws that now limit shareholder involvement. They approved his compensation increases and stock grants when the company has repeatedly failed to meet the timelines they established. The BOD has not established the check and balances usually present in a public company. PN still continues in the rolls of CFO, CEO and COB.

Where is the corporate governance normally required for a public company?

If this company fails I would not want to be in their shoes (IMO).
