In that case then there's no reason for Bob not to file a Form 10, and register the stock. Of course any funding by his private fund would then need to be accounted for in a later 10K.

Instead Bob will keep it as a Pinky. No accounting for anything is required. Just make up a story, and issue a PR pump.
