Talked to NVSOS and got some pretty good information. NV slaps the Permanently Revoked label on NV Corporations now after 5 years delinquency. If you're like me you wonder why so long? Well according to them it's for consumer protection. Here's the "explanation" I received. If they keep a Corporation in REVOKED status it is unable to make any changes to its A/S. Can't Reverse Split, Can't Sign Any New Business Contracts, Can't Buy Back Or Retire Shares, Can't Merge with another Entity (Forward Or Reverse), or really do a dang gummed thing UNTIL they pay the FEES and FINES regarding the State of Nevada Business License. The thinking being a stagnant stock doesn't hurt the Shareholder. But a Company that just goes Belly Up means a total loss of money to the shareholder while "Possibly" allowing someone to open the same or another business in another State without consequence. By keeping it in REVOKED status, that also allows NV to prevent a company from obtaining a Business License in any other State through Court Litigation (AGAIN UNLESS) all Fees and Fines regarding the NV License are brought current. The One question I failed to ask was when the clock started toward the 5 year deadline to PERMANENTLY REVOKED STATUS. After original Default, or original Revocation? I'll get around to calling them again sometime and ask about that specifically, but there's obviously a LOT of time for that either way.
