Talking to a broker friend today, trying to explain the deal to him. He thinks the deal may be taking the time it's taking because the legal departments will want to make sure that the transaction is bullet-proof as far as the IRS is concerned. He pointed out one could reasonably argue that the whole structure of the deal is mainly to circumvent IRS regulations as currently written regarding NOLs.
