What concerns me is it does't matter how good UMS does it wouldn't benefit Talk if there is no relation between them. Some of the Bk documents suggest this might be the case.

It does much more than suggest it - it outright states it in black and white. TALK will own none of UMS post-bankruptcy. NONE.

And don't forget TALK has it own problems. They didn't even bother to show up or defend in any way the lawsuit filed against them by one of their toxic death spiral lenders and now TALK has a $406K legal judgement against them. If TALK had any assets worth seizing, the judgement holder would do so in a heartbeat.
