Back in January ISBG filed a copy of its Articles of Incorporation, presumably at the behest of OTCMarkets:

I think the real reason for the filing was the two page attachment entitled "Plan and Agreement of Merger Merging International Spirit and Beverage Group, Inc. into FIMA, Inc.". That document put the merger into the record and formally established ISBG as the OTCMarkets reporting company.

Here's why I found it interesting:
It indicates that the agreement was "entered into as of the 6th day of May, 2015".
It was signed for FIMA by Alonzo Pierce, Chief Operating Officer and for International Spirit and Beverage Group by Alonzo Pierce, Director.

When one person signs an agreement on behalf of both parties to a contract it ALWAYS creates an issue if a question arises involving its terms or its legitimacy that requires litigation.

Per the company's filings with Nevada the effective date of the merger was 3/31/15.

"HOUSTON, TX / ACCESSWIRE / January 29, 2015 / Fima, Inc., a Nevada Corporation, (OTC Pink: FIMA) today announced the resignation of its CEO and sole director, Keith Alexander. Prior to his resignation, Mr. Alexander appointed Terry Williams as the new CEO and sole director of the company."

In filings dated April 6, 2015 and under what appears to be the signature of Terry Williams the company's directors and officers were reported as:
(1) Terry Williams- CEO (director), (2) Kristina Mahoney- Brown- Treasurer (director), (3) Alonzo Pierce Chairman of The Board and majority share owner


The potential problems created by Pierce signing for both parties didn't have to happen. Why didn't Terry Williams sign on behalf of FIMA?



I was given that information....I don't know.
