On March 24, 2017, Top Ships Inc. (the "Company") held its Special General Meeting of Shareholders (the "Special Meeting"). At the Special Meeting, the shareholders of the Company approved an amendment to the Company's Third Amended and Restated Articles of Incorporation, as amended, to effect a reverse stock split of the issued and outstanding common stock by a ratio of not less than one-for-two and not more than one-for-twenty with the exact ratio to be set at a whole number within this range to be determined by the Company's board of directors in its discretion and to authorize the Company's board of directors to implement the reverse stock split at any time prior to the date of the Company's 2017 Annual Meeting of Shareholders by filing an amendment to the Company's Third Amended and Restated Articles of Incorporation, as amended.
