Did the desired merger occur?

ARTICLES OF MERGER FILED & COMPLETED OCEANIC RESEARCH & RECOVERY INC IS NOW MCCUSKER HOLDING CORP

Unfortunately, that is not the case, and not only because Tracy made a stupid typo.

If you recall, this was supposed to be a form of reverse triangular merger (in a typical RTM, the subsidiary is the surviving entity) involving three entities: McCusker Holding, Oceanic Research and Recovery (ORRV) and ORRV Acquisition, a new company that was to be formed.

I've been asking for some time now why ORRV Acquisition had not been formed in Nevada. Silly me; I didn't think to look for misspellings. "OORV Acquisition" was indeed created there on 27 February:

And it has, per the documents filed last Friday, merged with McCusker Holding Corp:

The merger is also reflected on the "Entity Actions" page for McCusker Holding Corp:



But here's the problem: Oceanic Research and Recovery--ORRV the public company--does not come into any of this. It is nowhere referenced in the Articles of Merger filed last Friday and made available today:

So while there has indeed been a merger of McCusker Holding with OORV Acquisition, ORRV the public company has not merged with anything at all. It is still a separate entity. Its most recent entity action in Nevada was the raise in the authorized capital, not a merger:
