I have never followed ZAHLY but to be trading on the grey sheets usually one of 3 things are the reason. First and by far the most likely, there is some kind of fraud involved or at least some accusations and some SEC involvement.

Second possibility is that it's a foreign traded company like some of these Canada traded stocks at the Venture exchange, who have a second listing here in the US which is often on the grey sheets and not on the pink sheets, third possibility is if you are a delinquent SEC filer which gets suspended and then opens on the grey sheets but these get revoked anyway after some time if they don't come up with a plan to become a filer again.
