(ProGreen) www.ProGreenUS.com (otcqb:PGUS) is pleased to communicate that Inmobiliaria Contel (Contel), with which ProGreen has a joint venture partnership, has declared that, in the process of establishing the necessary agricultural infrastructure for the joint venture, they have established a direct channel with two different US fresh produce importers. This enables Contel to manage produce growing operations on their own or in partnership with other growers on the 300 acres of land that forms part of the Joint Venture Agreement with ProGreen, entered into last February As a producer, Contel will be able to grow more than one cycle per year on the property, an efficient use of the land. With regard to further real estate investment opportunities, ProGreen is presently in advanced discussions with a landowner concerning the possible acquisition of 4,500 acres of oceanfront land through its subsidiary in Mexico, ProCon Baja. The intention would be to develop a master plan, obtain necessary permits and bring investors and developers into individual real estate projects.

Information About the Potential Oceanfront Land Development in Baja
We would like to elaborate on the information that we presented in our press release on Tuesday, December 12, 2016.

The land is approximately 4,550 acres gently sloping down towards the sea with 2.4 miles of oceanfront, perfect for exclusive dwellings. The development should be totally “green,” powered by solar, complete with all services, such as paved roads, sewage, water supply, street lighting, etc. Wastewater from sewage plants to be recycled and reused for irrigation of golf courses.

SUMMARY OF BUSINESS ACTIVITIES IN BAJA

The company has recently committed to a shift in direction of its focus. ProGreen will now be concentrating its resources exclusively on Baja California projects. At this time, we do not anticipate investing further in Michigan, because the opportunities in Baja are so much more compelling.

Over the past year ProGreen has developed a strong position in Baja California with significant contract assets through our strategic business arrangements. These include our JV agreements with Contel Inmobiliaria and with our anticipated real estate projects through our subsidiary, Procon Baja JV. The aim is to leverage our position in the direction of larger scale and longer term real estate development projects at the same time that we are beginning to monetize farmable land.


Here we summarize the status of our activities in Baja California.
LAND FOR AGRICULTURAL USE


We currently have approximately 14,000 acres under our control through joint venture agreements, of which we estimate up to 4,500-5,000 acres may be farmable, as follows:
300 Acres – first tract, 150 acres cleared and farmable with wells drilled, a proven abundance of water; Contel has commenced operations to begin growing produce for U.S. importers


1,900 Acres – second tract, of which we estimate 500-800 acres could be farmable; 11-mile access road has been completed
12,000 Acres – 3 year option to acquire this additional land, of which up to 4,000 acres could be farmable

We are also working to acquire 1,500 acres adjacent to the first 300 acre tract, though this may take some considerable time, due to higher complexity involved with obtaining the title of this land
Some of the non-farmable land, could potentially be used for commercial and residential real estate in direct support of the farming operations and/or for the local economy and industry that could develop over time as a result of these operations.

PROGRESS ON THE POTENTIAL ACQUISITION OF THE 4,550 ACRES OF OCEANFRONT LAND

We are proud to report that we have now agreed on the general terms for the acquisition of the 4,550 acre tract spanning over 2.4 miles of ocean front land with the owner. The due diligence process will now begin which will require some investigation.
The due diligence process includes not only ensuring a clean and valid title, but we will conduct further examination of technical development requirements, as well as possible federal and state subsidies, soft development loans and other benefits that may be available. This will require discussions with authorities on a higher level than just the local government, and will include meeting with various officials in Mexico City. We don’t expect this process to take more than 60 days in order to reach the point where we feel comfortable to move forward and close on the acquisition.
The economic impact that a development of this size and scope will have on the local community, will be dramatic, creating large-scale employment opportunities in the area. It has the potential to transform the profile of ProGreen as an important player in the economic development of Baja California

PROGRESS ON OCEANFRONT LAND ACQUISITION

We are very pleased to report the following developments regarding the proposed acquisition of the ocean front land in Baja:
We have extended the proposed land acquisition to now include approximately 4.0 M of ocean front (6,5 KM), compared to earlier announced 2.4 M.
With our due diligence progressing faster than expected, we feel confident that we will be able to execute a purchase agreement this month, sooner than originally anticipated

We are in the process of selecting a suitable US architect with whom to start working on the initial master plan.
With so much happening now in Baja, I think it is safe to say that ProGreen’s news flow will increase considerably going forward, compared to the past year.

We have a little update to share on the projects in Baja.

We are meeting with an architect in Portland, Maine this week to further discuss the master plan designs for the oceanfront project.
Contel is bringing on an Agricultural Engineer as a lead for the farming operation, and has also established contact with a third and larger US produce importer. Meetings are scheduled for the coming week which we expect will lead to a produce purchase agreement. As more buyers are  coming online, we are likely to accelerate further preparation of additional land for the growing operations in order to satisfy the increasing commitments, starting with the 760 HA* (1,900 acres) tract for which we have made the access road, referred to in the previous announcement in May
